I am a financial executive of a small and medium-sized foreign trade enterprise mainly engaged in agency export of home goods. I recently finalized our first cooperation with an overseas purchaser and originally planned to handle customs declaration and tax refund on our own, but a friend recommended a professional import and export agency company. I am very confused now: As the principal, if we entrust the agency to assist with exports, can we normally enjoy export tax refund? If yes, is the tax refund subject us or the agency?

Additionally, how should we arrange the capital flow between us and the agency to be compliant? Will incomplete documents lead to the failure of tax refund or even be identified as tax fraud? I already have basic documents such as purchase contracts and packing lists in hand. I am afraid of making mistakes. Can you help me sort it out?

The tax refund eligibility for agency export business is clear. As long as the basic conditions for export tax refund are met,the principal can normally enjoy the tax refund policy, and the tax refund subject is the principal rather than the agency. First,pre-document review must be completed: Both parties need to sign a standard agency export agreement, clarifying that the ownership of goods belongs to the principal, and ensuring that the special VAT invoice for purchased goods is issued by the supplier to the principal rather than the agency.

Agency Export Goods Certificate is the core supporting declaration document. The agency must apply to its competent tax authority for issuing this certificate within 15 working days after the actual departure of goods, and hand it over to the principal. After receiving the certificate, the principal needs to complete the tax refund declaration within the specified declaration period by combining it with export goods customs declaration form, exchange collection voucher, purchase invoice and other documents.

The capital flow arrangement needs to meet the requirement of Verification of Consistency Among Four Flows. Usually there are two compliant modes: One is that the agency collects the goods payment from the overseas purchaser, deducts the agency service fee and transfers the remaining amount to the principal's account, the other is that the overseas purchaser directly pays the goods payment to the principal's account. Both modes require retaining complete bank receipt and payment vouchers to ensure that the capital flow is consistent with the contract and customs declaration form.

If there is an abnormal situation in tax letter investigation,a complete set of business documents must be prepared in advance, including agency agreement, goods transportation documents, inspection reports and so on,to cooperate with the tax authority's verification. At the same time, attention must be paid to the requirement of Document Filing and Retention, and all relevant documents must be retained for at least 5 years for subsequent verification.

Common misunderstandings that need to be avoided include: Missing tax refund documents due to failure to sign a standard agency agreement, confusing the tax refund subject by submitting tax refund application to the agency, late exchange collection or unclear capital flow leading to compliance risks. As long as the above procedures are strictly followed, the agency export tax refund can be completed smoothly.

The customs declaration link of agency export business requires focus on the accuracy of declaration elements, especially for goods involving regulatory conditions. It is necessary to confirm the regulatory requirements corresponding to the commodity code in advance to avoid order rejection or inspection due to inconsistent declaration. If choosing customs declaration at a remote port, it is necessary to complete the declaration through the National Customs Clearance Integration System, ensuring that the declaration data is completely consistent with the core elements of Agency Export Goods Certificate, such as goods name, quantity, total price, etc. If there is an abnormal situation in on-site inspection, the shipping marks, quantity must be checked against the customs declaration form and agency agreement immediately, and at the same time prepare the supplier's production records, warehouse receipts, quality inspection reports and other documents to cooperate with the inspector's verification. In addition, it should be noted that the declaration subject of agency customs declaration is the agency, but its declaration behavior must strictly follow the actual business situation of the principal, and must not tamper with goods information without authorization, otherwise it may lead to blocked tax refund declaration. If there are abnormal items in the inspection notice, communicate with the principal in time, supplement relevant supporting materials to ensure smooth passing of inspection.

The logistics link of agency export business requires focus on cargo right control and cost control. The consignee of the bill of lading shall be filled in as agreed in the agency agreement, usually the agency or its designated party, and after the completion of exchange collection, it shall be endorsed and transferred to the overseas purchaser to avoid disputes caused by uncontrolled cargo right. At the same time, it is necessary to confirm the duration of free detention period and free time period with the freight forwarder in advance, and arrange booking time in combination with the production cycle and customs declaration progress of goods, to avoid additional container detention fees or port storage fees due to failure to complete customs declaration in time after goods arrive at the port.

If there is congestion in overseas ports or the purchaser temporarily requests port re-routing, the cost and timeliness of re-routing shall be evaluated in advance, and direct routes shall be preferred to reduce the risks of transhipment links and document delay. In addition, a complete set of transportation documents must be retained, including ocean bill of lading, air waybill, railway waybill, etc., as a necessary document for tax refund declaration, to ensure the completeness and traceability of documents, and avoid impact on tax refund progress due to missing logistics documents.

The tax planning of agency export business requires focus on the compliance and cost optimization of cross-border transactions. First, the proportion of agency service fee shall be reasonably determined, usually controlled between 3% and 5% of the total price of export goods, to avoid being identified as profit transfer or unreasonable pricing by the tax authority. If cross-border related party transactions are involved, related party transaction pricing documentation shall be prepared in advance to meet the relevant requirements of BEPS Action Plans, ensuring that the transaction price meets the arm's length principle, and avoid adjustment of taxable income. In addition, for regions such as the EU that implement VAT deferral policy, the deferral qualification can be applied to the local tax authority in advance to delay the payment of import VAT and alleviate the capital pressure of enterprises. It should be noted that the tax refund subject of agency export is the principal, and the agency only needs to perform the obligations of collecting and remitting payments and issuing Agency Export Goods Certificate, and shall not participate in the distribution of tax refund funds of the principal, otherwise it may trigger tax compliance risks.

The exchange collection and payment link of agency export business must strictly follow the compliance requirements for cross-border payments and receipts. First, confirm the compliance of exchange collection methods, such as selecting SWIFT message, CIPS RMB Cross-border Payment, etc., to ensure that the source of exchange collection funds is traceable, and avoid using funds of unknown source for settlement.

If receiving payment through offshore account, the compliance filing shall be completed in advance, and relevant supporting documents shall be submitted to the foreign exchange administration to avoid the risk of funds being frozen or returned due to unfiled account. At the same time, attention must be paid to the time limit requirement of exchange collection. According to the 2026 foreign exchange administration policy, the goods of agency export must complete exchange collection within 180 days after export, otherwise it is necessary to apply for deferred exchange collection procedures to the foreign exchange administration and provide reasonable grounds for deferral.

The legal risks of agency export business require focus on contract terms and cargo right protection. First, sign a standard agency export agreement, clarify the rights and obligations of both parties, including core terms such as goods quality standards, delivery deadline, calculation method of agency service fee, liability for breach of contract, dispute resolution method, etc., to avoid subsequent disputes. If L/C settlement is involved, carefully check the soft clauses of the L/C, such as requiring third-party inspection reports that cannot be obtained or adding unreasonable payment terms, communicate with the overseas purchaser in time to amend them, to avoid the risk of non-payment.

At the same time, attention must be paid to the time point of cargo right transfer, usually endorsing and transferring the bill of lading to the overseas purchaser after the completion of exchange collection, to avoid transferring cargo right without exchange collection leading to unrecoverable payment. In addition, if goods with intellectual property rights are involved, confirm in advance whether the trademark right, patent right, etc. of the goods are legitimate and valid, to avoid the risk of goods being seized by customs or facing infringement claims due to infringement.

The audit and document management of agency export tax refund require focus on compliance and process details. First, complete pre-declaration verification: submit pre-declaration data through electronic tax bureau before formal declaration, and the system will automatically verify whether there are incorrect declaration data or missing documents, such as whether the number of Agency Export Goods Certificate is correct, whether the exchange collection voucher is complete, whether the electronic information of customs declaration form matches. If there is a tax letter investigation, organize a complete set of business documents immediately, including agency agreement, purchase contract, supplier's production records, warehouse receipts, transportation documents, etc., cooperate with the tax authority to complete on-site inspection or letter response, and ensure that the inspection results are completely consistent with the actual business. At the same time, strictly follow the requirement of consistency of the four flows, namely goods flow, capital flow, contract flow, invoice flow must be one-to-one matched, to avoid the risk of rejected tax refund declaration due to fund backflow or document inconsistency. In addition, establish a standard document filing management system, classify and retain all tax refund related documents by year, and retain them for at least 5 years for subsequent verification by the tax authority.
