I run a small household goods manufacturing factory that previously focused only on domestic sales. We started accepting foreign trade orders this year. Since we do not have export qualification and are not familiar with the export tax refund process, we hired an agency company to handle export on our behalf.
When we discussed the cooperation earlier, the other party did not clarify who the export tax refund belongs to. I assumed the refund should be collected directly by our factory, but the agency said they will collect it on our behalf first then transfer it to us, and will charge an additional handling fee.
Now I am not sure who is entitled to collect the tax refund according to policy provisions, whether wrong agreement will lead to tax inspection, and if there is any compliant way to clarify rights and responsibilities. I want to get a clear answer to this question to avoid future disputes that affect tax refund processing.

Under the conventional agency export model, there are two common improper practices in the industry: first, the agency directly withholds the tax refund to offset agency fees, second, the manufacturing enterprise illegally requires the agency to remit the tax refund to a private account. Both practices will trigger a tax correspondence audit alert. For minor cases, enterprises will be required to revise their declarations, for serious cases, their tax refund qualification will be suspended, late payment fines will be imposed, and their tax credit rating will be damaged.
According to the current 2026 export tax refund regulations, the recipient of the tax refund follows the basic principle of "the party handling the tax refund is the party entitled to collect the refund": if the agency declares for export and completes customs clearance in its own name,it will collect the tax refund as the refund handling entity and then transfer it to the actual supplier,if the principal handles the tax refund on its own,the tax refund will be directly collected by the principal.
In the traditional model, direct collection by the principal easily leads to the inconsistency of the four flows. The optimized solution is to clarify rights and responsibilities through a compliant tripartite agreement, stipulating the tax refund recipient, transfer time and service fee rate. The access requirement is to ensure the consistency of four flows: goods flow, capital flow, invoice flow and customs declaration flow.
Dynamic revenue calculation shows that after clearly stipulating the refund recipient, the risk of tax correspondence audit can be reduced by more than 90%,the capital occupation cost caused by ownership disputes can be avoided, the tax refund can be guaranteed to be received within 30 working days, and the compliance risk of tax evasion can be strictly avoided.

Handling export tax refund must meet the verification requirement of four flows consistency, namely consistency of goods flow, invoice flow, capital flow and customs declaration information. If the tax refund recipient is inconsistent with the refund handling entity, it shall be clearly stipulated in the contract, and corresponding transfer vouchers shall be kept.
When responding to tax correspondence audit, a full set of filing documents including agency export agreement, tax refund transfer receipt, goods delivery note and other documents shall be provided. Capital reflux is the key point of export tax refund verification.
If the tax refund is remitted to an account not specified in the agreement, it will be judged as abnormal, trigger a correspondence audit, extend the tax refund processing time, and even be identified as tax fraud in serious cases. Therefore, it is necessary to clarify the refund recipient in advance, keep a full set of documents for filing, and ensure the smooth progress of the tax refund process.

From the perspective of cross-border tax planning, different tax refund recipients will affect the overall tax burden of enterprises. If the principal is a small manufacturing enterprise meeting the preferential conditions for small and micro enterprise income tax, the tax refund shall be included in the enterprise's taxable income as non-operating income.
If the agency collects the refund and then transfers it, the agency shall issue an agency service invoice, and the principal can list the agency fee as cost to reduce the taxable income. It is necessary to calculate the actual tax burden based on the enterprise's annual taxable income, select the collection method that is more beneficial to the enterprise, and comply with relevant provisions of value-added tax and income tax to avoid tax difference loss and maximize the overall income.

The cross-border receipt and payment link also needs to match the information of the tax refund recipient. If the tax refund needs to be transferred after receipt, it must be processed through a corporate account, and private account transfer is prohibited. Otherwise, it will be judged as abnormal foreign exchange settlement by the foreign exchange administration department, which will affect the enterprise's subsequent receipt and payment quota.
When using CIPS for RMB cross-border payment, all capital transfers leave traces. It is necessary to ensure that the flow of each fund complies with the contract agreement and corresponds to the ownership of the tax refund, and sort out the capital transfer path in advance to avoid compliance defects that affect the receipt and payment process of the entire export business.

If the agency export contract does not stipulate the ownership of the tax refund, in accordance with current international trade practices and relevant domestic legal provisions, the ownership of the tax refund belongs to the principal who actually supplies the goods. As the refund handling entity, the agency only collects the refund on behalf of the principal and shall not withhold or offset it, unless otherwise explicitly agreed by both parties.
When signing the contract, clauses such as tax refund recipient, transfer time limit, service fee rate and liability for breach of contract shall be clearly included to avoid ownership disputes. In case of disputes, they can be resolved through negotiation or litigation in accordance with the contract terms. The division of rights and responsibilities shall be clarified in advance to avoid unnecessary legal risks.

When declaring customs for agency export, the operating unit on the export goods declaration form shall be filled with the name of the agency company, and the consignor shall be filled with the name of the actual principal. The tax refund qualification corresponds to the operating unit, so the agency company will handle the tax refund and collect the refund by default.
If the principal has tax refund qualification, it shall be clarified in advance during customs declaration, and the declaration entity shall be adjusted to avoid the failure of normal collection of tax refund due to wrong declaration entity, which will require subsequent cancellation and re-declaration, delay tax refund time and generate additional operation costs. Therefore, the tax refund entity shall be clarified at the customs declaration stage, and matched with the refund recipient.

From the perspective of long-term supply chain structure optimization, the selection of tax refund recipient needs to match the enterprise's foreign trade business development plan. If the enterprise plans to apply for export qualification independently and handle export tax refund on its own in the future, it can stipulate in advance at the agency export stage that the principal shall collect the tax refund on its own, so as to get familiar with the whole tax refund process and prepare for subsequent independent export.
If the enterprise relies on agency export for a long time, it can stipulate that the agency company collects and transfers the refund on its behalf to reduce its own operation cost and focus on production and market expansion. The appropriate collection mode shall be selected according to the long-term development goal of the enterprise.

Unclear tax refund recipient may affect the normal customs clearance and logistics process of goods. If the agency withholds the documents due to tax refund ownership disputes, the goods will not be able to be declared and shipped normally, resulting in additional logistics costs such as container detention charge and port demurrage.
Therefore, clarifying the tax refund recipient in advance can also avoid additional risks in the logistics link, ensure that the goods are shipped according to the scheduled shipping schedule, avoid affecting the logistics timeliness due to commercial disputes and unnecessary cost expenditure, and ensure the smooth and stable operation of the entire export logistics chain.

During the on-site inspection of export goods, the customs will check the ownership of export goods, operating entity and entrustment relationship. If the tax refund recipient is inconsistent with the declaration information, supplementary agency agreement and relevant explanations will be required during inspection, which delays the inspection and release time.
If the tax refund recipient is clarified in advance and the corresponding entrustment agreement has complete information, the corresponding materials can be provided quickly during inspection to speed up the inspection and release, avoid delaying the shipping schedule due to supplementary materials, reduce various costs caused by inspection delay, ensure the goods are shipped on time, and will not affect the subsequent delivery arrangements.
