I am the business director of a foreign trade enterprise. Previously, we were imposed extra tariffs by the target country when exporting ordinary goods, and now we want to avoid trade barriers through entrepot trade, but we have never contacted this type of business before. We have a batch of electronic products manufactured in Southeast Asia, which are planned to be exported to the EU after transiting through a third country.

We have encountered goods detention caused by implicated sanctions before, and now we are worried about risks including document inconsistency, cargo ownership out of control, customs inspection in the entrepot process, as well as compliance issues of taxation and foreign exchange receipt and payment. We want to know the complete operation steps from preliminary preparation to final implementation, and how to avoid common pitfalls in advance.

First,pre-document review shall be completed. The core is to obtain compliant documents from the third transit country, including the third country certificate of origin (most transit ports require certificate of non-reprocessing by 2026),clean ocean bill of lading (blank endorsement or indicative endorsement is required),and entrepot trade contract (the cargo ownership transfer node shall be clearly specified). It is necessary to focus on checking whether there is related transaction risk of cargo ownership,so as to avoid being identified as false entrepot by customs.

Second, core node connection. Mature transit ports such as Singapore and Port Klang in Malaysia shall be selected first, and the transit facilitation policy after RCEP upgrade in 2026 shall be utilized to shorten the document exchange process. Cargo ownership shall be strictly controlled, complete bill of lading endorsement shall be confirmed when exchanging documents at the transit port to avoid the risk of cargo release without bill of lading, and at least 7 days of free storage period shall be reserved to cope with sudden inspection.

Abnormal response plans shall be formulated in advance. If customs detention occurs, complete cargo circulation evidence chain including certificate of origin, packing list and fund transaction vouchers shall be provided at the first time,to cooperate with customs to complete non-reprocessing identification. For port detention costs, you can sign a container detention fee reduction agreement with freight forwarder,or use the free storage policy of transit port to reduce costs.

Finally, compliant implementation. Consistency of four flows shall be ensured: trade contracts, commercial invoices, logistics documents and capital flows are fully matched. The new foreign exchange management regulations in 2026 require that transit certification documents shall be provided for foreign exchange receipt and payment of entrepot trade, and settlement can be completed through CIPS RMB cross-border payment system to avoid exchange rate fluctuation risks. In terms of taxation, you can apply for VAT deferral in the third country to reduce overall capital occupation cost.

The core of customs valuation for entrepot trade is to prove that goods have not generated added value in the transit country. When declaring, the non-reprocessing certification document of the transit country shall be filled in accurately to avoid being identified as domestic processing by customs.

In case of valuation disputes, supporting materials such as original ex-factory invoice of the producing country and transportation documents shall be provided. If necessary, you can apply to a third-party appraisal institution to issue a non-reprocessing report, to cooperate with customs to complete logical closed-loop review.

Transit port selection shall take both cost and efficiency into account. The free storage period of Southeast Asian transit ports will be generally extended to 10 days in 2026, so direct shipping routes can be prioritized to reduce transit times.

The bill of lading shall be endorsed indicatively to ensure flexible transfer of cargo ownership. In case of space shortage, spare space can be locked in advance to avoid cargo delay caused by rolled containers. At the same time, container dynamics shall be tracked, and free storage period application shall be adjusted in time.

Tax planning for entrepot trade shall focus on the tax agreements of the third country. Most transit countries have joined the CRS information exchange system by 2026, so it is necessary to avoid BEPS risks caused by related transaction pricing that does not conform to the arm's length principle.

You can set up a transit trading company, apply for tax resident status of the third country, enjoy VAT deferral policy to reduce overall tax burden cost, and keep cross-border transaction pricing documents for verification at the same time.

Foreign exchange receipt and payment compliance shall strictly follow the 2026 foreign exchange management requirements. The payee and payer of entrepot trade foreign exchange shall be the same entity, and transition through third-party accounts is prohibited.

CIPS RMB cross-border payment system can be used for settlement to avoid geopolitical risks of the SWIFT system. When settling foreign exchange, you can choose the period with small exchange rate fluctuation, lock exchange rate cost through forward foreign exchange settlement products, and keep foreign exchange receipt and payment vouchers for tax inquiry verification.

Entrepot trade contract shall clearly specify clauses including cargo ownership transfer node, transit process, breach liability, etc., to avoid soft clause risks. Force majeure catch-all clause shall be added, and exemption scope shall be agreed for situations such as transit port congestion and customs inspection delay.

At the same time, cargo ownership transfer guarantee shall be signed to ensure cargo ownership security when exchanging documents at the transit port. If intellectual property related goods are involved, customs filing shall be completed in advance to avoid detention due to infringement.
