I run a small and medium-sized private enterprise engaged in entrepot trade. Recently we received an entrepot order for goods transported from Southeast Asia to Europe. The buyer requires us to prepare goods in a third country in advance and transship them to the destination port three months later.

However, our capital is already tight, and we cannot operate normally if we advance the full payment. We intend to collect 30% of the payment in advance from the buyer, but we worry that the 2026 foreign exchange administration policy does not allow advance payment collection for entrepot trade.

Previously one of our peers was requested for verification after collecting advance payment, their account was frozen for more than half a month, and the entire order failed. Now I am not sure whether we can collect the advance payment, what compliant operations we need to perform after collection, and whether there will be follow-up risks. Can you clearly answer the relevant rules and operation requirements for me?

Common industry misunderstandings are that many enterprises believe entrepot trade can only collect payment after delivery, and advance payment collection is definitely non-compliant. Some enterprises do not keep separate document filing after collecting advance payment, and directly handle it together with general trade foreign exchange collection. What is worse, some use personal accounts to collect entrepot trade advance payment, all of which are common wrong operations.

If these misunderstandings are not corrected, they will trigger chain negative reactions: the monitoring system of the State Administration of Foreign Exchange will identify abnormal foreign exchange collection, trigger on-site verification, and require enterprises to provide a full set of documents including goods ownership, logistics and contract documents. During the verification period, the enterprise's settlement account will be restricted from receiving and making payments, which will seriously affect the enterprise's import and export directory registration, and may also lead to fines. The entire entrepot business will be forced to be interrupted due to account freezing, resulting in additional losses such as port demurrage charges and liquidated damages.

The core measure of physical risk isolation is to open a separate settlement account for entrepot trade. All receipts and payments related to entrepot trade are processed through this account, which is completely isolated from the foreign exchange collection and payment of general trade,to avoid system misjudgment of abnormalities. At the operation level,a full set of documents should be prepared in advance, including entrepot trade sales contracts,third-party goods ownership certificates, and logistics arrangement sheets for third-country transshipment. These documents should be sorted out and completed before foreign exchange collection.

Exclusive loss reduction tips: If verification is already triggered, sort out advance payment receipts and corresponding business documents into a file as soon as possible, submit them in order following the logic of consistency of goods flow, logistics flow and capital flow. Do not conceal the advance payment situation, and actively cooperate with the verification. Most compliant advance payment businesses can successfully remove the abnormal status. The current 2026 policy clearly allows advance payment collection for compliant entrepot trade. As long as the document requirements are met,it can be operated legally without excessive worry.

After collecting advance payment for entrepot trade, attention should be paid to the declaration logic in the customs valuation link during customs declaration. The advance payment should truthfully reflect the foreign exchange collection method in the entrepot trade declaration documents, and the advance payment amount shall not be split and concealed from declaration. If the entrepot trade involves secondary declaration for third-country transshipment, the relevant bank slips of the advance payment shall be submitted as supporting documents to avoid the customs valuation department deeming that the goods value declaration is untrue.

If the declaration is suspended due to advance payment, it is necessary to submit the foreign exchange collection certificate at the original declaration port in accordance with the requirements of integrated customs clearance, explain the rationality of the advance payment, and the declaration can be released normally after the logical closed loop is completed. If there is a situation of declaration rejection or need to delete the declaration and re-submit, first adjust the filling of foreign exchange collection information, and then re-submit the declaration to avoid the same abnormality triggering the audit again and delaying the customs clearance time limit.

After collecting advance payment for entrepot trade, focus should be placed on goods ownership control at the logistics level, to avoid subsequent disputes caused by the enterprise not locking the goods ownership after the buyer pays part of the advance payment. If third-country transshipment is arranged, the consignee information shall be clearly indicated on the bill of lading, and the goods ownership of the bill of lading shall not be endorsed and transferred to the buyer before the advance payment is received.

If there is a need to change the port due to full capacity at the transshipment port, the additional expenses incurred can be deducted from the advance payment, but it needs to be clearly agreed in the contract in advance. The application for container detention fee and free storage period should be communicated with the shipping company in advance to reserve sufficient time. Since the transfer of goods ownership for entrepot trade is bound to the arrival node of the advance payment, it is necessary to plan the logistics path in advance to avoid additional logistics costs caused by delayed transfer of goods ownership.

Attention should be paid to cross-border tax treatment for advance payment of entrepot trade. If an overseas buyer pays the advance payment, it is necessary to determine whether it is required to pay withholding tax for non-resident enterprises. In most cases, the profit source of entrepot trade belongs to domestic operating income, and no withholding tax is required.

However, if cross-border related transactions are involved, the pricing should be properly set to avoid being identified as profit transfer and triggering BEPS related investigations. If the advance payment is settled in RMB, you can apply for VAT deferral to reduce capital occupation cost, do a good job in tax risk isolation, and avoid the advance payment being recognized as overseas income, resulting in double taxation. It is necessary to adjust the declaration subject of the advance payment according to the actual transaction structure, to ensure that the tax treatment meets the latest requirements.

No matter whether SWIFT or CIPS settlement is adopted for advance payment of entrepot trade, the transaction code should be truthfully declared when collecting foreign exchange. The transaction code for entrepot trade shall not be wrongly selected, and shall not be selected as the foreign exchange collection code for general trade.

If an offshore account is used to receive advance payment, it is necessary to declare the income and expenditure of the offshore account to the domestic regulatory authorities in accordance with the latest compliance requirements, to avoid being identified as overseas foreign exchange evasion. When settling foreign exchange and balancing accounts, the advance payment should be matched with the corresponding entrepot foreign exchange payment, and the accounts should be balanced one by one.

The funds of multiple orders shall not be mixed. When settling foreign exchange, you can choose the appropriate time to purchase and settle foreign exchange according to the exchange rate trend to optimize exchange gains. The advance payment settled in RMB via CIPS does not need exchange processing, and can be directly entered into the account with lower compliance cost.

For advance payment of entrepot trade, it is necessary to clearly specify the proportion of advance payment, arrival time and breach clauses in the sales contract. If the buyer fails to pay the advance payment on time, the enterprise can delay goods preparation and exempt itself from liability for breach of contract. It is necessary to clarify the nature of the advance payment, and the advance payment shall not be written as deposit, to avoid the risk of double return in case of subsequent breach of contract.

If goods ownership transfer is involved, the goods ownership transfer shall be completed after the full amount of the advance payment arrives. At the same time, the buyer can be required to issue a bank guarantee to protect the rights and interests of the enterprise. The exclusive agreement for entrepot trade should also be bound to the advance payment node, to avoid losses to the enterprise after the buyer breaches the contract. All agreements on advance payment shall be specified in the written contract, and verbal agreements shall not be adopted.

Advance payment for entrepot trade requires good document filing to meet the verification requirement of four-stream consistency. The capital flow should correspond to the specific entrepot order, and there shall be no capital return, otherwise it will trigger tax letter investigation. If the entrepot trade involves export tax refund, the advance payment should truthfully reflect the foreign exchange collection situation during pre-declaration.

If the declaration is made across months, the arrival bank slip of the advance payment shall be taken as part of the document filing, and kept for five years for future reference. When verifying and canceling foreign exchange collection, the advance payment shall be combined with the total foreign exchange collection amount of the entire order for verification and cancellation, to ensure consistent data. The advance payment amount shall not be omitted from declaration, otherwise it will affect the progress of the tax refund process, resulting in delayed tax refund or inability to obtain tax refund.

Advance payment for entrepot trade can optimize the cash flow of enterprises and adjust the cost structure of the supply chain. For enterprises engaged in entrepot trade for a long time, advance payment can be taken as a conventional settlement method to optimize the inventory linkage strategy and reduce their own capital occupation. It is necessary to set different advance payment ratios according to the credit status of different buyers.

For buyers with good credit, the advance payment ratio can be reduced, and for new customers, a higher advance payment ratio can be required to control risks. The advance payment requirements can also be adjusted according to the conversion of trade terms. If the delivery is completed in a third country, a higher proportion of advance payment can be required to reduce their own risks. By dynamically adjusting the advance payment ratio, the cost of the entire supply chain can be optimized and the overall income level can be improved.
