I am a small and medium-sized foreign trade practitioner who has just expanded cross-border entrepot business. I recently received an entrepot trade order, where goods are shipped from Southeast Asia to Europe and transited through a Chinese bonded warehouse.

I only engaged in general trade export before and have no experience in entrepot trade at all. Now I cannot figure out how many steps the whole process is divided into, which nodes require document preparation in advance, and which step is prone to problems.

I am afraid that mistakes will lead to customs seizure or foreign exchange settlement failure, which will make me unable to make profits and even pay liquidated damages. There are only two weeks left before the agreed shipment time, and now I want to clarify what contents are included in the complete entrepot trade process and what preparations should be made for each link?

The whole process of entrepot trade can be divided into four core stages, which are dismantled one by one as follows:

The first stage is pre-preparation and document review. After the two parties to the transaction sign the entrepot trade contract, first complete the pre-review of two core documents: certificate of origin and cargo title certificate, confirm that the origin of the goods does not involve prohibition or restriction control, the ownership of the goods is clear and undisputed, and the contract clauses clearly specify the transit port, delivery rules and foreign exchange receipt and payment requirements,so as to avoid affecting subsequent customs clearance due to document defects.

The second stage is core node connection, which is divided into three steps: First, cargo transportation and transit. If it is a bonded warehouse transit, the bonded warehouse storage filing shall be completed in advance, and the goods shall be directly stored in the bonded zone after arriving at the port. Second, cargo title transfer. Complete the bill of lading endorsement or title transfer according to the contract agreement, and deliver the title after the buyer completes the payment. Third, customs clearance and shipment. Complete customs clearance or transit declaration for shipment according to the requirements of the end buyer.

The third stage is exception plan and compliance implementation. Common exceptions include port detention at the transit port and failure of document verification. Reserve a 7-day buffer period for port detention in advance, and keep a set of spare documents for re-declaration. Finally, complete the verification of foreign exchange receipt and payment and tax filing to ensure three-flow consistency meets the 2026 foreign exchange supervision requirements, and keep complete operation files throughout the process for inspection.

In the process of entrepot trade, customs valuation is the core risk point. You must prepare valuation materials in advance.

The transaction price of entrepot trade should include reasonable costs of the transit link. If third-party cargo title transfer is involved, complete purchase and sales chain documents should be provided to avoid being identified as low price declaration by the customs and causing valuation disputes.

If cross-port operation under integrated customs clearance is involved, cross-regional declaration information filing shall be completed in advance to ensure the logical closed loop of declaration information. In case of document push failure, account suspension and other situations, preparation for document deletion and re-declaration shall be completed within 3 working days, and complete transaction chain materials shall be sorted out and submitted to the customs for verification, so as to avoid extra costs caused by cargo detention and affecting the entire transaction cycle.

For the logistics link in the entrepot trade process, the core is cargo title control and route optimization. If you choose transit at a transit port, you need to confirm the free storage period and detention fee standard of the transit port in advance, and lock the shipping space with the shipping company in advance to avoid space shortage and container rollover delaying the shipping schedule.

If cargo title transfer is involved, confirm the endorsable and transferable attribute of the bill of lading, and control the cargo title throughout the process until the buyer completes the payment. If port change is required, submit the port change application to the shipping company 7 working days in advance to avoid high port change fees. During the cargo transit process, follow up the cargo dynamics throughout the process and update the transit status in time to avoid cargo loss and out-of-control cargo title.

You need to complete structural planning in advance for the tax link in the entrepot trade process. If transiting through the EU, you can apply for VAT deferment to reasonably delay tax payment and reduce capital occupation costs. If cross-border related party transactions are involved, prepare pricing documents in advance to meet the relevant requirements of BEPS and avoid being identified as base erosion and triggering tax investigation.

If non-resident enterprises participate in entrepot trade, confirm the withholding tax payment requirements in advance, isolate tax risks well, and avoid late fees caused by subsequent tax payment. Complete tax materials shall be retained throughout the process to cooperate with the inspection of tax authorities and ensure tax compliance.

The foreign exchange receipt and payment link of entrepot trade shall meet the current foreign exchange supervision requirements. If RMB settlement is adopted, you can use the CIPS RMB cross-border payment system, which has higher settlement efficiency and lower exchange loss. The foreign exchange receipt and payment shall match the payment rhythm of the transaction contract, and lock the foreign exchange purchase rate in advance to reduce losses caused by exchange rate fluctuation.

If an offshore account is used for settlement, complete account filing in advance to ensure that the foreign exchange collection and payment path meets compliance requirements. Foreign exchange settlement and account reconciliation shall correspond to complete transaction documents to avoid the problem of account suspension leading to failure of foreign exchange settlement. SWIFT messages shall be filled with accurate transaction codes to avoid bank rejection delaying settlement.

You need to improve legal documents in advance during the entrepot trade process. When signing an entrepot trade contract, clarify the letter of credit clauses, check for soft clause traps. The cargo title transfer clause shall clarify the delivery node and risk division, and the force majeure clause shall explicitly cover common situations such as port congestion and policy changes.

If a guarantee is required, clarify the effective conditions and cashing rules of the guarantee to avoid being unable to safeguard rights after disputes. If goods involving intellectual property rights are involved, complete the inspection of intellectual property customs protection filing in advance to avoid goods being detained due to intellectual property disputes.

After the transit goods of entrepot trade enter the port, if they encounter on-site customs inspection, prepare complete transaction documents and cargo title certificates in advance, and cooperate with the customs to complete the authenticity check of seals. If container unpacking inspection is required, coordinate with the port area to arrange the unpacking station in advance to avoid extra costs caused by waiting.

Sort out the cargo declaration information in advance for X-ray inspection to ensure that the declaration information is consistent with the actual situation of the goods. If inspection and identification are required, prepare MSDS, product instructions and other materials in advance to shorten the identification process and avoid long-term detention of goods. Check the conclusion immediately after receiving the test report, and apply for recheck in time if there is any objection.

If tax-refundable transit business is involved in the entrepot trade process, you shall do a good job in document management to ensure four-flow consistency and meet the requirements of tax refund verification. Complete foreign exchange collection and verification in advance, corresponding to the capital flow of each transaction.

If there is a tax inquiry correspondence, sort out complete transaction materials and reply in time to avoid delayed tax refund caused by untimely reply. Document filing shall retain all transaction documents as required, including contracts, bills of lading, foreign exchange payment and collection vouchers. For cross-month declaration, complete pre-declaration verification in advance, check declaration errors, adjust in time, and avoid affecting the arrival of tax refund.
