I am a self-employed individual exporting home appliances from the Yangtze River Delta. I have been in this business for almost six years. Previously, I have been using general trade to ship products to the EU market. At the end of 2025, the EU imposed a 25% anti-dumping duty on Chinese home appliances.

Now nearly two-thirds of the profit per shipment has been eroded. If I continue like this, I will lose my principal. Last week, I had dinner with peers in Yiwu, and they said they have been switching to entrepot trade for almost half a year, with significantly reduced taxes. I approached three agencies for solutions, but each proposed a different operating model.

Some said just changing the bill of lading from a third country is sufficient, while others mentioned labeling processing in the third country is also required. I am completely confused now. I am afraid of encountering a rogue agency that would carry out "sham entrepot" which would lead to cargo detention and fines by customs. I want to first clarify what the actual characteristics of formal entrepot trade are and what clear judgment standards exist.

The core characteristics of formal entrepot trade can be clearly judged from three nodes. Firstly, there is a secondary transfer of title of goods. After the goods are exported from the country of origin, the title of goods will first be transferred to the third-country entrepot trader. After completing customs clearance, warehousing,or simple processing, the entrepot trader will then transfer the title of goods to the buyer in the final destination country. The buyer in the final destination country will never hold the bill of lading from the country of origin directly throughout the whole process.

Secondly, the documentation chain is logically self-consistent,with all documents having completely corresponding time, quantity of goods, and product names. Firstly, there is a full set of customs declaration and logistics documents from the country of origin to the third country. Secondly, there is a full set of supporting documents for local customs clearance, warehousing, and processing (if applicable) in the third country. Finally, there are documents such as certificate of origin, customs declaration form, and bill of lading from the third country to the final destination country. The third-country certificate of origin must be formally issued by the local customs or chamber of commerce, and its authenticity can be verified online.

Thirdly, there is corresponding matching in the capital flow. The payment will first be transferred from the final destination buyer to the third-country entrepot trader's account. After deducting service fees and local taxes, the entrepot trader will transfer the remaining payment back to the domestic exporter's account. The entire capital flow chain is completely consistent with the physical goods flow and documentation flow, and there will be no direct transfer of funds from the destination country back to the domestic side.

If the solution provided by the agency only requires you to provide domestic export documents and all other materials are "processed for you" without you connecting to any operation nodes in the third country,it can basically be judged as sham entrepot. Once verified by the destination country's customs, not only will the full amount of anti-dumping duty be collected retroactively, but you will also be included in the list of untrustworthy entities, and all subsequent goods will be subject to key inspection. Before operation, you can ask the agency to provide successful case documents of entrepot trade for the same category in the past 3 months to verify the logical consistency.

From the perspective of customs supervision, the declaration characteristics of compliant entrepot trade are very clear. When declaring for domestic export, the trade mode must be declared as "entrepot trade" instead of "general trade". When declaring, it is necessary to upload the qualification documents of the third-country entrepot trader and the trade contract signed with the entrepot trader in advance, and inform the customs of the final destination country of the goods in advance. If the entrepot attribute is concealed and declared as general trade for export, once the customs verifies that the goods are actually sent to the third country for entrepot later, the price review procedure will be directly triggered.

If a complete transaction chain certificate cannot be provided, it will be deemed as underreporting the value of goods. Not only will the tax be supplemented, but also a fine of more than 5% and less than 30% of the value of goods will be imposed. The 2026 integrated customs clearance system has realized data networking with more than 200 countries and regions around the world. The customs clearance data of goods in the third country will be automatically synchronized to the domestic customs database, so there is no room for concealment.

From the perspective of logistics chain, the logistics characteristics of entrepot trade have clear node characteristics. Firstly, there are two complete transportation segments: the first leg is from the domestic port to the third-country port, and the second leg is from the third-country port to the final destination port.

The bill of lading number and container number of the two segments are completely corresponding. The situation that the container is directly shipped from the domestic port to the final destination country will not occur. Secondly, after the goods arrive at the third-country port, there will be complete records of container discharge, container return, warehousing, or container change.

If simple processing such as labeling or re-packaging is involved, there will also be corresponding operation records and venue certificates. The free demurrage period should be applied for at least 14 days to avoid high detention fees caused by delays in third-country customs clearance. The second leg booking should be locked 10 days in advance to avoid delivery delays caused by overbooking and shipping rejection.

From the perspective of tax compliance, the tax-related characteristics of entrepot trade have clear judgment standards. The domestic export link does not need to pay value-added tax, and cannot enjoy the export tax rebate policy. Because the goods have not actually left the territory to enter the consumption link, but only passed through the third country for entrepot. The third country link only needs to pay value-added tax corresponding to local warehousing fees and operation fees. If simple processing is involved, if the processing added value is less than 10% of the value of goods, enterprise income tax does not need to be paid.

If the added value exceeds 10%, corporate income tax shall be paid in accordance with local regulations. When clearing customs in the final destination country, tariffs are paid according to the rate of the third country of origin, and anti-dumping duties and countervailing duties targeting Chinese-origin goods are not required. If export tax rebate is applied in violation during operation, once verified by the tax department, the full amount of tax rebate will be recovered, and a fine of 1 to 5 times the amount of tax rebate will be imposed. For serious circumstances, criminal liability may also be investigated.

From the perspective of foreign exchange receipt and payment, the capital flow characteristics of entrepot trade are very clear. The whole process must follow the principle of "receiving payment first, then making payment". Firstly, the full payment paid by the buyer in the final destination country must be received before paying the domestic supplier, and the situation of "making payment first, then receiving payment" is not allowed. When receiving and paying foreign exchange, a complete set of trade documents must be provided to the bank, including the trade contract with the third-country entrepot trader, the first leg and second leg bills of lading, and the third-country customs clearance certificates.

The bank will handle the settlement and sale of foreign exchange after verifying the logical consistency of the documents. In 2026, the CIPS system has realized full coverage of major global economies. The efficiency of cross-border RMB settlement is more than 30% higher than that of SWIFT, and it will not be frozen. RMB can be preferentially selected for settlement of entrepot trade to avoid exchange rate fluctuation risks, and the settlement cost is about 0.2% lower than foreign currency settlement.

From the perspective of contract terms, the contract characteristics of entrepot trade have clear features. Two independent trade contracts need to be signed: one is the purchase contract signed between the domestic exporter and the third-country entrepot trader, and the other is the sales contract signed between the third-country entrepot trader and the final destination country buyer.

The product name, quantity, and specification of the two contracts are completely consistent, but there is a reasonable price difference in the value of goods. The price difference is the service fee of the entrepot trader and local operating costs. The node of title transfer needs to be clearly agreed in the contract. The title of goods is transferred to the entrepot trader after the first leg goods arrive at the third-country port and complete customs clearance.

The title of goods is transferred to the buyer after the second leg goods arrive at the final destination country port and complete customs clearance. At the same time, force majeure clauses need to be agreed. If the goods cannot be shipped on time due to third-country policy changes or port congestion, the entrepot trader shall bear all losses to avoid losses to the domestic exporter.

From the perspective of tax refund management, the document characteristics of entrepot trade have clear requirements. All documents need to be retained for more than 10 years for future reference, including the domestic export customs declaration form, first leg bill of lading, trade contract with the entrepot trader, third-country customs clearance certificate, second leg bill of lading, trade contract between the third country and the final buyer, payment receipt, and foreign exchange receipt and payment voucher. Since export tax rebate cannot be applied for in entrepot trade, the "no tax rebate" option needs to be checked in the tax refund system when declaring, and the entrepot attribute cannot be concealed to apply for tax rebate.

If the tax department initiates a letter verification afterwards, a complete set of documents needs to be submitted within 15 working days. If a complete chain certificate cannot be provided, it will be deemed as tax fraud. Not only will the tax rebate be recovered, but also the export tax rebate qualification will be suspended for more than 6 months. For serious circumstances, the export tax rebate qualification will be permanently cancelled.

From the perspective of cost structure, the cost characteristics of entrepot trade have clear composition. The total cost mainly includes first leg freight, third-country customs clearance fee, warehousing fee, operation fee, certificate of origin processing fee, second leg freight, and entrepot trader service fee. The total cost accounts for about 8% to 12% of the value of goods. Compared with the 25% anti-dumping duty, the cost can be saved by about 13% to 17%.

If the value of goods is high and the single shipment volume is large, the cost proportion will be lower, with a minimum of about 5%. When selecting a third-country entrepot location, priority should be given to countries that have signed free trade agreements with China and the final destination country, such as Malaysia and Thailand in ASEAN, or Serbia in Eastern Europe. These countries have stable entrepot policies, low operating costs, and high customs clearance efficiency. Under normal circumstances, the whole operation cycle is only 7 to 10 days later than direct shipment to the destination country, which will not affect the normal delivery cycle.
