I am engaged in small and medium-sized cross-border beauty trade. In the past six months, I have continuously encountered the increase of EU anti-dumping tariffs on Chinese beauty products, and the delivery timeliness of cooperative factories in Southeast Asia has also been unstable. Recently, someone suggested that I transport the goods from the Southeast Asian factory to a third country and then re-ship them to EU customers.

The boss asked me to first sort out the core reasons for doing entrepot trade, and whether there are other practical benefits besides avoiding high tariffs. We also currently encounter the problem of bank verification for third-party payment and foreign exchange settlement. We have never operated entrepot trade before, and do not know if entrepot trade can solve such pain points. We also want to know what core reasons foreign trade enterprises usually have for setting up entrepot trade. Please sort out the core logic clearly so that I can report to the boss for decision-making.

Traditional direct shipping mode, for goods produced in third countries and restricted by destination market, will face three major cost drawbacks: First, high additional tariffs caused by anti-dumping and countervailing duties from the destination country against the origin country, with additional tariffs for some categories exceeding 30% of the product value, completely eroding normal profits,Second, the logistics cost of consolidated LCL direct shipping for multiple small batches is much higher than that of transshipment consolidation, making it impossible to dilute unit logistics expenditure,Third,it is impossible to use tariff differentials and exchange rate differentials in different regions to obtain additional benefits.

The core optimization path of entrepot trade is to rely on the compliant trade status of the transit country, use the low tariff policy of the destination country towards the transit country to achieve cost reduction. At the same time, through VAT deferral and peak-to-valley exchange of exchange rate differences,it can further amplify actual benefits. In addition to cost aspects, entrepot trade can also meet diverse compliance needs. For common scenarios such as third-party payment and goods ownership splitting, compliant entrepot trade can straighten out the transaction link, meet the requirements of banks for foreign exchange receipt and settlement verification, and solve the unclear link problem under the direct shipping mode.

In terms of access threshold evaluation, entrepot trade only requires the transit country to have compliant warehousing, document exchange, and customs clearance qualifications. There is no need for enterprises to actually rent factories or make large-scale fixed asset investments locally. Small and medium-sized foreign trade enterprises can also easily access it.

The final decision requires dynamic benefit calculation. Calculate comprehensively costs of transit logistics, document exchange, and qualification use in advance, and compare with the benefits brought by tariff reduction and compliance optimization. Only when the comprehensive benefit exceeds the additional investment,it is suitable to lay out entrepot trade. Do not follow the trend blindly,so as to avoid unnecessary additional operating costs.

Entrepot trade can avoid trade control measures implemented by the destination customs against the origin country. Some destination markets have access bans, additional price review thresholds, or quota restrictions on goods from specific origin countries. Through entrepot trade operations, compliant certificates of origin can be obtained (under the premise of meeting origin rules), meeting the access requirements of the destination customs, and avoiding goods being returned or detained due to origin qualification issues.

For the price review link, entrepot trade can straighten out the transaction link of goods, avoid price document inconsistency caused by multiple handovers, reduce the probability of price review disputes. If a price review query occurs, complete transshipment transaction documents can also be provided to quickly complete the proof and shorten the customs clearance time.

When there is no stable direct shipping route between the origin and the destination, or the probability of overbooking and cargo rejection on direct routes is high, and freight rates are persistently high, entrepot trade can optimize the logistics path. Select transit hub ports to split containers and re-consolidate to dilute the logistics cost of small and medium-sized batch goods. At the same time, it can flexibly adjust the port of departure.

If the destination customer temporarily changes the delivery port, entrepot trade can re-route directly at the transit port, avoiding high detention fees and port change fees caused by the full container round trip. For goods ownership transfer requirements, entrepot trade can complete bill of lading endorsement transfer at the transit port without actual entry of goods, flexibly meeting the goods ownership change requirements of multi-hand transactions and shortening the transaction cycle.

There are obvious differences in corporate income tax and VAT rates between different countries and regions. Entrepot trade can use policies of low-tax regions to reduce overall tax expenditure through reasonable tax structure arrangements.

At the same time, it can enjoy the VAT deferral policy of the transit country, without actually paying VAT in the transit country, alleviating the capital occupation pressure of enterprises. For cross-border related transactions, entrepot trade that meets BEPS requirements can reasonably allocate profits, reduce the overall tax base, avoid additional expenditure of non-resident enterprise withholding tax, realize legal tax planning, and will not trigger anti-tax avoidance verification.

Some countries have foreign exchange controls, or the cross-border RMB payment link is not smooth. Entrepot trade can complete foreign exchange receipt and settlement through offshore accounts of the transit country, straightening out the capital link, meeting the compliance requirements of CIPS or SWIFT, and avoiding funds being hung up or verified by intermediate banks.

For third-party payment scenarios, entrepot trade can split the transaction link into supplier-transit party-customer, with the capital link corresponding to the goods ownership link, meeting the compliance verification requirements of domestic banks for foreign exchange receipt and settlement, solving the problem that third-party payment cannot be verified under the direct shipping mode.

When buyers and sellers have trust issues regarding goods ownership and payment, entrepot trade can complete the delivery of goods ownership and funds through a third-party transit, reducing transaction risks for both parties. It can avoid payment defaults caused by soft clauses in letters of credit, and guarantee the rights and interests of both parties through guarantee mechanisms.

For intellectual property protection, entrepot trade can complete compliant intellectual property filing in the transit country, avoiding goods being detained by customs for intellectual property infringement during direct shipping, ensuring the smooth completion of transactions. If transaction disputes occur, entrepot trade can select a judicial jurisdiction region that is neutral for both parties, reducing the cost of dispute resolution.

In the layout of cross-border supply chains, entrepot trade can realize flexible allocation of regional inventory. Store goods in bonded warehouses at transit hub ports in advance, and flexibly allocate shipments according to order demands from different destination markets, shortening order delivery cycles and reducing inventory pressure in the end market.

For trade term conversion, entrepot trade can flexibly switch different trade terms such as FOB and CIF to adapt to the delivery requirements of different customers. There is no need to adjust the overall transaction structure, optimizing overall supply chain costs and improving the speed of responding to market demands.

For goods that do not meet the conditions for direct export tax rebates, compliant entrepot trade can meet the four-flow consistency requirements of export tax rebates, straightening out the correspondence between goods flow, capital flow, invoice flow, and contract flow, avoiding problems of tax letter verification failure, and helping enterprises successfully obtain export tax rebates. For goods purchased across regions, entrepot trade can clearly retain complete document filing, meet the verification requirements of tax authorities for the compliance of tax rebates, avoid funds being determined as illegal due to capital backflow, protect the tax rebate rights and interests of enterprises, and reduce tax rebate compliance risks.

In the direct shipping process, if goods fail to be inspected at the origin port, or need to be repackaged, entrepot trade can transfer goods to the transit port to complete unpacking adjustment and re-sealing, without returning to the origin port, saving a lot of time and logistics costs. For inspection requirements of the destination customs on goods, entrepot trade can complete pre-inspection and submission for identification at the transit port in advance, obtain qualified test reports, reduce the probability of goods being detained and inspected at the destination port, shorten the overall customs clearance time, avoid high demurrage fees and storage fees, and ensure that goods are delivered to customers on time.
