I am a small and medium-sized foreign trade practitioner who has just started entrepot trade. Recently, I took an order for third-country entrepot business where goods are shipped from a domestic factory to Singapore and then to EU customers. I have never operated entrepot business before.
I heard from a peer that he had his goods detained at the transit port due to incomplete procedures, was inspected by the domestic customs, and finally not only paid a fine but also lost an old customer he had cooperated with for many years. I am now very worried about stepping into pitfalls.
I don't know exactly what procedures to prepare in advance, can't distinguish between those that need to be done domestically and those in the transit country, and am also unsure about the rules for payment/collection of foreign exchange and filing. Can you explain all the procedures that need to be prepared from start to finish for entrepot trade?

The preparation of entrepot trade procedures should be sorted out in the order of the entire chain, starting with the implementation of pre-document review. Step 1: Confirm in advance whether the goods fall into the prohibited or restricted category for entrepot trade. Basic documents required for ordinary goods include: one purchase and sale contract each from the upper and lower suppliers, proof of goods ownership, certificate of origin, manifest and bill of lading information. The transit warehouse rental and container agreement in the transit country also need to be prepared in advance. All documents' goods description, quantity, and header information should be cross-checked for consistency to avoid deviations.
Core node connection is divided into three parts: For the domestic exit link, truthfully declare the entrepot trade exit to the customs, truthfully mark the real information of the transit country, and do not conceal the entrepot intention,For the transit country link, complete the goods entry filing in the transit country in advance. If container or document replacement is needed, keep the container replacement certificate and bill of lading copy from the transit warehouse,For the domestic filing link, complete the registration of the entrepot trade payment/collection of foreign exchange directory in advance to ensure the compliance of the payment/collection path.
Two sets of abnormal response plans should be prepared in advance: If the customs inspects the authenticity of documents, prepare the communication records and payment receipts between the upper and lower suppliers in advance and cooperate with the inspection at any time,If there is an abnormal customs clearance in the transit country, authorize the local agent to prepare the transit certificate documents in advance to avoid additional costs due to port detention of goods.
For final compliance implementation, document archiving should be done well. All entrepot trade documents need to be retained for at least 5 years for future reference. Maintain consistency among the four flows: contract, goods ownership, funds, and documents to avoid problems in subsequent compliance inspections. As long as the requirements of each node are sorted out in advance, the business operation can be completed smoothly.

During the declaration of entrepot trade, the price assessment link is the core focus of inspection. If the goods belong to high-risk categories, the customs will prioritize verifying the authenticity of the entrepot trade. It is necessary to prepare materials explaining the rationality of the entrepot price in advance.
If there is a price increase in transit, prepare corresponding cost explanation documents to avoid being judged as unreasonable price. When declaring, ensure that the entrepot mark is correctly checked to avoid the system misjudging it as general trade export, leading to document deletion and re-declaration, which affects customs clearance efficiency. If there is a declaration error, submit a situation explanation to apply for document modification in time, do not take chances, otherwise it will be marked as abnormal declaration by the system, affecting the overall customs clearance credit rating of the enterprise.

In the logistics link of entrepot trade, the bill of lading endorsement transfer and goods ownership transfer procedures should be confirmed in advance. If the bill of lading needs to be replaced in the transit country, communicate with the shipping company in advance about the document replacement time and qualification requirements to avoid additional container detention fees and port detention fees.
When choosing a transit plan, if the goods need to be stored in the transit country for more than three months, confirm the storage qualification and supervision requirements with the transit warehouse in advance and keep complete in and out warehouse records. When transferring goods ownership, ensure that the bill of lading endorsement is continuous and complete to avoid subsequent ownership disputes. If a named bill of lading is chosen, confirm in advance whether it meets the customs requirements of the transit country to avoid being unable to clear customs for transit.

For the tax procedures of entrepot trade, confirm the domestic and foreign tax compliance requirements in advance. If VAT is involved, confirm in advance whether VAT needs to be paid in the transit country and whether VAT deferment can be applied for, and make plans in advance to avoid additional tax costs.
If it is an entrepot business involving cross-border related transactions, prepare the related transaction pricing documents in advance to meet the latest BEPS requirements, avoid being identified as tax base erosion by the tax authorities and subject to tax adjustment. For non-resident enterprises participating in entrepot trade, confirm the withholding requirements for withholding tax in advance and complete the withholding declaration on time to avoid late fees and fines.

For the payment/collection of foreign exchange in entrepot trade, complete the directory registration in advance. If RMB is used for payment/collection, confirm that the payment/collection path complies with the RMB cross-border payment compliance requirements. If foreign exchange is used for payment/collection, complete the entrepot trade foreign exchange payment filing at the bank in advance.
The bank will verify the authenticity of the transaction documents. Preparing a full set of documents in advance can speed up the verification efficiency. The payment/collection of foreign exchange for the same entrepot trade transaction should correspond to the same transaction, do not mix payment/collection for multiple transactions to avoid problems during foreign exchange settlement and being marked as an abnormal transaction by the bank, affecting the handling of subsequent payment/collection of foreign exchange business.

The goods ownership transfer clause in entrepot trade should be clearly stipulated in the purchase and sale contract, clarifying the time of goods ownership transfer and responsibility division at each node. If a letter of guarantee is needed, clarify the effective conditions and validity period of the guarantee to avoid being unable to collect payment normally due to soft clauses in the letter of credit.
If intellectual property rights are involved, confirm the ownership of the goods' intellectual property rights in advance and check the customs protection filing status of intellectual property rights in the transit country to avoid the goods being detained due to intellectual property disputes. The force majeure clause should clearly cover situations such as port detention in the transit port and sudden policy adjustments to provide risk protection.

When the entrepot goods are subject to on-site inspection, prepare the complete seal information in advance and cooperate with the customs to check the seal number and authenticity. If unpacking inspection is needed, arrange the unpacking personnel and venue in advance to avoid additional costs due to delayed arrangement. Before machine inspection, sort out the goods packing list in advance to ensure that the packing information is completely consistent with the declaration information.
If the machine inspection shows an abnormal prompt, cooperate with the customs for further manual inspection in time, truthfully explain the specific situation of the entrepot trade, and cooperate with the customs to complete the inspection and identification process. Do not conceal relevant information to avoid triggering more serious inspections.
