We are a small and medium-sized enterprise engaged in mechanical and electrical foreign trade. Recently, we received a new order: domestic factory supply, final sale to an ASEAN customer, who requires entrepot trade via Singapore and replacement with a third-party Bill of Lading (B/L) for customs clearance.
We have never handled entrepot trade before. In the past six months, we have heard of several peers who encountered problems: either goods detained by customs due to non-compliant documents, or funds frozen due to non-compliant foreign exchange receipts and payments, with significant losses.
Now we have received the customer's advance payment, and the goods will enter the port for loading next week. We are not confident, unclear about the entire process, which links are risk points, and how to operate to meet the latest 2026 regulatory requirements. We hope you can help us sort out specific methods.

The first step in entrepot trade operations is pre-document review: verify the cargo ownership description in the sales contract, qualification certificates of the third-party transit country in advance, confirm the authenticity of the transaction background between the buyer and seller, and focus on checking whether the goods are restricted or prohibited for entrepot trade and whether the transit port has special regulatory requirements. Note that since 2026,customs requires entrepot trade to retain full sets of cargo ownership transfer documents, and only transit warehouse receipts are not accepted,to avoid being detained due to incomplete documents.
The connection of core nodes is divided into three parts: first, the cargo shipment stage: confirm that the shipper and consignee of the B/L meet the entrepot requirements, and reserve operational space for B/L endorsement transfer, second, the transit link: confirm the compliance procedures for document exchange and warehousing with the transit warehouse in advance to avoid cargo ownership disconnection, finally, the foreign exchange receipt and payment link: report the entrepot trade background to the bank in advance, and prepare full sets of transaction materials for bank review.
Emergency plans need to be prepared in advance. If there is container rejection and port re-routing at the transit port, update all cargo ownership documents immediately and synchronize with the buyer, seller and bank to avoid failure of foreign exchange receipt and payment due to inconsistent document information. If customs questions the transaction background, prepare all transaction communication records and cargo ownership transfer vouchers in advance, and cooperate with the inspection.
Final compliance implementation needs to meet the requirement of "three streams in alignment": the cargo flow, capital flow and document flow are consistent. After operations are completed, promptly archive and retain all sets of documents for no less than 5 years to meet subsequent regulatory inspection requirements. All nodes of the entire process need to keep written records to avoid inability to trace responsibilities after problems arise and delaying problem resolution progress.

In the customs valuation link of entrepot trade, focus on the rationality of transaction pricing. If there is a reasonable spread in entrepot trade, prepare complete pricing basis in advance, including procurement costs, transit fees, proof of reasonable profits, etc., to avoid being deemed as unreasonable price by customs and leading to valuation adjustment.
If there is fund freezing or document deferral, supplement transaction background materials immediately, explain the logic of cargo ownership transfer in entrepot trade, and sort out the complete chain from domestic supplier to transit party to final buyer, ensuring the customs declaration information is logically closed. In response to the new requirements of customs integration in 2026, cross-port entrepot trade needs to report transit information to the origin port customs in advance, to avoid the destination port customs determining that document information is inconsistent and leading to document deletion and re-declaration, increasing operational costs.

For the selection of logistics path in entrepot trade, compare the free storage period, transit fees and document exchange efficiency of transit ports in advance, prioritize ports with standardized document exchange processes and clear cargo ownership supervision for transit, to avoid choosing small ports with vague transit rules and increasing cargo ownership risks.
If container rejection or space shortage occurs requiring port re-routing, complete synchronous B/L endorsement changes immediately, and synchronize the new transit information with the buyer, seller and foreign exchange receipt and payment bank, to avoid capital settlement obstruction due to inconsistent information. B/L endorsement transfer must be operated strictly in accordance with the sales contract requirements, ensuring complete and clear endorsement information, to avoid failure of normal transfer of cargo ownership to the final buyer due to non-standard endorsement, resulting in additional losses such as detention charges and demurrage fees.

Entrepot trade can reasonably optimize tax costs by utilizing tax differences between different countries. Qualified entrepot trade can apply for VAT deferral, reducing the capital occupation cost of the transit country and improving the overall profit margin.
For cross-border related-party transaction entrepot business, prepare pricing documents meeting BEPS requirements in advance, to avoid being deemed as base erosion by tax authorities and resulting in additional tax payments and penalties. For non-resident enterprises participating in entrepot trade, sort out the withholding tax payment requirements in advance, confirm whether the transaction meets the conditions for enjoying tax treaty treatment, complete filing in advance, to avoid unnecessary tax overpayment.

For foreign exchange receipt and payment of entrepot trade, SWIFT or CIPS RMB cross-border payment can be selected according to transaction situations. Under the facilitation policy of RMB cross-border settlement in 2026, compliant entrepot trade can complete settlement directly with full sets of documents without additional manual verification, improving settlement efficiency.
Note that the time difference between foreign exchange receipt and payment of entrepot trade needs to be reported to the bank in advance. If the interval exceeds 180 days, submit an extension explanation in advance, to avoid the account being marked as abnormal. For offshore accounts used for entrepot trade receipts and payments, retain complete transaction records and documents to meet the compliance review requirements of offshore accounts, to avoid account freezing affecting capital use.

The contract for entrepot trade needs to clarify the cargo ownership transfer nodes, check for soft clauses in the Letter of Credit (L/C), and focus on verifying the L/C requirements for the entrepot trade B/L, to avoid failure of negotiation due to inability to issue the required B/L. It is necessary to add fallback content of force majeure clauses in the contract.
In case of force majeure events such as strikes or port congestion at the transit port, clarify the responsibility division of all parties to avoid unnecessary disputes. Confirm that the cargo ownership transfer process complies with the laws of the transit country. If a guarantee letter is required, clarify the effective conditions and responsibility scope of the guarantee letter to avoid exceeding the responsibilities that should be undertaken.

If a tax investigation notice is received, prepare complete capital flow and cargo flow proofs in advance, explain the authenticity of the transaction, to avoid tax refund failure due to unpassed investigation. For entrepot trade, select appropriate trade terms according to the actual transaction situation. If the buyer is responsible for the logistics after transit, choose FOB origin port terms; if the seller is responsible for the entire transportation, choose CIF destination terms. The selection of trade terms directly affects the responsibility division and cost composition of all parties, so advance calculations are needed.
If entrepot trade is carried out for a long time, establish a fixed transit warehouse at a stable cooperating transit port to reduce the operational cost of a single transit. Dynamically adjust the transit path through a cost actuarial model, select the operation plan with the lowest cost and highest compliance, and match the actual business needs to optimize the overall supply chain structure.
