I have been working as a cross-border building materials entrepot trade practitioner for nearly 5 years. Recently, I received two new orders: one is for goods supplied by a domestic factory to Europe, which needs third-country entrepot trade to avoid anti-dumping duties; the other is building materials of Middle Eastern origin being resold to South Korea.
The current freight forwarder requires both orders to arrange actual transit logistics, but I heard from peers that it is possible to use pure documentary flow without actual entry into third-country logistics, which can save more than 100,000 yuan in logistics and warehousing costs. I was previously stuck in foreign exchange settlement due to non-compliant documents, so now I am very uncertain and afraid that saving costs may lead to compliance issues. I want to ask whether entrepot trade definitely needs logistics, and how to handle different situations?

The most common misconception in the industry is that either all entrepot trade must arrange actual transit logistics,or that pure documentary flow can replace all logistics operations. Both mindsets will trigger subsequent risks.
If the third-country entrepot trade is used to avoid anti-dumping duties, failure to arrange actual entry into third-country logistics operations will directly lead to the third-country certificate of origin not being recognized by the destination country customs. The direct result derived from this is that the goods will be detained at the port, and later need to pay anti-dumping duties several times higher than normal tariffs, leaving a customs violation record. All subsequent goods sent to this country will be subject to key inspections and even directly included in the customs clearance blacklist. For ordinary entrepot trade,if there is no matching logistics information at all,the foreign exchange settlement link of banks will determine that the documents are inconsistent, making normal settlement impossible,in serious cases,it will be judged as illegal cross-border capital flow, and the offshore account will be frozen.
For different scenarios, risk isolation methods are very clear: ordinary entrepot trade only needs to retain the full logistics documents, and there is no need for actual container unpacking and transit. The goods can sail directly to the final destination port. As long as the logistics information matches the trade contract and invoice,it can be implemented in compliance.
For anti-dumping-type entrepot trade, actual transit logistics operations entering the third country are mandatory. Only the processes of container re-consolidation and re-issuance of certificates of origin need to be completed, and no additional high warehousing costs will be incurred. You can negotiate free demurrage periods with transit ports in advance, which can reduce transit costs by more than 30%.

In the customs declaration and valuation link of entrepot trade, customs will verify the consistency between trade documents and logistics information. Whether actual transit is arranged or not, the lack of corresponding logistics information will trigger a valuation early warning. Pure documentary operations cannot provide corresponding ocean bills of lading or air waybills.
Customs will directly request the full set of proof materials for the transfer of cargo ownership. If they cannot be provided on time, the declaration will be deleted and re-declared, and the enterprise will be included in the key supervision list. Subsequent customs declarations will all be manually reviewed, prolonging the overall customs clearance time.
For entrepot trade customs declaration, it is necessary to mark the trade attribute in the declaration link in advance. The place of origin, transit place, and destination of corresponding logistics information must be completely consistent with the contract. Even for direct-voyage entrepot trade, full set of waybill information must be provided to match the declaration, avoiding logical deviations that may cause disputes.

The transfer of cargo ownership in entrepot trade must rely on logistics documents. Even if the goods do not actually enter the transit country, a corresponding compliant logistics bill of lading is required for endorsement and transfer. Without logistics operations, a legal bill of lading cannot be issued, and cargo ownership cannot be normally transferred. The buyer may refuse to pay the purchase price according to the trade terms.
For entrepot trade requiring actual transit, it is necessary to confirm the free demurrage period and container detention fee agreements with the transit port agent in advance. Many small and medium-sized traders easily overlook this, resulting in additional demurrage fees of thousands of US dollars after the goods arrive at the port, eating most of the trade profits. For direct-voyage entrepot trade, it is necessary to require the carrier to clearly mark the transit attribute of the goods on the bill of lading to avoid misjudging the origin by the destination country customs.

The tax identification of entrepot trade will refer to logistics information. Different logistics arrangements will affect the identification results of income tax and tariffs. If it is pure documentary operation without corresponding logistics information, the tax authorities of the transit country will determine that the income of this transaction comes from the territory, requiring the payment of non-resident enterprise withholding income tax, increasing the overall tax cost.
For entrepot trade used to avoid anti-dumping, without actual logistics records, the tax authorities of the destination country will not recognize the third-country origin identity, requiring the payment of anti-dumping duties and late fees. Operationally, entrepot trade using VAT deferral policies must retain corresponding transit logistics documents to enjoy deferral preferences and reduce capital occupation costs.

In the cross-border foreign exchange settlement link, banks will verify the authenticity of the trade background, and logistics documents are one of the core proof materials. For pure documentary flow entrepot trade with no logistics information at all, banks will refuse to handle settlement or foreign exchange purchase business, and will also submit the transaction for verification. In serious cases, offshore accounts will be frozen, affecting all subsequent cross-border foreign exchange operations.
The current CIPS (Cross-Border Interbank Payment System) has strict requirements on the review of entrepot trade. Corresponding logistics documents must be provided, even for direct-voyage entrepot trade, full set of waybill scans must be provided for background verification to complete settlement normally. The foreign exchange settlement pass rate for entrepot trade with matching logistics information can reach more than 90%.

In cargo ownership disputes of entrepot trade, logistics bills of lading are the core basis for courts to determine the ownership of cargo. Without corresponding logistics operations, a legal and valid bill of lading cannot be issued. Once the buyer refuses to pay or the seller defaults, the cargo ownership cannot be claimed through legal channels, and finally only the loss of the purchase price can be borne.
If letter of credit settlement is involved, the letter of credit terms will require the provision of a full set of logistics documents. Without a logistics bill of lading, the documents will be inconsistent, and the bank will directly refuse payment. Even for tripartite agreement entrepot trade, it is necessary to clearly specify the requirements for issuing logistics documents in the contract, and agree that the transfer node of cargo ownership is completed through logistics endorsement to avoid potential legal risks.

When transit goods of entrepot trade are inspected at the transit port, customs will verify the seal information and cargo information. Goods that do not actually enter the transit port cannot provide corresponding inspection records, which will directly affect the validity of the third-country certificate of origin.
If actual transit is carried out, the seal authenticity needs to be re-verified after container re-consolidation. The transit agent is required to issue a new seal number corresponding to the customs declaration and bill of lading information. During container inspection, prepare the certificate of origin and packing list of the goods in advance.
If they are consistent with the declared information, inspection and release can be completed quickly without delaying the ship schedule. In case of inspection for identification, retain sample goods in advance, which can shorten the identification process by more than half a month.

For entrepot trade involving domestic procurement, the export tax rebate link requires four-stream consistency, and logistics information is an indispensable part of the four streams. Without corresponding logistics information, tax correspondence will be triggered, and the tax rebate verification cannot be passed normally.
After the domestic supplier's goods are exported, the consignor information on the logistics bill of lading must match the supplier information, and the transit information must be consistent with the entrepot trade contract to meet the document filing requirements. For direct-voyage entrepot trade, it is necessary to mark the entrepot trade purpose during export customs declaration, and retain a copy of the full set of bills of lading for filing. Avoiding tax correspondence failure due to incomplete documents and affecting the enterprise's tax rebate credit rating.

The logistics arrangement of entrepot trade needs to be designed in combination with the overall supply chain cost and efficiency. Not all entrepot trade requires actual transit, and not all entrepot trade can use pure documentary flow. For anti-dumping-type entrepot trade, actual transit logistics is a necessary prerequisite for compliance.
For ordinary entrepot trade, direct voyage plus document matching schemes can be selected, reducing logistics time and cost by one third. Logistics schemes can be dynamically adjusted according to the delivery time requirements, tariff costs, and cargo volume. For full container load (FCL) goods with large cargo volume, long-term transit agreements can be signed with the carrier to obtain lower transit fees and reduce overall trade costs.
