I am a trader engaged in cross-border entrepot trade of consumer electronics accessories. In the first half of this year, I shipped three batches of goods purchased from a Vietnamese factory and resold to offline distributors in the EU, all transiting through Shanghai Yangshan Port without unpacking.
I heard from peers that as long as goods exit through a domestic port, they can apply for export tax rebates. After preparing all documents and submitting the declaration, my application was directly rejected by the tax bureau, and a tax alert was triggered requiring submission of full-link transaction documents for verification.
Now not only have I not received the tax rebate, but I may also be fined for false declarations. I am completely confused: why can't entrepot trade get tax rebates? Are there any compliant ways to reduce this part of the tax burden?

The situation where your rebate application was rejected and a tax alert was triggered is a common misunderstanding among entrepot trade practitioners. The core reason is that the application premise of China's export tax rebate policy is that goods are actually declared for export departure and have undergone value-added processing within China. However, entrepot goods only transit through domestic ports,do not enter the in-customs supervision category of China Customs, and have not completed production, processing or substantial value-added links within the territory,so they naturally do not meet the basic identification requirements for export tax rebates.
Many enterprises confuse the boundary between "transit departure" and "export departure": the former has goods under the customs status of "transit goods",and the export declaration form for tax rebates will not be generated in the customs system. Hasty declaration will directly trigger the four streams non-conformity alert of the tax bureau, and in severe cases,it will be included in the tax risk list, and subsequent cross-border business declarations will be strictly reviewed, and may even affect the rebate progress of other regular export businesses.
At this stage, you should first organize full-link transaction documents, including overseas purchase contracts, transit warehouse unpacking-free certificates, overseas sales contracts, full ocean bills of lading, payment and settlement vouchers, etc。and submit them to the tax bureau to prove that the goods belong to the pure entrepot trade category, without subjective intention of false declaration,so as to avoid fines up to 5 times of the tax amount involved.
If you want to legally reduce the comprehensive tax burden of entrepot trade, you can apply for the VAT deferral policy of Shanghai ports,no advance VAT payment is required in the transit link,at the same time, optimize the payment and settlement path, use the exchange rate spread preference of CIPS cross-border settlement to reduce exchange costs, you can also adjust the trade structure, put part of the value-added links in China, and apply for rebates compliantly after meeting the rebate conditions, without taking risky operations on entrepot trade rebates.

The core requirement for export tax rebate declaration is the full matching of the four streams: goods flow, capital flow, invoice flow and declaration form. The purchase invoices of entrepot goods are issued by overseas suppliers, which do not belong to the deductible scope of domestic VAT input invoices. Moreover, the supervision method of the declaration form is "transit goods", with the remark clearly marked as "not actually entering the zone", which is completely inconsistent with the "general trade" supervision method required for rebates, so the system will automatically block the declaration.
The revenue and expenditure of entrepot trade are included in the service trade under the current account, and no foreign exchange verification for collection and payment is required, so it naturally does not meet the collection and payment requirements for rebates. If enterprises defraud taxes by modifying the supervision method of the declaration form or fabricating domestic procurement links, they will be directly transferred to tax inspection, and if the amount is large, they will bear criminal liability.

The supervision code for entrepot goods is "1233" by China Customs, which is a completely different supervision system from the supervision code "0110" for general export goods. Entrepot goods only need transit filing when transiting through ports, no export declaration procedures are required, and the special declaration form for export tax rebates will not be generated in the system.
If enterprises conduct simple processing such as unpacking, repackaging, sorting on goods during the entrepot process, they need to apply for filing with Customs in advance, and adjust the supervision method to "bonded warehouse storage and entrepot", but it still does not belong to the supervision category for export tax rebates. Only when goods enter the in-customs territory, complete import customs clearance and tax payment, reprocess and then declare for export, can they apply for export tax rebates in accordance with the requirements of general trade.

From the perspective of international tax rules, the core logic of export tax rebates is to avoid double taxation of goods in the export country and import country. The actual consumption place of entrepot goods is in a third country, and China is neither the production country nor the consumption country of the goods, so it has not collected VAT on the goods, so there is naturally no basis for rebates.
The income from entrepot trade belongs to cross-border service income, only enterprise income tax on the value-added part generated in China needs to be paid, no VAT is required. Enterprises can reasonably design cross-border transaction structures, put part of the value-added links in tax preferential parks, enjoy the 15% preferential enterprise income tax rate, and the comprehensive tax burden can be controlled within 3%, which is much lower than the risk of applying for rebates illegally.

The payment and settlement path of entrepot trade is from overseas payers to domestic enterprise accounts, and then to overseas suppliers' accounts. All revenues and expenditures are within the scope of service trade under entrepot trade, and no export collection and payment verification procedures are required. However, export tax rebates require the provision of collection and payment verification vouchers under general trade, and the foreign exchange supervision codes of the two are completely different.
Banks will clearly mark the transaction nature as "entrepot trade income" on the collection and payment report, and the tax bureau can directly check the transaction nature through the shared data of the foreign exchange administration, so there is no space to muddle through. If an enterprise declares the entrepot trade income as general trade export income, it will trigger the abnormal alert of the foreign exchange administration's revenue and expenditure, and in severe cases, the collection and payment function of the foreign exchange account may be suspended.

If enterprises want to enjoy export tax rebate policies, they can adjust the operation mode of entrepot trade, change the original pure transit mode to the "bonded processing in China before export" mode, transport goods to the bonded area to complete simple processing such as sorting, labeling, assembly, and then declare for export to the destination country. As long as the value-added rate after processing exceeds 30%, they can apply for export tax rebates in accordance with the requirements of bonded area exports.
In addition, they can adjust the procurement path, put some parts for domestic procurement, then assemble them with the goods purchased from overseas and export them, and the input tax of the domestic procurement part can be applied for rebates normally. The comprehensive tax burden is 2-5 percentage points lower than pure entrepot trade, and it is completely compliant.

The transfer of ownership of entrepot goods occurs between overseas subjects, and domestic enterprises only have the right to control the goods, not the ownership of the goods. However, export tax rebates require the applicant to be the owner of the exported goods, which is also the core legal element why entrepot trade does not meet the rebate requirements.
If an enterprise fabricates the ownership transfer contract for applying for rebates, forging the overseas ownership transfer as domestic procurement and export, it will be identified as a fabricated transaction contract. Once verified by the tax bureau and Customs, not only the tax payment and fines will be paid, but also may bear criminal liability for suspected export tax rebate fraud, and the maximum sentence can be more than 10 years in prison if the amount involved exceeds 500,000 yuan.

The ocean bill of lading of entrepot trade is a through bill of lading, with the shipper being the overseas supplier and the consignee being the overseas distributor, and the domestic enterprise is only the notifier of the bill of lading, and the information of the domestic enterprise as the shipper will not be displayed on the bill of lading. However, export tax rebates require the provision of an ocean bill of lading with the domestic declaring enterprise as the shipper, and the bill of lading information of the two is completely inconsistent.
The storage record of entrepot goods in the transit port will clearly mark "transit goods without unpacking", and the logistics track can be queried through the shipping company's system throughout the whole process, with no space for forging the logistics path. If an enterprise applies for rebates by modifying the bill of lading information or forging domestic logistics vouchers, it will be easily detected by the tax bureau through logistics data.
