I am an entrepreneur engaged in entrepot trade of consumer electronics. With 3 years of experience, I mainly handle businesses that purchase from Southeast Asia and transfer to North American and Latin American markets. I have never been clear about the foreign exchange verification requirements for entrepot trade before, and I just submitted materials as the bank instructed.

Last week, a $1.28 million receipt from a Mexican buyer was suddenly held up by my opening bank, saying that I need to supplement the corresponding foreign exchange verification certificates to settle the foreign exchange. I checked all previous business files and found no verification-related operations.

Now I can't settle this payment, so I can't pay the downstream purchase price, and I have to pay more than 100,000 Yuan in liquidated damages. I want to know whether entrepot trade needs foreign exchange verification, what requirements need to be met, whether there are any remaining risks for the businesses that haven't been verified before, and if there are any quick solutions.

Under the current foreign exchange regulatory rules in 2026,entrepot trade must undergo foreign exchange verification. The core requirement is that the three flows—goods flow, capital flow, and document flow—are completely matched without any logical deviations. First,pre-document review must be completed before payment/receipt. Four core documents need to be prepared in advance: entrepot trade contract, through bill of lading, title transfer certificate, and transit port customs declaration form. Ensure that the goods name, quantity, amount, and sender/receiver information on all documents are completely consistent. Deviations in document information exceeding 5% are prohibited, otherwise it will directly trigger the bank's risk control warning.

The connection of core operation nodes must be completed according to the timeline: within 3 working days after receiving the payment, upload all documents of the corresponding business on the digital foreign exchange management platform and submit the verification application. In the payment link, the corresponding receipt verification number must be associated synchronously to complete the two-way matching of capital flow. If the bank requires supplementary supporting materials, supplementary materials such as the warehouse receipt and loading/unloading certificate of the transit port must be submitted within 7 working days. Failure to submit within the time limit will directly result in the restriction of payment/receipt account operations.

Regarding the contingency plan for abnormal situations: if there are historical businesses that have not been verified in the early stage, the full-link documents of the corresponding businesses must be sorted out first, and a situation explanation must be submitted to the local foreign exchange bureau to apply for supplementary verification. No new large-value entrepot trade payment/receipt operations are allowed before the supplementary verification is completed. For final compliance implementation,it should be noted that for entrepot business entrusted to third-party agents, the verification responsibility subject must be clearly specified in the agency agreement. The situation where the payment/receipt subject is inconsistent with the verification subject is prohibited.

For the customs documents corresponding to entrepot trade verification, attention should be paid to the declaration logic of the transit port. If the goods undergo simple processing or container replacement operations at the transit port, materials such as the temporary declaration form and container replacement records of the transit port customs must be provided synchronously to ensure the full-link traceability of the goods flow. If there is a discrepancy between the customs declaration information and the verification document information, you can first apply to modify the remarks column of the customs declaration form and supplement the corresponding receipt number of the entrepot trade.

There is no need to go through the process of deleting and re-declaring to avoid additional customs clearance costs. If the document logic deviation is large and cannot be directly modified, a situation explanation must be submitted to the customs in advance to apply for a certificate of ownership of the entrepot trade goods as supplementary supporting material for foreign exchange verification, so as to avoid verification failure due to untraceable goods flow.

For the through bill of lading required for entrepot trade verification, attention should be paid to the continuity of the title endorsement. If the bill of lading is transferred multiple times, it must be ensured that the subject information of each endorsement is completely consistent with the transaction parties in the trade chain.

Blank endorsement or mismatched endorsement subjects are prohibited. If the bill of lading is lost, you need to apply to the shipping company for a copy of the telex release bill of lading immediately, and attach supporting materials such as full-link emails and chat records of title transfer as supplementary documents for verification.

The application for free detention period at the transit port can mark the entrepot trade verification demand synchronously. The free detention period certificate issued by the shipping company can also be used as supporting material for the goods flow staying at the transit port to improve the pass rate of the verification application.

The amount of foreign exchange verification for entrepot trade must completely match the entrepot business income declared in the enterprise income tax. The verification difference shall not exceed 3% of the corresponding business income, otherwise it will trigger the cross-border related transaction inspection by the tax department.

If there is a verification difference caused by exchange rate difference, the specific time of the exchange rate difference and the corresponding exchange rate fluctuation range must be marked during foreign exchange verification. At the same time, the exchange rate difference profit and loss should be listed separately in the income tax declaration to avoid being identified as hidden income or inflated costs.

For entrepot trade businesses that have not completed verification, the corresponding logistics, customs declaration and other costs shall not be deducted. They can only be deducted before tax after verification is completed to avoid tax adjustment risks.

In 2026, the entrepot trade verification module of the digital foreign exchange management platform has realized direct connection with the bank system. Automatic review can be completed within 2 working days after submitting the verification application, and there is no need to submit paper materials to the bank anymore.

During verification, it should be noted that the currency of receipt and payment must be consistent. If there is a currency difference, the foreign exchange settlement and sale certificate of the corresponding time period must be provided, and the specific logic of exchange rate conversion must be marked to avoid triggering the payment/receipt compliance warning.

If the verification is rejected, you need to check the reason for rejection first. If it is due to missing documents, you can re-submit the application after supplementing the corresponding materials, without going to the foreign exchange bureau for on-site handling, saving operation time.

The verification responsibility for entrepot trade must be clearly stipulated in the trade contract or agency agreement. If the verification responsibility is not stipulated, the payment/receipt subject is the default verification responsibility subject and bears the corresponding compliance risks.

If the verification fails due to incorrect documents provided by the upstream supplier or downstream buyer, the corresponding losses can be recovered from the responsible party according to the contract, including liquidated damages, exchange rate difference losses caused by delayed settlement, etc. If the foreign exchange bureau conducts an inspection on verification abnormalities, the title transfer clause, payment condition clause and other contents in the trade contract must be provided synchronously to prove the authenticity of the trade background and avoid being identified as fake trade.

If the entrepot trade goods are inspected by the customs at the transit port, all inspection-related materials such as inspection notice, inspection record and test report must be kept as supporting materials for the authenticity of the goods flow during foreign exchange verification.

If the seal is damaged during inspection, the transit port customs must be required to issue a seal replacement certificate, marking the corresponding relationship between the original seal number and the new seal number to avoid the logical break of the goods flow. If the goods are sent for inspection at the transit port, the inspection receipt, identification report and other materials must be kept, and can be uploaded synchronously during verification to prove that the goods have not been replaced or embezzled.

If the bank questions the authenticity of the goods during entrepot trade verification, materials such as MSDS report, packaging plan description and UN packaging certificate of the goods can be provided as supplementary evidence to prove that the physical attributes of the goods are completely consistent with the information marked in the trade contract.

If the goods are dangerous goods, materials such as dangerous goods classification identification report and packaging performance inspection result sheet must be provided synchronously to ensure the transportation compliance of the goods and improve the credibility of the verification application. If the packaging is damaged during transportation, materials such as packaging repair records and cargo damage identification reports must be kept, and the corresponding cargo damage amount must be marked during verification to ensure that the verification amount matches the actual cargo value.

Entrepot trade business is not applicable to the export tax refund policy. Therefore, there is no need to provide export customs declaration forms, special VAT invoices and other tax refund-related documents during foreign exchange verification to avoid the rejection of verification due to uploading irrelevant materials. The verification records of entrepot trade must be kept for at least 5 years for the four-flow consistency inspection by the tax department.

If the verification records cannot be provided, the income of the corresponding business will be identified as non-compliant income, and the corresponding enterprise income tax and late payment fees must be paid. If the enterprise carries out both general trade export and entrepot trade business, it must separately account for the payment/receipt amount and verification records of entrepot trade, and must not mix them with the receipt verification records of general trade to avoid triggering the export tax refund letter adjustment risk.

The verification process of entrepot trade can be optimized in combination with the supply chain structure design. If an entrepot trade operation entity is established in a free trade pilot zone, it can enjoy the facilitation policy of automatic verification of verification documents, and the verification review time can be shortened to 1 working day. When choosing a transit port for entrepot trade, priority can be given to countries or regions that have foreign exchange supervision mutual recognition agreements with China.

The customs declaration form issued by the transit port can be directly used as a valid document for verification, without additional notarization and certification procedures, reducing the operation cost of verification. The time difference between payment and receipt of entrepot trade should be controlled within 90 days as much as possible to avoid overdue unverified situations and reduce capital occupation costs and compliance risks.
