I am engaged in small and medium-batch cross-border entrepot trade of electronic components, with about 3 to 5 entrepot transactions per month, valued from hundreds of thousands to millions of US dollars. In the past six months, two of my payment and remittance transactions have been put on hold for verification by the bank, which delayed the payment to upstream suppliers.
I not only paid late penalty fees, but also almost lost the stable supply source I have cooperated with for two years. Currently, I usually collect payment from downstream customers first, then pay to upstream third-party suppliers. Sometimes I keep a small portion of profits in offshore accounts due to exchange rate differences.
I am not sure whether the State Administration of Foreign Exchange has new requirements for such operations in 2026, nor do I know how to prepare documents to pass the review smoothly. I would like to ask how to operate payment and remittance for entrepot trade in a compliant way to avoid verification and outstanding accounts.

For full-chain compliant operation of entrepot trade payment and remittance, the first step is to complete pre-document review. The core documents to be prepared include entrepot trade contracts, bill of lading/warehouse receipt title certificates, and upstream and downstream transaction consideration lists,The product name, quantity and ownership of goods in all documents must be consistent. In case of third-party title transfer,an additional endorsed original bill of lading is required.
For the connection of core payment and receipt nodes, the principle of "receive first, pay later" or "synchronous receipt and payment" shall be followed. According to 2026 foreign exchange supervision requirements, those with a single payment difference exceeding 5% shall report the reason for the difference to the bank in advance,Profits retained in offshore accounts shall also be actively declared as entrepot trade revenue, and shall not be concealed or unreported.
For exception plans,if you receive a bank verification notice, you shall supplement and submit the title transfer certificate and communication email records corresponding to the transaction within 3 working days, cooperate with the bank to complete due diligence, and do not modify the document information without permission.
For final compliance implementation, all entrepot trade payment and remittance shall be operated through institutions with cross-border payment qualifications. CIPS RMB receipt and payment can go through the fast review channel, with the arrival time 2-3 working days faster than SWIFT,and the compliance review pass rate is also higher, which can effectively reduce the probability of outstanding accounts.

Currently, using the CIPS system for RMB entrepot payment and remittance can enjoy the bank's priority review treatment, no need to provide extra paper documents, and only need to upload electronic documents to complete verification. For SWIFT payment and remittance, it should be noted that the message content must be marked with the words "Entrepot Trade" to clarify the transaction nature, so as to avoid being judged as cross-border remittance of unknown nature by the bank, which will trigger the verification procedure.
The entrepot trade revenue of offshore accounts shall be declared to the domestic foreign exchange administration department annually. As long as the declaration information is true and accurate, retaining profits is a compliant operation and will not be identified as foreign exchange evasion.

The exchange rate and tax differences arising from entrepot trade payment and remittance shall be included in the current taxable income for tax declaration. If the payment and receipt parties are affiliated enterprises, contemporaneous documents shall be prepared in advance to prove that the transaction pricing conforms to the arm's length principle, so as to avoid being identified as BEPS base erosion behavior.
If RMB payment and remittance is adopted, the exchange rate can be locked to avoid income loss caused by exchange rate fluctuation. Eligible entrepot trade can also apply for cross-border tax deferral to reduce capital occupation cost. All receipt and payment vouchers of payment and remittance shall be kept for 10 years for verification by tax authorities, and shall not be destroyed at will.

If the entrepot trade involves inbound and outbound transit, the amount of payment and remittance shall be consistent with the total transaction value declared in customs declaration. In case of batch payment and receipt, the reason for batch payment and receipt shall be reported to the customs in advance, and the corresponding receipt and payment vouchers shall be retained.
If the payment and remittance subject changes due to the change of counterparty in entrepot trade, the formalities of document modification shall be handled with the customs in time, and the information of the receipt and payment subject shall be updated, so as to avoid outstanding accounts or violation records caused by inconsistent document subjects. The payment and receipt data of entrepot trade shall be reconciled with the customs declaration data annually to ensure data matching and avoid verification triggered by subsequent businesses.

For third-party payment and remittance of entrepot trade, the reason for third-party payment and receipt, as well as the ownership of goods title and creditor's rights and debts, shall be clearly marked in the contract. It is better to require both parties of payment and receipt to issue a confirmation letter to avoid subsequent payment disputes.
If letter of credit is used for payment and receipt, the terms of the letter of credit shall be carefully checked to exclude soft clauses, and it shall be clearly required that the letter of credit be marked with the nature of entrepot trade transaction to avoid bank refusal of payment. If it involves the endorsement and transfer of goods title, the endorsement information shall be clearly marked on the original bill of lading, and the corresponding endorsement documents shall be retained as the compliance certification materials for payment and remittance.

During the transit of entrepot trade goods, the endorsement and transfer of bill of lading is the core title certificate for payment and remittance. It is necessary to ensure that the endorsement is continuous and complete, and each transfer has a clear record without gap, otherwise the bank will not recognize the title certificate, resulting in the failure of payment and remittance.
If the goods are stored in a third-party warehouse in the transit country during transit, the warehouse receipt issued by the warehouse shall be obtained. The warehouse receipt shall clearly indicate the ownership of the goods, and the information on the warehouse receipt shall be consistent with the information on the contract and invoice, which can be used as auxiliary certification materials for payment and remittance and greatly improve the review pass rate.

Entrepot trade is not within the scope of export tax rebate, but the records of payment and remittance shall be included in the document filing of the overall foreign trade business to ensure the consistency of capital flow, goods flow, invoice flow and contract flow of the entire foreign trade business, so as to avoid affecting the tax rebate review of other export businesses.
If entrepot trade and export business share suppliers, the receipt and payment funds shall be accounted separately, and capital backflow shall not occur, otherwise it will trigger tax correspondence adjustment and affect the normal handling of export tax rebate. All payment and remittance slips shall be scanned and retained, and included in the document filing archive, with a retention period of no less than 5 years.

The path of entrepot trade payment and remittance can be optimized according to the foreign exchange policies and exchange rate conditions of different regions. Regions with high RMB settlement proportion can directly take the CIPS channel, and European and American regions can choose SWIFT plus offshore account turnover to reduce exchange costs.
The payment and receipt rhythm can be dynamically adjusted according to the business volume and exchange rate fluctuation, purchase foreign exchange for payment when the exchange rate is low, and collect and settle foreign exchange when the exchange rate is high, so as to expand the profit space of entrepot trade. At the same time, the proportion of payment difference shall be controlled to avoid triggering compliance early warning.

When entrepot trade goods are inspected at the transit port, the inspection records issued by the inspection authority shall be obtained in time. If there is no abnormality in the inspection results, the inspection records shall be provided to the bank as auxiliary documents for the review of payment and remittance.
If the inspection finds that the name and quantity of the goods are inconsistent with the declaration, the document information shall be adjusted in time and the title certificate shall be updated, otherwise the bank will be unable to complete the review of payment and remittance, resulting in delay of outstanding accounts. In case of abnormal seal, a new seal certificate issued by the customs of the transit port shall be obtained again and submitted to the bank together to ensure that the document information is consistent with the actual goods information.
