I am from a small and medium-sized foreign trade enterprise specializing in cross-border electromechanical parts. This year, we have just expanded our entrepot trade business from Southeast Asia to Europe, and now we are stuck when calculating revenue for quarter-end closing.
We have two models: one is receiving payment before shipment, and the other is receiving foreign exchange three months after the transfer of title. Previously, we heard from peers that some were audited by tax authorities due to incorrect revenue recognition, while others were affected in their foreign exchange receipt and payment quotas.
The annual final settlement of enterprise income tax is approaching, and I am getting more and more confused. I do not know what standards to follow for revenue calculation, how to include exchange rate differences in revenue, whether it will trigger compliance alerts, and I want to ask what specific operations are compliant?

First, conduct pre-documentation review. It is necessary to organize the full set of cargo title documents, sales contracts, and foreign exchange receipt and payment advices in advance, confirm that the nodes of cargo title transfer are clear, and all transaction paths are traceable,so as to avoid situations where revenue cannot be normally recognized due to missing documents.
The core nodes of revenue recognition are determined based on transaction models: Buying-out type entrepot trade recognizes revenue after the completion of cargo title transfer and the transfer of risks and rewards, while commission agency type entrepot trade only needs to recognize revenue based on the commission amount, without recognizing revenue based on the full payment amount.
Exchange rate differences are directly included in financial exchange gains and losses, and do not need to adjust the amount of revenue recorded. The initial recognition of revenue is converted into functional currency based on the middle rate of exchange on the transaction date. For commission models, exchange rate differences of commissions are also included in exchange gains and losses, and do not adjust the initial recorded amount of commission revenue.
In terms of contingency plans,if there is a delay in foreign exchange receipt and payment, first make a provisional entry of revenue, and then adjust exchange gains and losses after the actual receipt of foreign exchange. Do not postpone revenue recognition to trigger compliance alerts. Before the annual final settlement of enterprise income tax,it is necessary to complete the foreign exchange receipt or file for deferred foreign exchange receipt in advance,so as to avoid being judged as non-compliant revenue.
The final compliance implementation needs to ensure the alignment of three streams: cargo title flow, capital flow, and contract flow. If the revenue recognition node matches the essence of the transaction, compliant revenue measurement can be completed, which will not trigger regulatory alerts, and will not affect subsequent tax declarations and foreign exchange receipt and payment businesses.

Entrepot trade revenue recognition needs to match the customs declared transaction price. If it is third-party entrepot trade, the declared price in the customs declaration process must be consistent with the transaction price of the sales contract. If there are price adjustments, a secondary declaration to the customs needs to be submitted in time to update the transaction price information.
If there is a discrepancy between revenue calculation and declared price, it will lead to logical conflicts in customs declaration data, triggering customs price review, and in serious cases, the customs declaration may be stuck and cannot be cleared. For completed entrepot transactions that have already been customs-cleared, if a discrepancy is found between the revenue calculation price and the declared price, a full set of transaction documents needs to be prepared in time, and a request for deleting and re-declaring the customs declaration needs to be submitted to the customs to adjust the declared data, ensuring that the declared price and revenue calculation data form a complete logical closed loop, avoiding subsequent regulatory inspections.

Entrepot trade mostly involves cargo title transfer via endorsement transfer of bill of lading, so the revenue recognition node needs to be consistent with the completion time of bill of lading endorsement transfer. If the goods are still in the transit port and the bill of lading endorsement transfer has not been completed, revenue cannot be recognized in advance, otherwise it will lead to misalignment between the revenue recognition node and the cargo title transfer node, triggering cargo title disputes, and affecting the matching of foreign exchange receipt and payment and revenue.
If abnormal situations such as port change or transshipment occur, the cargo title transfer time may be delayed, so the revenue recognition time needs to be postponed accordingly, and corresponding ledger records should be made to adjust the time nodes of foreign exchange receipt and payment, avoiding problems of mismatch between revenue and capital flow. Sufficient free detention period can also avoid additional costs caused by port demurrage, which affects the accuracy of revenue calculation.

Entrepot trade revenue needs to distinguish the tax obligations of resident enterprises and non-resident enterprises. If a domestic resident enterprise engages in entrepot trade, all revenue needs to be included in the taxable income for enterprise income tax. If there are cross-border related-party transactions, revenue pricing needs to comply with the arm's length principle, avoiding being identified as tax base erosion due to low pricing and triggering BEPS-related anti-avoidance investigations.
For VAT, if entrepot trade does not actually enter the destination country's customs territory, no destination country VAT is required to be paid, and the VAT amount does not need to offset revenue, it is directly included in intermediate accounts. Gains or losses from exchange rate differences are included in exchange gains and losses, do not adjust the current revenue amount, and will not affect the base of taxable income.

Entrepot trade revenue recognition needs to be consistent with foreign exchange receipt and payment information. Whether using SWIFT or CIPS cross-border RMB payment, the amount of foreign exchange receipt and payment needs to match the amount of revenue recognition. If there is delayed foreign exchange receipt, a deferred foreign exchange receipt needs to be filed with the State Administration of Foreign Exchange in advance, otherwise it will affect the compliant recognition of revenue, and even lead to suspension of foreign exchange receipt and payment quotas.
For entrepot trade payments received through offshore accounts, the nature of revenue needs to be timely reported to the bank, avoiding being identified as funds of unknown origin by the bank and leading to account freezing. After revenue is recorded, foreign exchange settlement and account reconciliation need to be completed in time, ensuring that foreign exchange declaration data is consistent with enterprise revenue calculation data, not triggering foreign exchange compliance alerts, and not affecting the subsequent foreign exchange receipt and payment operations.

The revenue recognition node of entrepot trade needs to be consistent with the cargo title transfer clauses agreed in the contract. The contract needs to clearly stipulate the time and conditions of cargo title transfer, avoiding errors in the revenue recognition node due to ambiguous clauses.
If letter of credit (L/C) settlement is adopted, attention should be paid to the impact of L/C soft clauses on the foreign exchange receipt time. If the L/C has clauses requiring the buyer's confirmation before payment, revenue recognition needs to be postponed until the foreign exchange is actually received, avoiding bad debt risks of being unable to receive foreign exchange after recognizing revenue in advance.
The undertaker of exchange rate differences corresponding to revenue should be clearly stipulated in the contract. If the seller bears the fluctuation of exchange rate differences, the exchange rate differences are directly included in gains and losses without adjusting revenue. If the buyer bears them, the exchange rate differences should be included in the total revenue amount.

When entrepot trade goods are staying in the transit port, if customs on-site inspections are conducted, generated expenses such as cargo unboxing fees, warehousing fees, and inspection and appraisal fees need to be classified by nature and included in costs, without offsetting the revenue of entrepot trade. If abnormal seals are found during inspections, the ownership of cargo title needs to be re-appraised. If the ownership of cargo title does not change, the revenue recognition node will be postponed, and no early entry is required.
If the cargo title has already transferred, only relevant inspection and appraisal supporting materials need to be supplemented, which will not affect the already recognized revenue. If the goods are damaged after inspection, the claim from the responsible party is included in non-operating income, without adjusting the original revenue of entrepot trade, maintaining the accuracy of original revenue recognition.

If entrepot trade goods need to be repackaged or reinforced while staying in the transit port, generated packaging-related expenses are direct costs incurred to complete the transaction, and should be included in operating costs, without offsetting the total revenue of entrepot trade. If it is dangerous goods entrepot trade, repackaging expenses generated in compliance with UN dangerous goods packaging requirements are also included in costs, without affecting revenue measurement.
If goods are damaged due to non-compliant packaging leading to insurance claims, the claim income is not included in the operating revenue of entrepot trade, and is separately included in other income accounts, which should not be combined with the revenue of entrepot trade itself to avoid inflated revenue affecting compliant declarations.

Entrepot trade generally does not involve export tax rebates, and no document filing for export tax rebates is required. However, if entrepot trade involves transit export of domestic goods, the alignment of four streams is required, and revenue recognition needs to match the information of the four streams.
If the four streams are not aligned, it will trigger tax inquiries, affecting the enterprise's export tax rebate qualification. Even if no export tax rebate is applicable, it will affect the tax rebate process of other export businesses. The foreign exchange receipt verification of entrepot trade needs to be completed in time.
If the foreign exchange receipt verification is not completed on time, the revenue may be identified as non-compliant, affecting the annual tax declaration. The full set of documents of entrepot trade should be archived and retained separately for tax authority inspections, avoiding situations where revenue cannot be recognized due to missing documents.

The revenue calculation method of entrepot trade will affect the cost actuarial calculation of the entire supply chain. Different revenue recognition methods will affect the enterprise's profit calculation, and then affect the adjustment of the supply chain structure. If an enterprise engages in long-term layout of entrepot trade, accrual basis accounting matching cargo title transfer can be chosen to recognize revenue, which can more accurately reflect the real profit of the supply chain.
If it is occasional entrepot trade, cash basis accounting can also be adopted, but it needs to comply with regulatory requirements. Revenue recognition methods can be adjusted according to different entrepot trade models, optimize the cost structure of the supply chain, accurately calculate the actual profits of different entrepot routes, help select better entrepot trade routes, and improve the overall profit level.
