I am the head of a Shanghai-based enterprise engaged in bulk commodity entrepot trade. This year, I have completed 8 title-transfer type entrepot trade deals where goods are procured from Southeast Asia and resold to the European Union, with the goods never entering Chinese customs territory throughout the whole process.
Previously, our finance team always recognized revenue only based on foreign exchange collection slips and sales and purchase contracts. Last month, the tax authority issued an early warning that our revenue recognition materials are non-compliant, requiring us to complete all full-link documents otherwise our taxable income will be adjusted upwards.
I am completely confused about what the compliance standards for entrepot trade revenue recognition are, what documents need to be retained, whether there are differences in accounting calibers for different entrepot trade modes, and whether this will affect subsequent related tax declarations. Please help provide clear practical operation guidelines.

The core prerequisite for entrepot trade revenue recognition is substantial transfer of goods title, rather than physical displacement of goods. Under 2026 regulatory requirements, all revenue recognition must retain a full-link closed-loop document set. In the pre-review stage, three layers of documents shall be verified first: the first layer refers to upstream and downstream purchase and sales contracts, which shall clearly mark the title transfer point, detailed goods information, and transaction consideration, the second layer refers to international logistics documents, including full-process ocean/air waybills, manifests, and endorsement documents for goods title transfer. If third-country transit is involved, document exchange certificates at the transit port and non-customs clearance certificates shall also be provided.
In the core node connection stage, capital flow shall be matched with transaction logic synchronously. The foreign exchange collection slip shall indicate the corresponding transaction contract number, mixed foreign exchange collection for multiple transactions is strictly prohibited. If net settlement under entrepot trade is involved, the netting agreement shall be reported to the foreign exchange authority in advance, and the corresponding transaction details of each netting transaction shall be retained. In financial accounting, the applicable scenarios of the "net price method" and "gross price method" shall be distinguished. For title-transfer type entrepot trade, revenue can be recognized at the total gross amount, while for agency type entrepot trade, revenue can only be recognized at the net agency fee amount, and no mixing of accounting calibers is allowed.
In terms of abnormal response plans,if there is a verification request from the regulatory authority, the full set of documents shall be submitted within 3 working days. In case of missing documents, the goods title ownership certificate issued by a third-party inspection institution and the logistics track record at the transit port can be used as supplementary supporting documents. Forging or altering documents is strictly prohibited. For final compliance implementation,an entrepot trade document retention ledger shall be established. All documents shall be retained for no less than 10 years, which can effectively avoid risks such as tax upward adjustment and foreign exchange penalty confiscation.

Entrepot trade revenue recognition shall align with the customs valuation logic for entrepot trade. Even if the goods do not enter Chinese territory, if domestic enterprises participate in the whole transaction process of goods title transfer, customs will focus on verifying whether the transaction pricing complies with the arm's length principle during valuation. If the pricing obviously deviates from the fair market price of similar goods of the same period in the international market, it will be deemed to have the suspicion of profit transfer, which will directly affect the compliance recognition of revenue.
In case of valuation objection, the inquiry records of upstream and downstream transactions, third-party price assessment reports, and same-period price data from international bulk commodity trading platforms can be submitted as supporting evidence. There is no need to submit additional domestic customs declaration documents, only logistics track records to prove that the goods have not actually entered Chinese territory, so as to avoid full tax adjustment of revenue caused by non-compliant pricing.

The tax accounting of entrepot trade revenue shall distinguish the income tax and value-added tax recognition rules of different transaction modes. According to the latest 2026 policy, entrepot trade where goods title has not been cross-border transferred into Chinese territory is not within the scope of value-added tax taxable activities, no value-added tax is required to be paid, and the total revenue can be fully included in the taxable income amount.
However, complete goods title transfer documents shall be retained to prove that the goods have not entered Chinese territory. For the mode where a domestic enterprise purchases goods from overseas and directly sells them to another overseas customer, attention shall be paid to the rationality of related party transaction pricing.
It is not allowed to transfer profits by understating revenue or overstating costs. The related party transaction disclosure requirements under the BEPS Action Plan shall be strictly implemented, so as to avoid special tax adjustment by the tax authority, which will result in supplementary tax payment and late payment surcharges.

The foreign exchange compliance requirement for entrepot trade revenue recognition is that the capital flow, goods flow and document flow are fully matched. In 2026, cross-border receipt and payment data of CIPS and SWIFT have been fully shared across departments with tax authorities and customs. When collecting foreign exchange, the corresponding entrepot trade contract number and goods name shall be clearly marked in the message remarks, and vague expressions such as "service fee" or "goods payment" shall not be used.
If collection and payment on behalf of others are involved, the entrustment agreement for collection and payment on behalf of others shall be signed in advance, and complete authorization documents shall be retained. Otherwise, it will be deemed as abnormal foreign exchange collection, the cross-border receipt and payment authority of the corporate account will be directly frozen, and the revenue cannot be recognized normally. When settling foreign exchange, the full set of transaction documents shall be submitted to the bank, and settlement procedures shall not be handled only with the bank slip.

The core legal basis for entrepot trade revenue recognition is the contractual agreement on goods title transfer. The contract shall clearly specify the triggering conditions for goods title transfer, such as "title transfers upon completion of bill of lading endorsement" or "title transfers upon the buyer's full payment of the goods consideration", so as to avoid disputes over goods title ownership. If letter of credit settlement is adopted, it is necessary to check whether there are soft clauses in the letter of credit that affect the transfer of goods title, such as "negotiation is allowed only after the buyer issues the goods receipt certificate".
If such clauses exist, revenue shall be recognized only after the buyer confirms receipt of the goods, and no advance revenue recognition is allowed at the time of shipment, so as to avoid the loss of unpaid goods payment while the enterprise has already paid the income tax. In case of transaction disputes, the legality of revenue can be claimed based on the goods title transfer clauses agreed in the contract.

Entrepot trade revenue is not applicable to export tax rebate, and it is strictly forbidden to mix entrepot trade revenue into general trade export revenue to declare for export tax rebate. Otherwise, it will be deemed as tax fraud, and relevant responsible persons will be held directly liable.
The document filing requirement for entrepot trade is consistent with that for general trade, and the full set of transaction documents, logistics documents and capital documents shall be retained. When the tax authority launches counterparty verification, all filing materials shall be submitted within the specified time limit.
If the materials are incomplete, the enterprise will be required to increase the taxable income and make supplementary payment of the corresponding corporate income tax. If part of the goods in entrepot trade enter Chinese territory, the revenue of the inbound part and the revenue of pure entrepot trade shall be accounted for separately, and mixed declaration is not allowed.

The accounting caliber for entrepot trade revenue recognition can be optimized according to supply chain structure design. If the enterprise has long-term entrepot trade business, different accounting rules can be set for the goods title buyout mode and the agency service mode. Under the buyout mode, revenue is recognized based on the total gross amount of goods, while under the agency mode, revenue is recognized only based on the net service fee amount, which can effectively reduce the corporate income tax burden.
When designing the supply chain structure, the enterprise can set up a logistics node at the transit port to retain complete logistics track records, so as to avoid the situation that revenue cannot be recognized due to insufficient evidence of goods title transfer. Meanwhile, the selection of trade terms can be optimized, using trade terms with clear title transfer points such as EXW and FCA to reduce disputes over revenue recognition.

The logistics documents required for entrepot trade revenue recognition shall fully prove the full-link track of the goods. The bill of lading shall be a full set of original ocean bill of lading with clear endorsement transfer records.
If telex release bill of lading is used, the telex release notice and email communication records of goods title transfer shall be retained as supporting evidence. Document exchange records at the transit port, free storage period certificates, and non-clearance certificates shall all be retained.
If the goods involve temporary storage at the transit port, the storage contract and inbound and outbound records shall be provided to prove that the goods have not entered Chinese territory. In case of loss of the bill of lading, the goods title certificate issued by the shipping company and logistics track query records can be used as supplementary supporting documents, so as to avoid failure of revenue recognition caused by missing logistics documents.
