I am the person in charge of an enterprise mainly engaged in entrepot trade of Southeast Asian furniture. Recently, we just landed a transit order in the EU market, with goods directly shipped from a Vietnamese factory to EU ports without entering China's customs territory.

Previously, our finance department has been declaring such income as modern services for VAT. Last week, the tax administrator from our local tax office contacted us saying there might be a mismatch in tax category attribution, requiring us to submit a business explanation and self-inspection documents within 3 working days.

Now I am completely confused about what tax category entrepot trade actually belongs to, whether it will involve tax repayment and late payment penalties for previous years, and I also want to know what the regulatory-compliant declaration operation standards are. Please give an accurate practical answer.

A common operational mistake among many entrepot trade enterprises currently is randomly classifying income into the tax categories of goods sales or agency services. The former will incur an additional 13% VAT cost, while the latter, once determined to have a tax category mismatch, will not only require repayment of 6% VAT and late payment penalties but also affect the enterprise's foreign exchange collection and payment qualifications and credit rating. In severe cases,it may trigger tax joint inspection and lead to the freezing of offshore accounts.

Under the 2026 current regulatory rules, for transit-type entrepot trade that does not pass through China's customs territory, the income falls under the tax category of "Cross-border Taxable Activity - Overseas Service Income". Those that meet the conditions can apply for VAT exemption. The access requirements are: the entire transfer of goods ownership occurs overseas, the goods have no domestic customs clearance records, and the full set of business documents are logically consistent.

Based on the calculation of an annual entrepot trade revenue of 10 million yuan, compliant enjoyment of the exemption policy can directly reduce VAT expenditure by about 600,000 yuan and avoid subsequent tax repayment risks. At the operational level,it should be noted that the retention period of the full set of business documents shall not be less than 10 years, the remarks in the foreign exchange collection and payment messages must clearly mark the words "entrepot trade",and a separate account must be established for each business, matching the corresponding contract, bill of lading, manifest, and goods ownership transfer certificate to ensure consistency of the four flows.

For entrepot trade where goods first enter China's bonded port area before transshipment export, the tax category attribution is slightly different. A separate bonded area entry-exit filing list must be submitted to apply for exemption. Those who fail to file as required shall declare and pay VAT according to the goods sales tax category.

From the perspective of customs supervision, if entrepot trade does not involve domestic port clearance links, there is no need to make goods-type declarations to the customs, so there will be no goods-type tax burdens such as import and export duties and import VAT. Only the corresponding income declaration needs to be made on the tax side.

If goods enter a bonded supervision area for transshipment, an entry-exit filing list must be submitted to the customs, and the supervision method should be declared as "entrepot trade" during filing. Such filing records will not trigger the calculation of goods-type tax categories, and retaining the filing list can be used as supporting material for tax-side exemption declarations.

If an enterprise mistakenly declares entrepot trade as general trade, it will incur import VAT tax liability. The subsequent process of applying for deletion and re-declaration can take up to 30 working days, and corresponding late declaration fees will also be incurred.

Documents from the logistics side are one of the core supporting materials for determining the tax category attribution of entrepot trade. The port of departure and port of discharge in the through bill of lading must both be overseas ports, with no transshipment records at domestic ports. The node of bill of lading endorsement transfer must fully match the goods ownership transfer time agreed in the trade contract.

If a route with a transshipment port is chosen, the shipping company must be clearly informed at the time of booking to issue a through bill of lading to avoid the risk of being determined that the goods have entered the country due to segmented bills of lading. When applying for free storage period, remarking "entrepot trade transshipment" can apply for an additional 3-7 days of free storage quota, which not only reduces logistics costs but also leaves a clear entrepot business identifier, facilitating subsequent tax-side verification.

If the entrepot trade income meets the tax category recognition standards for overseas service income, not only can VAT be exempted, but the input tax obtained from corresponding cost expenditures can also be normally deducted without the need for input tax transfer. If an enterprise has three types of businesses: domestic sales, general export, and entrepot trade, it must separately account for the income and costs of entrepot trade and cannot mix them with the revenue and expenditure of other businesses.

Otherwise, the exemption qualification will be canceled, and VAT must be repaid in full at a 6% tax rate. The pricing of entrepot trade between related companies must comply with the arm's length principle. If the pricing deviates from the market fair price by more than 10%, it will trigger BEPS risk investigation, requiring adjustment of taxable income and repayment of corresponding corporate income tax.

Operations on the foreign exchange collection and payment side directly affect the compliance of tax category recognition. The payers and payees of entrepot trade must be overseas entities; there should be no cases of domestic entities collecting or paying foreign exchange. The difference between the collection amount and payment amount must be consistent with the gross profit level agreed in the contract.

If the proportion of the difference exceeds 30%, it will trigger the early warning verification of the foreign exchange bureau. For entrepot trade settled through CIPS channels, "entrepot trade income" or "entrepot trade expenditure" must be clearly marked in the transaction remarks.

For settlement through SWIFT channels, the corresponding trade contract number must be noted in field 72 of the message to facilitate subsequent verification by regulatory authorities. A separate account must be established for the income and expenditure of entrepot trade in offshore accounts, and the full set of business documents must be retained for each transaction to avoid the account being determined as abnormal and frozen by the bank.

The terms of the entrepot trade contract directly affect the determination of tax category attribution. The contract must clearly stipulate that the node of goods ownership transfer is at the time of delivery at the overseas port, the goods do not enter China's customs territory throughout the process, and there shall be no clauses involving domestic storage or processing. The contract must separately list the charging standards for entrepot services and cannot be confused with the value of the goods to avoid being determined as a goods sales act.

It is recommended to add a "tax category recognition cooperation clause" to the contract, stipulating that the partner has the obligation to cooperate in providing corresponding materials such as goods ownership transfer certificates and bill of lading copies for responding to tax department verification. The partner shall bear the corresponding compensation liability for losses caused by tax category mismatch due to the partner's inability to provide materials.

Entrepot trade income shall not be included in export tax refund declarations. If an enterprise mistakenly incorporates entrepot trade income into general trade export income to apply for a tax refund, it will be determined as a tax fraud act. It will not only have to return the refunded tax but also pay a fine of 0.5-5 times the amount.

In severe cases, the export tax refund qualification will be canceled. The documents corresponding to entrepot trade do not need to be included in the export tax refund document filing category, but must be retained separately for future reference, with a retention period of 10 years, consistent with that of tax refund documents.

When the tax department conducts a letter investigation, the entrepot trade business must submit a separate explanation and provide a full set of business documents to prove the authenticity of the business. Those who cannot provide them will be determined as non-compliant income and need to repay the corresponding VAT and corporate income tax.

If the goods of entrepot trade temporarily dock at a domestic port due to route adjustment, and no unloading, container replacement, or any processing is carried out, there is no need to declare to the customs, and it will not trigger the calculation of goods-type tax categories. The non-unloading certificate issued by the captain can be used as supporting material for the authenticity of the business.

If the goods need to be transshipped with container replacement at a domestic port, temporary transit supervision must be applied to the customs, and the supervision method should be declared as "transit goods". The entire process is sealed by the customs, and the container cannot be opened for unloading.

Such cases will not incur domestic tax obligations, and only a small amount of supervision fees need to be paid. If the container is opened and unloaded without the customs' consent, it will be determined as imported goods, and import duties and import VAT must be repaid according to the goods sales tax category, and corresponding fines will also be incurred.

From the perspective of supply chain structure optimization, setting the goods ownership transfer node of entrepot trade in an overseas free trade port can further reduce the corporate income tax burden. For example, Singapore, Hong Kong and other places have a profit tax rate of only 5-8% on entrepot trade income, which is much lower than the 25% corporate income tax rate in China.

When planning the supply chain, it should be noted that the order flow, goods flow, and capital flow of entrepot trade must be completely matched. There should be no mismatch of the three flows such as domestic companies receiving orders and overseas companies shipping goods.

Otherwise, it will be determined as domestic taxable income, and 25% corporate income tax must be paid in full. Enterprises with annual entrepot trade revenue exceeding 50 million yuan can set up an overseas transit entity separately, which not only optimizes the tax category structure but also reduces the time cost of foreign exchange collection and payment and the risk of exchange rate fluctuations.
