I am engaged in cross-border trade of small and medium-sized home appliances in Jiangsu and Zhejiang. In the past six months, I have received three orders for entrepot trade.

The goods are directly shipped from Southeast Asian factories to European customers without entering the Chinese customs territory, and payments and settlements are made through my company's offshore account. I heard from peers that the tax declaration reviews for entrepot trade in 2026 are much stricter than before, and the declaration requirements for different business models are different.

I have never handled tax declarations for entrepot trade before, so I am not sure what tax types are required to be declared under the latest rules, whether VAT and income tax need to be paid, what documents are required to be prepared before declaration, and whether incorrect declarations will trigger tax audits. I have no idea at all. Now I need to make a semi-annual tax declaration, and I want to figure out the specific operation steps to complete the declaration in compliance.

The first step in tax declaration for entrepot trade is pre-declaration document review. It is necessary to prepare a full set of business documents in advance, including the entrepot trade contract, full set of transport bills of lading, payment and settlement vouchers, certificate of origin, and document confirming the transfer of title to goods. All documents must ensure that the information of goods name, quantity, and transaction amount is consistent,so as to avoid the tax authority questioning the authenticity of the business due to inconsistent document logic and delaying the declaration process.

Entrepot trade that does not enter the Chinese customs territory is exempt from VAT. It is only required to include the income from entrepot trade in the enterprise's total taxable income during the corporate income tax declaration and declare and pay corporate income tax as required. If a resident enterprise registered in China carries out entrepot trade, regardless of whether payments and settlements are made through onshore accounts or offshore accounts,it must declare in accordance with the rules. There is no situation where declarations are not required when using offshore accounts for payments and settlements.

The core declaration nodes are divided into two linked steps. The first step is to timely complete the filing of entrepot trade information in the cross-border taxable activities filing module of the electronic tax bureau after receiving payments or completing the transfer of goods title. The second step is to truthfully report the income and corresponding costs of entrepot trade when making quarterly prepayments of corporate income tax,and there is no need to make taxable or exempt VAT declarations.

Regarding abnormal response plans: if a notice of authenticity verification of business is received from the tax authority, the full set of documents must be organized and submitted immediately to cooperate with the verification. If there is a situation of failure to file in a timely manner before, proactively supplement the filing and explain the business background. Generally, administrative penalties will not be triggered. For final compliance implementation,it should be noted that the full set of business documents must be retained for no less than 10 years, and the payment and settlement path must be consistent with the contract agreement to avoid risks caused by inconsistent flow of funds and goods title.

If entrepot trade involves third-party transit, and the goods are transited via the EU before being delivered to the final customers, enterprises can apply for VAT deferral. There is no need to pay import VAT in advance in the transit country, and it can be directly deducted in the monthly VAT return, which can effectively reduce the capital occupation cost of enterprises.

If the entrepot trade is a related party transaction, it must comply with the arm's length principle and formulate a reasonable transaction price, so as to avoid being identified as base erosion and triggering non-resident withholding tax adjustment. For the profits of entrepot trade received through offshore accounts, they must be truthfully included in the income of onshore entities for declaration, and cannot be concealed by retaining funds offshore. Otherwise, the CRS information exchange will be triggered and the enterprise will be audited by the domestic tax authorities.

The payment and settlement path of entrepot trade will directly affect the compliance of tax declarations. If RMB cross-border payments and settlements are made via CIPS, the transaction code must be accurately filled in as "121030 Entrepot Trade" when declaring, and the complete SWIFT message must be retained for the payment and settlement path information for tax authority verification.

If offshore accounts are used for fund turnover, complete offshore account statements and goods title transfer instructions must be retained to ensure the matching of fund flow and goods title flow. For entrepot trade with a payment and settlement time difference of more than 180 days, it is necessary to file with the foreign exchange bureau in advance and explain the reason for the delay, so as to avoid affecting the identification of tax declarations.

Entrepot trade does not enter the Chinese customs territory and does not meet the application conditions for export tax refunds, so there is no need to make export tax refund declarations or prepare tax refund filing documents. If there is a situation where domestic goods are purchased and then transferred out in entrepot trade, the costs of the entrepot trade part and the export tax refund part must be separately accounted for, so as to avoid confusing cost deductions and leading to abnormal export tax refund correspondence checks.

When tax authorities inspect entrepot trade, they will focus on verifying the "four streams consistency", namely the consistency of contract flow, goods flow, capital flow, and invoice flow. Relevant materials must be prepared in advance to ensure a logical closed loop, so as to avoid being identified as inflated costs due to inconsistency of the four streams and affecting the tax credit rating.

The transfer node, time, and responsibility division of goods title must be clearly stated in the entrepot trade contract. The corresponding title transfer endorsements and guarantee documents must be retained as originals, which are core legal documents for tax authorities to verify the authenticity of the business.

The contract must clearly state that the nature of the transaction is entrepot trade, and mark the place of shipment and final destination, so as to avoid being identified as general import and export trade due to ambiguous contract expressions and increasing unnecessary tax costs. If there is a letter of credit settlement, the transaction description in the letter of credit terms must be checked to ensure consistency with the actual nature of the entrepot trade, so as to avoid abnormalities in payments, settlements, and declarations due to soft terms.

If the goods of entrepot trade temporarily enter the Chinese bonded area for transit and then are exported, it is necessary to declare the entry to the customs, and the corresponding entry declaration list must be retained as auxiliary documents for tax declaration. Under this situation, entrepot trade still does not need to pay import VAT, and the tax declaration rules are consistent with direct transit from abroad, only corporate income tax needs to be declared.

If the entrepot trade was declared as general trade due to incorrect declarations before, it is necessary to promptly apply to the customs for deleting and re-filing the declaration, and simultaneously apply to the tax authorities for correcting the declaration, so as to avoid double taxation and affecting the enterprise's tax credit.

The transaction structure can be optimized according to the volume, profit, and payment and settlement cycle of entrepot trade. If entrepot trade is carried out for a long time, the entrepot trade business can be accounted for separately, and the tax costs under different paths can be accurately calculated.

If multiple transit countries are involved, a transit location with lower tax differences can be selected for layout to reasonably optimize tax costs, while complying with local compliance requirements of the transit countries. The payment and settlement time can be adjusted according to exchange rate changes, matching with the declaration cycle, to amplify exchange rate gains without affecting the compliance of tax declarations, and overall improve the net profit level of entrepot trade.

The bill of lading for entrepot trade is a core document to prove the authenticity of the business. If multimodal transport is adopted, the full set of through bills of lading and documents for endorsement transfer of goods title must be retained. It is not allowed to only retain the last leg of the bill of lading, otherwise the authenticity of the business will be questioned.

If the goods are re-routed during transit, the re-routing certificate and bill of lading amendment endorsements must be retained in time, and the auxiliary materials for tax declaration must be updated simultaneously, so as to avoid declaration abnormalities due to inconsistent bill of lading information with the actual trade path. The detention charges and re-routing fees generated during transit can be included in the costs of entrepot trade and deducted before corporate income tax. The corresponding payment vouchers and invoices must be retained.
