We are a small and medium-sized foreign trade enterprise engaged in cross-border export of electromechanical accessories. Recently, we took an entrepot trade order, with the shipper in Southeast Asia and the consignee in Europe, and we act as an intermediary to earn the price difference. We originally planned to arrange a direct vessel call to the European destination port, without arriving at the transit port on our side, which could save tens of thousands of dollars in demurrage and customs clearance costs.
However, after asking several peers, some said that arrival at the transit port is mandatory otherwise it is non-compliant, while others said it is not required, leaving me very confused. The sailing schedule is about to be finalized, and we have not done entrepot trade without arrival before, worrying about being detained and fined for problems, and also affecting exchange settlement and subsequent tax refunds. We want to clarify whether entrepot trade really requires mandatory arrival, and what conditions need to be met for compliance if there is no arrival?

There has always been a misunderstanding in the industry that "entrepot trade must arrive at the transit port". Many enterprises,in order to comply with the so-called default rules, forcibly arrange goods to be transshipped at the transit port, adding unnecessary logistics and customs clearance costs of tens of thousands to hundreds of thousands of dollars. Some enterprises have heard that they can avoid arrival, directly take a direct voyage without any declaration, both of these operations hide considerable risks.
If blind and wrong operations are carried out,it will trigger a chain of negative reactions: customs will determine that the declared information of goods does not match the actual flow,at the least, detention and demurrage will generate high container detention charges,at the most,it will be identified as false trade, freezing exchange settlement and payment quotas, affecting the subsequent import and export qualifications of the enterprise, leaving long-term compliance stains.
2026 customs supervision rules clarify that there is no mandatory arrival requirement for entrepot trade,as long as two core conditions are met for compliant operations: first, the title of goods is clear, and the entire set of bill of lading endorsement chain is complete, second, file a record of entrepot trade with the local customs in advance.
The core means of risk isolation is complete the entrepot trade information registration in advance, and keep the full set of purchase and sales contracts, title transfer documents, and exchange settlement vouchers. Once customs initiate an inspection, complete materials can be directly provided. If there has been a direct voyage without registration, supplement the registration immediately, cooperate with customs inspection to avoid qualification downgrade penalties, and minimize losses to the greatest extent.

When registering for entrepot trade, it is necessary to accurately declare the final flow of goods. If a direct voyage without arrival is clear, mark "direct voyage to final destination" in the "transit clause" column of the declaration form, and upload the full set of title transfer documents. In the valuation link, if the declared price is considered to be too low, third-party price supporting materials need to be provided to prove the rationality of the price difference.
For non-arrival entrepot trade, select the "offshore entrepot" category in the integrated customs clearance system to avoid the system automatically identifying it as untransit violation. If the system misjudges and pushes the order, apply for deleting the order and re-declaring it directly. After re-recording the information, the process can be completed within 1 working day.

When arranging a logistics plan for non-arrival entrepot trade, inform the shipping company of the need for direct voyage of goods when booking space in advance, to avoid the shipping company defaulting to arranging transit and container transshipment. The bill of lading must clearly mark "goods from the port of loading to [XX] destination port directly", and require the shipping company to leave enough space in the title endorsement column for multiple title transfers.
If it is necessary to change the port temporarily, apply to the shipping company 72 hours in advance to avoid high port change fees, and confirm the title change information with both the shipper and consignee in advance to avoid title disputes. Container detention charges and free detention period can be negotiated with the shipping company in advance. For entrepot trade enterprises, an extension of 10-14 days of free period can be applied to reduce additional costs caused by temporary changes.

In the tax structure design of non-arrival entrepot trade, the VAT deferral policy of the transit country can be utilized. If the goods do not enter the territory of the transit country, there is no need to pay the import VAT of the transit country, and customs clearance and payment are directly carried out in the destination country, saving capital occupation costs.
For cross-border related transactions of entrepot trade, advance pricing arrangements must be made in advance to avoid being identified as tax base erosion and being audited by the tax authorities of the transit country or source country. When non-resident enterprises act as transaction counterparts, advance withholding income tax must be paid in advance, and source withholding must be properly handled to avoid additional taxes and late fees.

In the exchange settlement and payment link of non-arrival entrepot trade, it is necessary to clearly mark "offshore entrepot trade" when declaring exchange settlement and payment, not declare it as general trade. When remitting via SWIFT message, the transaction contract number and title transfer number must be fully marked in the remarks for bank verification.
If cross-border RMB payment is used, select the corresponding entrepot trade category in the CIPS system to avoid the bank hanging up the account during settlement. The profits of entrepot trade in offshore accounts must be declared in accordance with the requirements of the jurisdiction, not illegally retained, to avoid account freezing.

In non-arrival entrepot trade, the flow of goods and the node of title transfer must be clearly marked in the transaction contract to avoid letter of credit soft clauses. Some letters of credit will require a transit port arrival certificate.
When negotiating, the clause must be modified in advance to note that "direct voyage entrepot trade does not need to provide an arrival certificate". Title transfer must issue a formal endorsed bill of lading.
If a guarantee is required, the effective scope and fallback clauses of the guarantee must be clearly defined to avoid being unable to defend rights in case of title disputes. In terms of intellectual property, if the goods have a brand, the authorization documents must be filed in advance to avoid being detained by the destination country customs.

If a non-arrival entrepot trade triggers an early warning due to the system and is required to be inspected, prepare the full set of registration documents, title documents, and transaction contracts in advance, and provide them to the on-site customs. If the customs requires verifying the authenticity of the seal, obtain the seal number certificate from the shipping company in advance, and organize the documents in advance to speed up the inspection progress.
If container inspection is required, communicate with the handling team in advance about the container inspection position to avoid damage to goods after reloading. If sample testing is required, prepare the original product specifications and inspection reports in advance to shorten the testing cycle.

For entrepot trade involving export tax refunds, it is necessary to ensure the alignment of four streams: goods flow, title flow, capital flow, and invoice flow. Although the goods flow does not go to the transit port, the title flow, capital flow, and invoice flow must be consistent. The exchange settlement verification must be completed within the specified time, and the full set of documents must be prepared in advance, including transaction contracts, bills of lading, title transfer documents, and exchange settlement vouchers.
If the tax authorities initiate a verification letter, respond timely and accurately to avoid the verification letter failing and affecting tax refunds. In terms of capital flow, there must be no non-compliant capital turnover, ensuring that each capital flow matches the transaction to avoid being identified as illegal tax refunds.

For enterprises that have long-term entrepot trade, non-arrival operations can optimize supply chain costs, shorten the overall transportation cycle, and reduce the risk of goods transit loss. A dynamic entrepot trade plan can be constructed by combining the sailing schedules and costs of different routes. If the destination port customs clearance time is long, advance scheduling of the sailing can be selected, without waiting at the transit port, improving the overall supply chain turnover efficiency.
In terms of trade terms, non-arrival entrepot trade is suitable for choosing FCA (Free Carrier) terms, clarifying the responsibilities of all parties, avoiding disputes caused by unclear division of responsibilities. Combined with inventory linkage strategies, the overall operating costs can be further reduced.
