I am the person in charge of an enterprise engaged in electronics entrepot trade, and I plan to launch business in the Shanghai Free Trade Zone recently, but I have no knowledge of taxes and fees related to entrepot trade at all. I heard that some of my peers paid unnecessary extra money and even received customs penalties before due to unclear understanding of tax rules, which makes me quite worried. I want to know exactly what taxes are required for entrepot trade in free trade zones?
For example, do tariffs, value-added taxes and consumption taxes all need to be paid? Are there any available preferential policies? I hope to get a detailed answer to avoid potential pitfalls.

First of all, core taxes for free trade zone entrepot trade include tariff,value-added tax, consumption tax and stamp duty, etc。but the specific payment requirements are determined according to the actual business model.
Under the traditional entrepot trade model, when goods enter the free trade zone from overseas, they are temporarily exempted from tariffs,import-stage value-added tax and consumption tax if they do not enter the domestic customs territory. However,if the goods enter the domestic customs territory, relevant taxes and fees shall be paid in accordance with regulations.
In terms of optimization paths, enterprises can leverage the "bonded warehousing" policy of free trade zones to temporarily store goods in free trade zone warehouses, and then ship the goods directly from the free trade zone to overseas destinations after finding downstream buyers,so as to avoid paying import-stage taxes and fees. In addition, some regions implement a value-added tax deferral policy for entrepot trade, under which enterprises do not need to pay taxes in advance, thus easing capital pressure.
In terms of access thresholds, enterprises shall ensure the authenticity of entrepot trade, provide complete trade documents (such as bill of lading, contract, invoice, etc.) and complete filing procedures with the customs. For revenue ratio calculation, assuming the value of one batch of entrepot trade goods is 1 million US dollars, using the free trade zone policy to be exempt from tariff (calculated at 5%) and value-added tax (13%) can save about 180,000 US dollars in cost, significantly improving profit margin.
However, note that stamp duty for entrepot trade shall be paid at 0.03% of the contract amount. If non-resident enterprises are involved, compliance handling of withholding income tax shall also be properly arranged.

The customs declaration process for free trade zone entrepot trade requires accurate tariff classification. If goods go through simple processing (such as sorting and packaging) in the free trade zone, they still fall into the scope of entrepot trade, and no import taxes are required.
But it must be ensured that the processing activities do not change the HS code of the goods, otherwise the activities may be identified as general trade, requiring supplementary payment of tariffs and value-added taxes. When making customs declaration, documents including entrepot trade filing form, bill of lading and contract shall be submitted to ensure "documents conform to goods" and avoid customs penalties caused by inconsistent documents.。

Appropriate transit ports shall be selected for the logistics route of entrepot trade. When carrying out entrepot trade in the free trade zone, goods can be transited through bonded logistics parks to reduce tax and fee costs in intermediate links.
For example, goods entering the Shanghai Free Trade Zone from Southeast Asia and then shipped to Europe can use the bonded warehousing function of the free trade zone to avoid paying import taxes at domestic ports. Meanwhile, attention shall be paid to the storage period of goods, as exceeding the specified period may lead to demurrage charge or the goods being treated as general import trade.。

The value-added tax handling for entrepot trade shall distinguish whether the goods enter the domestic customs territory. If goods only circulate within the free trade zone and do not enter the domestic customs territory, the value-added tax can be temporarily exempted from payment; if the goods enter the domestic customs territory, relevant taxes shall be paid as required.
In addition, enterprises can apply for value-added tax deferral, which postpones the tax payment obligation to the actual export date of goods to ease capital pressure. Note that the profit part of entrepot trade may involve corporate income tax, while eligible overseas income can enjoy tax credit policy.。

The entrepot trade contract shall clearly specify the time and location of ownership transfer of goods. When carrying out entrepot trade in the free trade zone, the contract shall state the warehousing liability and risk transfer clauses of goods in the free trade zone, to avoid disputes caused by goods ownership issues.
If letter of credit settlement is involved, attention shall be paid to the risks of soft clauses, such as the requirement to provide domestic inspection certificates, which may lead to failure to collect payment smoothly.。

The supply chain design of entrepot trade shall take cost and efficiency into consideration. Enterprises can leverage the location advantages of the free trade zone, select appropriate warehousing and logistics service providers, and optimize the goods transit process.
For example, storing goods in the bonded warehouse of the free trade zone allows flexible allocation of goods to different countries, reducing inventory costs. Meanwhile, pay attention to the impact of exchange rate fluctuations on profits, and use foreign exchange hedging instruments to reduce relevant risks.。
