I am the financial director of a foreign trade company specialized in Southeast Asian entrepot trade. Recently I have encountered operational troubles: Last month, we handled a batch of electronic products transshipped from Singapore to Europe.
During foreign exchange collection, the bank notified us that our documents failed to match, leading to 15 days of funds being booked under suspense accounts, plus extra unexpected exchange rate losses. Besides, the tax authority is inquiring about the VAT treatment of our entrepot link, and we did not notice the relevant compliance requirements in advance.
Now we want to confirm the proper processing procedures for the whole entrepot trade settlement process, especially for the foreign exchange settlement and tax handling sections. Are there any specific operational steps to avoid such problems?

The full-link processing of entrepot trade settlement must start from three core nodes: document verification, foreign exchange settlement and tax compliance. First,pre-document verification must ensure full consistency of bills of lading, contracts and invoices: the consignee and consignor specified on the bill of lading must correspond exactly to the buyer and seller stated in the entrepot trade contract, and the invoice amount must match the value of foreign exchange receipts and payments,so as to avoid suspense booking caused by document inconsistency required by banks.
In the foreign exchange settlement link,it is recommended to give priority to the CIPS Cross-border Interbank Payment System for RMB settlement,to reduce correspondent bank fees and exchange rate fluctuation risks. If USD settlement is adopted, the exchange rate shall be locked in advance to avoid losses caused by volatile exchange rate movements. Meanwhile, enterprises must truthfully declare all entrepot trade receipts and payments in the Goods Trade Foreign Exchange Monitoring System of the State Administration of Foreign Exchange,to ensure a logical closed loop between capital flow and goods flow.
In terms of tax handling, entrepot trade refers to trade activities completed overseas by domestic enterprises, which generally does not require domestic value-added tax payment, but relevant supporting documents (such as bills of lading, manifests and contracts) must be properly retained for future inspection by tax authorities. If intermediate warehousing or processing operations are involved, enterprises shall distinguish whether such activities constitute domestic taxable behaviors,to avoid underreporting or overpaying taxes.
Emergency response plan: If foreign exchange suspense booking occurs, immediately supplement the missing documents and submit formal explanatory notes to the bank. If non-compliance issues are identified during tax inspection, provide complete supporting proof of the entire entrepot trade process, including goods transportation routes and warehousing records,to prove the authenticity and compliance of the transaction.

During the customs declaration link of entrepot trade settlement, attention shall be paid to the consistency between manifest information and bills of lading. If document exchange operation is carried out at the transit port, make sure the consignee information on the newly issued bill of lading is consistent with that specified in the entrepot trade contract, to avoid goods port detention caused by manifest inconsistency required by customs.
In addition, the customs declaration form for entrepot trade must be clearly marked with the wording "entrepot trade", and the declared amount must match the value of foreign exchange receipts and payments, otherwise special inspection by the State Administration of Foreign Exchange may be triggered. If the submitted customs declaration form does not conform to the actual transaction, apply for deletion and re-declaration in a timely manner, to avoid negative impact on subsequent foreign exchange settlement and tax handling procedures.

The logistics route selection of entrepot trade directly affects the overall settlement efficiency. It is recommended to choose direct-sail transit ports to reduce goods stay time, and lower container demurrage fees and extra warehousing costs.
Meanwhile, ensure the endorsement and transfer of bills of lading are fully compliant: if order bills of lading are adopted, the original consignor shall endorse the bill of lading to the entrepot trader, who then endorses it to the final consignee, to eliminate possible disputes over cargo ownership. In addition, track the real-time transportation status of goods, and obtain manifest information in advance, so as to provide complete logistics proof during foreign exchange settlement and shorten bank review time.

Tax handling for entrepot trade needs to focus on the proper application of VAT deferral policy. If the entrepot goods transit within the territory of the European Union, enterprises can apply for VAT deferral qualification, so as to avoid paying import VAT in advance and reduce capital occupation.
In addition, ensure that related party transaction pricing conforms to the arm's length principle, to avoid anti-tax avoidance investigation by tax authorities caused by unreasonable transfer pricing arrangements. At the same time, retain all complete documents of the entrepot trade, including contracts, invoices, bills of lading, manifests and other vouchers, for future reference during tax correspondence verification.

Foreign exchange settlement for entrepot trade must strictly comply with relevant regulations issued by the State Administration of Foreign Exchange. First, complete enterprise name registration in the Goods Trade Foreign Exchange Monitoring System, to guarantee the compliance of receipts and payments declaration.
Second, all foreign exchange receipts and payments must be consistent with the actual goods transaction, to prevent foreign exchange control risks caused by fake trade arrangements. If offshore accounts are used for settlement, ensure the source and usage of funds in these accounts are fully legal, to prevent the accounts from being classified as high-risk accounts by banks. In addition, it is suggested to mark "entrepot trade" clearly in SWIFT messages to facilitate fast review by bank clerks.

The contract terms for entrepot trade shall clearly specify the exact time of cargo ownership transfer and clear responsibility division. It is recommended to stipulate the risk transfer point of goods at the transit port in the formal contract, to avoid unnecessary disputes caused by goods damage or loss.
In addition, pay special attention to soft clauses when adopting letter of credit settlement, such as requirements for transit port inspection certificate or captain's receipt, confirm these clauses are fully achievable to avoid unsuccessful negotiation. If a letter of guarantee is involved, clearly specify the validity period and compensation conditions of the letter of guarantee, to avoid losses caused by expired guarantee.

Entrepot trade generally does not qualify for export tax refund, but the completeness and compliance of relevant supporting documents must be guaranteed. If the entrepot goods involve domestic procurement, enterprises shall distinguish whether such goods are classified as deemed export goods, to avoid wrong application for tax refund.
In addition, retain all complete documents of the entrepot trade, including contracts, invoices, bills of lading, foreign exchange receipts and payment vouchers, etc., for future inspection by tax authorities. If abnormal capital return is detected, provide formal explanatory notes in a timely manner to prove the legality of funds and the authenticity of the transaction.
