I run a private enterprise mainly engaged in small household appliances export. Recently I plan to try entrepot trade to expand the Southeast Asian market, but I have only done conventional FOB export before, and know nothing about the whole process of entrepot trade.

I am worried that document errors or omissions will lead to customs cargo detention, and non-compliant foreign exchange receipt and payment will result in penalties. I also have no idea how to reduce costs by using the tax difference of entrepot trade, and fear that improper selection of transit port and logistics path will increase freight costs.

Now I urgently need to understand the specific steps of entrepot trade from pre-preparation to final implementation, as well as common risks that can be avoided, so as to ensure compliance while gaining cost advantages. After all, this is my first attempt at entrepot trade, and I do not want any mistakes to happen.

The full-link operation of entrepot trade shall start with **pre-document review**,whose core is to form a logical closed loop of "cargo title transfer, document flow, and foreign exchange receipt and payment" to avoid the risk of inconsistent four flows. First, confirm the qualification of the transit trader and the authenticity of the trade background, and require them to provide genuine upstream and downstream purchase and sales contracts. The contracts shall clearly specify that the transfer of cargo title is realized through bill of lading endorsement, rather than the actual goods passing through the transit port, which is the key to preventing customs from deeming it as "fake entrepot trade".

The connection of core nodes is divided into three steps: First, after the overseas upstream party delivers the goods,it endorses the bill of lading to the transit trader,Second, when the transit trader delivers goods to the overseas downstream party,it endorses the bill of lading to the downstream party again. The whole cargo title transfer process is completed through endorsement, and the goods can be directly shipped from the overseas upstream party to the overseas downstream party without entering the transit port for warehousing (namely the "direct transfer" mode),Third, domestic enterprises need to retain electronic copies and paper duplicates of all documents, including purchase and sales contracts, bills of lading, invoices, and foreign exchange receipt and payment vouchers,to ensure every step is traceable.

In terms of abnormal contingency plans,if customs conducts authenticity verification on the entrepot trade, the complete chain of cargo title transfer shall be provided immediately. For foreign exchange receipt and payment,it shall be ensured that the capital flow fully matches the document flow,so as to avoid being identified as "hot money flow". The sign of final compliance implementation is the completion of foreign exchange revenue and expenditure declaration and retention of document filing, which ensures that complete proof of the trade chain can be provided during tax declaration. If export tax rebate is involved, the entrepot trade shall meet the requirements of cross-border RMB settlement or compliant foreign exchange receipt and payment, cannot apply the conventional export tax rebate policy, and requires separate accounting.

The core of customs declaration for entrepot trade is to distinguish between "direct transfer" mode and "transit" mode. The price verification focus for entrepot trade at Shanghai Port lies in the matching degree between the actual cargo value and the purchase and sales contract. If the goods are directly shipped from the overseas upstream party to the overseas downstream party, a "non-warehousing certificate" shall be provided to prevent customs from counting the goods into domestic transit volume.

If document pushing operation is involved, the entrepot trade documents shall be uploaded 1 day in advance for customs pre-verification to avoid on-site document review delay. When deleting and re-declaring documents, the consistency of all documents shall be guaranteed, especially the continuity of bill of lading endorsement.

For logistics path optimization of entrepot trade, direct-sailing transit ports shall be prioritized to avoid container demurrage caused by secondary loading and unloading, and confirm the free storage period provided by the transit trader. If the goods are under direct transfer mode, full set of ocean bill of lading can be applied, no document exchange at the transit port is required, which reduces the cost of logistics links.

Bill of lading endorsement and transfer shall be completed outside the territory to avoid tax risks caused by domestic endorsement. The risk of container rolling can be avoided by locking direct shipping schedules, and spare shipping companies at the transit port shall be prioritized in case of space congestion.

The key point of tax planning for entrepot trade is to leverage VAT deferral policies. VAT deferral in regions such as the European Union can defer the payment of import VAT and reduce capital occupation. Cross-border related party transaction pricing shall comply with the arm's length principle. Under BEPS rules, contemporaneous documents shall be retained to avoid tax authority adjustment.

The non-resident enterprise withholding tax needs to confirm the registration location of the transit trader, and selecting transit traders in low-tax-rate regions can reduce withholding tax cost. The profit of entrepot trade shall be accounted for separately in the domestic enterprise's accounts, to avoid confusion with conventional export business.

The receipt and payment of foreign exchange for entrepot trade shall use compliant SWIFT messages. For offshore account management, it shall be ensured that each receipt and payment has corresponding supporting documents.

Foreign exchange settlement and account closing shall match the amount specified in the purchase and sales contract. CIPS cross-border RMB payment can reduce exchange rate risk.

Exchange rate optimization for foreign exchange purchase can be realized by purchasing foreign exchange in batches to avoid losses caused by exchange rate fluctuations. During foreign exchange settlement, it shall be ensured that the capital flow is completely consistent with the document flow, so as to avoid being listed as a "suspicious transaction entity" by the State Administration of Foreign Exchange.

The entrepot trade contract shall clearly specify the force majeure clause to avoid breach of contract caused by overseas port congestion. Cargo title transfer shall be completed through bill of lading endorsement, which shall not be based on the actual flow of goods.

It is necessary to confirm whether the goods of the transit trader involve infringement for IPR customs protection record. Soft clauses in the letter of credit shall be explicitly excluded in the contract.

The issuance of Letter of Indemnity (LOI) shall select banks with good credit standing. The exclusive agreement shall clearly define the scope of responsibilities of the transit trader to avoid disputes.

For on-site inspection of entrepot trade, tools for identifying the authenticity of seals shall be prepared in advance. During machine inspection, it shall be ensured that the appearance of the goods is consistent with the documents. When handling container unpacking inspection, the actual flow path of the goods shall be notified to customs in advance.

When interpreting the inspection notice, focus on the requirements of "cargo title transfer". For the sample submission process, professional third-party institutions shall be selected, and the laboratory test report analysis shall comply with customs standards, to avoid cargo detention caused by unqualified inspection results.

The packaging of entrepot trade goods shall comply with MSDS compilation requirements. The moisture-proof and reinforcement scheme shall be designed to adapt to the bumpiness of sea transportation. UN dangerous goods packaging shall comply with IMDG rules. Hazardous goods classification appraisal shall be completed in advance.

The selection of buffer packaging materials shall be based on the weight and fragility of the goods. Packaging marks shall include Chinese-English bilingual shipping marks to avoid identification errors at overseas ports. The consistency of four flows shall ensure the matching of cargo flow, capital flow, document flow and invoice flow.

For cross-month declaration, communication with tax authority shall be conducted in advance. Pre-declaration verification shall be completed before formal declaration. Foreign exchange collection verification and cancellation shall use compliant receipt and payment vouchers, to avoid tax rebate failure caused by incomplete documents.

The supply chain architecture design for entrepot trade shall be combined with Southeast Asian market demand. The inventory linkage strategy shall ensure that the transit trader's inventory matches downstream demand.

The cost precision calculation model shall include all costs of logistics, documents and taxation. The conversion of CIF/FOB trade terms shall be adjusted according to the requirements of the transit trader.

For international trade structure design, multiple transit ports shall be selected to diversify risks. Inventory linkage can reduce transit costs, and supply chain optimization shall achieve balance between compliance and cost.
