I am engaged in cross-border electronic component redistribution business. Last month, I signed an order for goods shipped from a Vietnamese factory, originally destined directly for my Seoul-based client. Now, the goods need to be transshipped via the Shanghai Port Bonded Warehouse for container reloading before being sent out. I have never handled import entrepot trade before. Last week, my friends told me that it is easy to be identified by customs as "empty transshipment" fictitious trade, which may result in cargo detention or even seizure.
The vessel will arrive at the port in 7 days, and the only documents I have are the Certificate of Origin, Vietnamese Bill of Lading, and the contract with the Seoul client. I have no idea about the subsequent procedures and am worried about violating regulations and incurring hundreds of thousands of yuan in port detention and penalty costs. I want to understand what import entrepot trade is and whether my current situation can be handled compliantly.

Your business falls under the typical bonded zone entrepot model. First, complete pre-document review and do not use the general import declaration channel directly. Compile the tripartite trade contract, inbound B/L,outbound B/L,and title transfer declaration into a complete set,and ensure 100% consistency of the cargo name,HS Code, and weight information across all documents. The destination field on the Certificate of Origin must not include any reference to a domestic Chinese consignee to prevent the system from determining that the goods are imported directly for domestic sale.
Initiate the transshipment cargo filing application with the bonded zone customs 24 hours before the vessel arrives at the port,do not file after the vessel docks. After the application is approved, arrange direct unloading into the designated transshipment supervision warehouse in the bonded zone. No import tax payment is required throughout the process, and container reloading must be completed under customs video surveillance. Do not transport the goods out of the bonded zone without authorization.
If a valuation alert is triggered by the system, submit complete title transfer documents immediately. Do not provide any VAT invoices for domestic consignees or explain that the goods are for domestic sale. Cooperate with customs officers to retrieve the full surveillance footage of the transshipment warehouse on-site,and no additional penalties will be imposed.
After the outbound B/L is issued, arrange direct customs transit of the goods from the bonded zone to Seoul. For payment and receipt settlement, use an offshore account to complete fund transfers with both ends overseas. No import payment or export receipt declaration is required domestically throughout the entire process. The entire process will not incur additional duty and VAT costs, nor will it trigger tax audit risks.

When declaring entrepot trade, note that the system automatically matches inbound and outbound manifest data. The port of destination on the inbound manifest must be filled as "Shanghai Bonded Transshipment Port", and the port of loading on the outbound manifest must be filled with the corresponding bonded zone code. The logical chain of all declared data must be fully closed, and there must be no discrepancy between cargo flow and declaration.
During the valuation process, customs officers will verify the pricing logic of the entire transaction. As long as you can provide complete upstream and downstream transaction documents to prove that the cargo title was not transferred domestically during transshipment, the valuation procedure will not be initiated. If your declaration is rejected, do not repeatedly delete and re-declare; submit a written transaction explanation to apply for manual review, and customs clearance can be completed within 3 working days.

During the transshipment phase, apply to the shipping company in advance for a 14-day free storage period in the bonded warehouse and a 7-day free detention waiver for the outbound vessel. Arrange container reloading within the first 3 days after the vessel docks, and do not delay until the end of the free storage period to avoid high storage and container detention fees.
Complete a blank endorsement on the bill of lading to transfer the cargo title from the Vietnamese shipper to your company, and then directly to the Seoul consignee via endorsement. Do not include any information about domestic actual consignees on the bill of lading. Complete port change procedures 72 hours before the inbound vessel arrives to avoid high port change fees charged by the shipping company.

Profit accounting for the entire entrepot transaction must be independent of your company's regular domestic revenue accounts. All overseas payment and receipt transactions must be recorded separately and must not be linked to the domestic VAT deduction chain.
Overseas costs and expenses corresponding to entrepot trade can be deducted pre-tax for corporate income tax, and no input VAT reversal is required. If the transaction value exceeds RMB 5 million, you can apply for VAT deferral for offshore trade.
No domestic VAT is required for the entire transaction, and no verification of withholding tax on non-resident enterprises will be triggered. As long as the pricing complies with the arm's length principle, you will not violate BEPS-related regulatory red lines.

For cross-border payment and receipt settlement, prioritize using the CIPS RMB cross-border payment channel. Label the transaction remarks in all SWIFT messages as "Payment for Transiting Cargo Entrepot Trade", and do not fill in remarks for general trade payment casually. Retain complete documents for offshore account transactions in chronological order, and each fund inflow and outflow must match the corresponding trade contract and bill of lading information.
Do not deliberately choose a high exchange rate for large-scale centralized settlement; splitting into multiple small settlements can avoid triggering the bank's anti-money laundering alert. No import foreign exchange purchase or export receipt verification is required throughout the payment and receipt process.

When signing the tripartite trade contract, add clauses specifying liability division during the transshipment phase, and stipulate that cargo damage risks during transshipment at Shanghai Port are covered by the insured international cargo insurance. Do not include any clauses related to cargo delivery to a domestic Chinese consignee.
In the letter of credit terms, clearly specify that negotiating documents include the inbound B/L, outbound B/L, and title transfer declaration, and do not set soft clauses requiring the provision of domestic Chinese entry clearance documents. You can apply to the shipping company in advance for an LOI (Letter of Indemnity) as a guarantee for delivery without original B/L to avoid disputes over delivery without original B/L after the outbound vessel arrives at the port.

If the cargo triggers a customs scanning alert, do not agree directly to the customs' request for physical inspection. First submit a detailed packing list and product description, and apply for customs officers to conduct remote image review first. Over 90% of regular electronic components can be released directly through scanning.
If physical inspection is necessary, arrange a cargo representative to be present on-site for cooperation. Do not tamper with customs seals without authorization. After the inspection is completed, request the inspection result notice immediately, and arrange subsequent shipment only after confirming that the cargo is in good condition. The longest sample testing cycle will not exceed 3 working days.

During transshipment, provide constant temperature and moisture protection for electronic component cargo. Place sufficient desiccants in the container in advance, control the container temperature between 10 and 25 degrees Celsius, and keep the humidity below 60% to avoid moisture-induced oxidation of the cargo during transshipment.
If the cargo contains built-in lithium batteries, prepare a dangerous goods packaging inspection report complying with the UN3480 standard in advance. The transportation information in Section 14 of the MSDS must fully match the transportation modes of the inbound and outbound vessels to avoid cargo rejection by the shipping company during transshipment.
