I am a foreign trade factory manufacturing light industrial products in the Pearl River Delta. Recently, I received an overseas order requiring us to perform simple processing and assembly on raw materials shipped from Southeast Asia and then send them directly to a client in a third country.

The client stated that this belongs to processing entrepot trade. I have previously only done general trade and traditional entrepot trade, so I am now unclear whether processing entrepot trade counts as entrepot trade. Customs supervision on entrepot trade has been strict recently.

If I declare the wrong trade mode, will my goods be detained or fined? The goods have arrived at the port, and I am rushing to clear customs. I need to quickly clarify their attributes and know the correct way to declare compliantly to avoid problems.

Many practitioners fall into the misconception that any business involving transit processing via a third country (region) before being shipped to the final destination falls under the category of entrepot trade. In reality, processing entrepot trade is not entirely equivalent to traditional entrepot trade, there are fundamental differences in customs supervision and foreign exchange payment requirements between the two. Goods in traditional entrepot trade do not enter the domestic processing link, they only undergo transit warehousing or container changing/sorting without substantial value addition. However, processing entrepot trade involves domestic processing and value addition. Once mistakenly declared as traditional entrepot trade,it will directly trigger customs supervision warnings.

The chain reaction following a mismatched declaration is very clear: First,it will be marked by the customs system as a false declaration, pausing the clearance process. Goods will be stranded at the port, incurring high demurrage and detention fees and storage charges. In serious cases, goods will be directly detained, requiring the deletion of the declaration for the entire batch and re-declaration. This not only misses the scheduled shipping schedule, resulting in dead freight, but also affects the overseas client's trust in delivery and may even trigger compensation for order breach. If it involves a mismatch in the collection and payment of foreign exchange,it will trigger investigations by the foreign exchange administration, leaving a compliance blemish and affecting the enterprise's subsequent import and export business qualifications.

The core criterion for determination is whether the goods undergo substantial processing and value addition domestically. If only simple sorting, repackaging,or labeling is performed without changing the original attributes of the goods,it can be declared compliantly as entrepot trade. If assembly or processing occurs that changes the form of the goods and generates new value, corresponding procedures must be handled as inward processing. Advance pre-review of trade attributes is the most effective means of risk isolation. Before the goods arrive at the port, submit the processing instructions to the regulatory authorities for pre-review to determine the trade attributes before declaring. If a wrong declaration has already been made, apply to delete the declaration and re-declare immediately, while synchronously updating the collection and payment filing,to stop losses in time and prevent the expansion of risks.

The core basis for trade mode declaration is the customs definition of the entry purpose of the goods. Traditional entrepot trade is defined as a trade mode where goods set off from overseas, transit through a domestic port, do not enter the domestic consumption market, and are directly re-shipped out of the country.

If processing entrepot trade involves domestic processing, it has already changed the entry purpose of the goods and does not fall under the customs category of entrepot trade. If the goods' attributes cannot be confirmed during declaration, it is necessary to submit the processing contract, raw material list, and finished product delivery agreement to the on-site customs in advance for attribute determination.

If the declaration has been rejected due to classification errors, complete business materials need to be organized, attribute explanations submitted as required, and the customs valuation department assisted in completing the audit before re-declaring. This avoids extending the audit time due to incomplete materials, generating additional port charges, and lengthening the clearance cycle, affecting subsequent delivery.

The logistics operation requirements for processing entrepot trade and entrepot trade are completely different. Entrepot trade can apply for bonded storage in transit warehouses and enjoy corresponding free storage period benefits. If processing entrepot trade requires entry into a factory for processing, inward processing filing must be handled, and the logistics path needs to transfer from the bonded transit warehouse to the processing factory area, and then be re-declared for shipment from the processing factory area.

If logistics are arranged as entrepot trade by mistake, the goods will not be able to be picked up from the bonded transit warehouse to the processing factory area, delaying the processing cycle and incurring overdue storage fees. It is necessary to communicate with the shipping company in advance to confirm the bill of lading consignee information and the supervision requirements for cargo pickup. If the transport plan needs to be changed, apply to the shipping company to adjust the voyage 7 days in advance to avoid cancellation fees, while synchronously adjusting the manifest information to ensure it is completely consistent with the declaration information, avoiding manifest mismatches affecting clearance.

The tax treatment for processing entrepot trade and entrepot trade is completely different. Traditional entrepot trade can enjoy VAT exemption policies.

If it is processing entrepot trade involving domestic processing links, the processing fee portion needs to be paid according to regulations. If it is mistakenly declared as exempt as entrepot trade, it will trigger tax authority audits, requiring payment of back taxes and late fees, increasing additional cost expenditures.

If the business meets the requirements for inward processing with supplied materials, you can apply for filing of inward processing with supplied materials, enjoy the bonded policy for imported raw materials, and only pay tax on the processing fee portion, optimizing overall tax costs. It is necessary to retain complete processing contracts, raw material usage usage records, and finished product shipment documents to cooperate with tax authority audits, avoiding being found non-compliant due to incomplete materials and affecting the enterprise's tax credit rating.

Compliance requirements for the collection and payment of foreign exchange differ significantly depending on the trade type. The collection and payment of foreign exchange for entrepot trade need to meet basic matching requirements; after collecting foreign exchange, corresponding payments are made to upstream suppliers. Because processing entrepot trade involves domestic processing links, the collection and payment of foreign exchange need to distinguish between raw material procurement and processing fee collection.

The raw material portion can be collected and paid according to the entrepot trade method, while the processing fee portion is declared and collected according to the general trade method. Mismatched collection and payment will cause inconsistencies between foreign exchange declaration information and customs declaration information, triggering monitoring warnings from the State Administration of Foreign Exchange, affecting the classification of the enterprise in the collection and payment directory, and bringing obstacles to subsequent business. It is necessary to compare and verify the declaration information for collection and payment with the customs trade mode in advance, and complete the collection and payment operations only after the information is consistent, avoiding compliance issues caused by mismatches.

During on-site inspection of goods entry, customs will verify the trade mode and actual status of the goods. If processing entrepot trade is mistakenly declared as entrepot trade, and processing traces are found on the goods during inspection, it will be directly identified as a false declaration, requiring the entire batch of goods to be detained for inspection, extending the clearance time. When cooperating with the inspection, it is necessary to prepare the processing instructions of the goods in advance, clearly explaining the specific content of the processing and the value-added situation.

If it is only simple repackaging and labeling, you can explain it to the inspection officer on the spot and provide corresponding on-site photos as proof. After completing the attribute verification, the goods can be released quickly. If substantial processing indeed exists, cooperate with customs to adjust the trade mode and complete the subsequent declaration change process, which will not have an additional impact on the enterprise's qualifications.

Mismatching the trade mode will directly affect the compliance of export tax rebates. If processing entrepot trade is mistakenly declared as entrepot trade, it will lead to a mismatch in tax rebate document information, triggering tax verification letters, extending the tax rebate cycle, or even directly causing the tax rebate to fail. In processing entrepot trade, if it is the processing with supplied materials mode, the processing fee portion can be declared as exempt, and tax rebates do not need to be handled.

If it is processing with imported materials, the finished products can be declared for export tax rebates according to regulations after re-export. It is necessary to ensure the consistency of the four flows, that is, the contract flow, goods flow, capital flow, and invoice flow information match completely. Prepare document filings in advance and retain all processing documents and entry-exit records to cope with subsequent audits, avoiding tax rebates being rejected due to inconsistent information, bringing financial losses to the enterprise.
