I am the Finance Director of a medium-sized electronic components trading company based in Shenzhen. Our company launched re-export trade business in 2025. The main operation model is to procure chips from Vietnam, ship the goods directly to our affiliated company in Singapore without entering China's territory, and then resell the goods to European clients. I am totally stuck and highly troubled by current accounting treatment.
We make foreign exchange payments to Vietnamese factories for procurement, and collect sales proceeds from Europe, but the goods never enter China. How should I recognize corresponding revenue and cost? Is value-added tax completely exempted? For the State Administration of Foreign Exchange, we pay one sum of US dollars and receive another sum of US dollars with different amounts, how should we handle this difference?
I recently learned that customs and tax authorities are conducting very strict inspections on this type of business marked by "separation of goods flow and capital flow". I am extremely worried that wrong accounting records will trigger audits, and even damage our company's export tax refund qualification. We are in urgent need of a clear, compliance-oriented full-process guidance for accounting treatment.

The confusion you encountered is very typical, which is rooted in handling re-export trade with the mindset for general trade. The core of re-export trade accounting is to build an accounting system for "document flow" and "capital flow" that is independent from the physical goods flow. The key point is that your company is the legal controlling party of the title to goods and the party bearing corresponding risks for this transaction, rather than the physical handler of the goods. All accounting treatment must be carried out around this core point.
First, the recognition of revenue and cost. When you sign the procurement contract with the Vietnamese supplier and the sales contract with the European client, the transaction is established. The revenue recognition time point shall follow the risk and reward transfer clauses stipulated in the sales contract, which is usually subject to the issuance of bill of lading or the delivery of goods to the carrier, rather than whether the goods have entered the territory. The same rule applies to cost recognition. You need to set up dedicated accounting accounts such as "re-export trade procurement cost" and "re-export trade sales revenue",to clearly separate these two receipts and payments from those of general trade. The voucher attachments must include two independent purchase and sales contracts, foreign exchange payment slip, foreign exchange collection slip, and circulation records of the full set of title documents (such as bill of lading) to prove that the title to goods is controlled by your company.
Second, the handling of foreign exchange differences. It is normal that the amount paid to Vietnam is different from the amount collected from Europe, and the difference is exactly your gross profit. In accounting treatment, record the total amount of received foreign exchange into revenue, and record the total amount of paid foreign exchange into cost,so that the difference naturally forms the profit. The regulatory priority of the State Administration of Foreign Exchange is the authenticity of transactions. You must ensure that every foreign exchange receipt and payment can be matched and verified with corresponding contracts and commercial documents (invoices, copies of bills of lading,etc.). If there is a long time span between receipt and payment, exchange gains or losses may occur, and you need to conduct exchange rate revaluation adjustment at the end of each month in accordance with accounting standards.
In terms of tax,the levy of value-added tax and consumption tax in mainland China is closely linked to import links. If the goods do not enter the territory,no import-linked value-added tax will be incurred, and no export tax refund declaration is required. Your profit is classified as overseas-sourced income, which may involve corporate income tax treatment under certain conditions, but this has nothing to do with value-added tax. You must clearly distinguish the nature of this business in accounts and tax declarations to avoid mis-levy of value-added tax.
Finally, the closed-loop risk control. The biggest risk is "fictitious re-export trade",which refers to fabricating transactions to arbitrage exchange rate differences or obtain financing. Your accounting records must withstand the review of "four-way alignment of contract flow, title document flow, capital flow and invoice flow". The date, amount and subject of all documents must be logically consistent. It is recommended to set up a ledger to track the document circulation nodes of each re-export trade order throughout the process, and make one-to-one correspondence with financial vouchers. In this way,you can clearly demonstrate the commercial substance and compliance of the business even if facing audits.

In re-export trade, customs valuation mainly targets import and export links. As the goods do not physically enter or exit your customs territory, customs usually will not conduct price review on this transaction. But customs will pay attention to the overall trade compliance record of your company.
Notes for accounting treatment: if goods pass through Chinese ports for transit in the future, even without customs declaration, you may need to declare "temporary entry and exit" or "transit goods" to customs. Any fees incurred in this process (such as port operation fees) shall be recorded accurately and matched with logistics documents to avoid messy cost collection.

The logistics path design of re-export trade directly affects accounting cost and risk. When conducting operations such as "bill of lading splitting" or "document substitution", make sure the clear control node of the title to goods under your company's name.
The payer and invoice receiver of logistics fees (ocean freight, transit port handling fees) shall be clearly specified in the contract. In accounting treatment, these fees shall be recorded as sales expenses or costs, with compliant transport invoices obtained.
If overseas warehouses are used for temporary storage, the warehouse storage fees shall be classified as period expenses. You need to check accounts with overseas service providers regularly, and obtain proforma invoices or settlement slips as the basis for bookkeeping.

The profit of re-export trade is usually recognized as overseas-sourced income. In tax treatment, you need to assess whether this profit constitutes taxable income for your company in mainland China. This depends on whether your company undertakes core risks and functions in the transaction.
If it is determined that relevant functions are performed within the territory, the profit may be incorporated into the taxable income. In addition, for the payment made to Vietnamese suppliers, you shall pay attention to whether it involves Vietnamese withholding income tax, to avoid disputes caused by insufficient tax deduction by the counterparty, which will further affect the compliance of your cost invoices.

The core of foreign exchange operation is the authenticity verification of transaction background. When making foreign exchange receipt and payment declarations, fill in the "transaction remark" accurately, for example, "foreign exchange collection under re-export trade" or "foreign exchange payment under re-export trade". Banks and the State Administration of Foreign Exchange will review corresponding import and export contracts, invoices, bills of lading and title transfer certificates.
The time difference between capital flow and document flow may trigger alerts in the foreign exchange monitoring system. In this case, you shall prepare full sets of business materials for inspection in advance. For scenarios where the receipt and payment are settled in different currencies (for example, paying Vietnam in US dollars and collecting payment from Europe in Euros), you shall conduct accounting accurately according to the actual settlement exchange rate, and truthfully declare exchange rate information in the foreign exchange monitoring system.

Contracts are the cornerstone of accounting treatment. The purchase and sales contracts signed with upstream and downstream parties must clearly specify that "the ownership of goods is transferred at XX port (transit location)", and the risk division is clear.
It is recommended to add "back-to-back" payment clauses, which set foreign exchange collection as one of the prerequisites for foreign exchange payment, to control capital risks. The company name on all contracts, bills of lading and other title documents must be strictly consistent with the account subject that your company uses to make foreign exchange receipts and payments, which is the most critical line of defense to ensure "four-way alignment" and respond to legal and compliance reviews.

Even if the goods do not enter the territory, if the goods need to stop temporarily or change vessels at Chinese ports due to route arrangement, they may enter the customs supervision zone. At this time, if the container detention fees and warehouse storage fees incurred at the yard are borne by your company, you shall obtain the charging documents from the terminal or shipping company in a timely manner.
These expense receipts are important supporting documents for the authenticity of costs and expenses in accounting treatment. Make sure the occurrence time of expenses and business numbers match the logistics trajectory, to avoid queries on the authenticity of business in subsequent audits caused by incomplete receipts or wrong time logic.

If the re-export trade goods involve dangerous goods or special materials, their packaging must comply with international transport rules (such as IMDG Code). Packaging cost is part of the procurement cost, which must be clearly specified in the procurement contract.
If the goods are inspected, rectified or even fined at the transit port due to unqualified packaging, the extra expenses incurred shall be recorded clearly, and the responsibility attribution shall be analyzed. In accounting treatment, such unexpected expenses shall be listed separately, with the penalty notice from the port authority or the rectification invoice from the service provider retained as vouchers, to facilitate cost analysis and responsibility tracing.

Although re-export trade itself does not involve export tax refund, tax authorities may verify the authenticity of your company's overall business including re-export trade through methods such as cross-checking letters. Therefore, all re-export trade documents (contracts, invoices, bills of lading, foreign exchange receipt and payment vouchers) shall be sorted, bound and archived in accordance with the document filing requirements for export tax refund, with a retention period of no less than 5 years.
Ensure that the accounting of re-export trade is clear and independent, and will not be mixed with general trade business eligible for tax refund, to avoid triggering tax authorities' queries on the compliance of all your businesses.

From the perspective of supply chain, the accounting cost model of re-export trade shall incorporate capital occupation cost, exchange rate fluctuation risk, transit port operation fees and potential demurrage fees. When calculating the profit of a single order, it is recommended to adopt the "full cost method" instead of only considering the purchase and sales price difference.
When designing the trade structure, you can assess the tax and accounting efficiency of conducting settlement and holding title to goods via offshore centers such as Hong Kong or Singapore, and retain part of the profit in jurisdictions with more favorable tax burdens, but you must ensure that the transaction has commercial substance and complies with China's cross-border tax regulatory requirements.
