As a small and medium-sized foreign trade enterprise dealing in Southeast Asian electronic components, we recently received a tripartite order: the supplier is located in South Korea, the buyer is in the Netherlands, and we plan to ship the goods to Shanghai first then re-container and dispatch to the destination port to conduct entrepot trade operations. Previously heard from peers that not all areas in Shanghai allow entrepot trade.

Choosing the wrong place may not only cause customs clearance obstruction but also generate high container detention fees, even affecting our foreign exchange collection and payment and import-export qualifications. We have not conducted entrepot trade in Shanghai before, are completely unfamiliar with relevant policies and access requirements, and want to ask which areas in Shanghai allow entrepot trade, what are the access requirements, and how to operate to comply with regulations.

A common misconception in the industry is that all open areas in Shanghai can conduct entrepot trade, and many operators complete registration at registered parks randomly before starting business. In fact, only open ports meeting customs supervision requirements and officially recognized special supervised zones are allowed to conduct compliant entrepot trade. Not all areas in Shanghai have open entrepot trade operation permissions.

If non-compliant areas are chosen to conduct entrepot trade, the customs declaration will first be directly rejected by the system, and goods detention will generate high container detention fees and storage fees. According to 2026 Shanghai port charging standards, daily detention fee for large containers exceeding 7 days is over 800 yuan, once detention exceeds one month, the detention fee alone exceeds 10% of the cargo value. More seriously,it will be identified as a false declaration by customs, recorded in the enterprise customs credit file, directly downgraded the enterprise's credit level, affect the subsequent customs clearance efficiency of all import and export businesses, and even trigger subsequent mandatory inspections for every shipment.

Conducting business in non-compliant areas will also affect the compliance of foreign exchange collection and payment, leading to failure to complete cross-border settlement normally,long-term overdue problems, and even identified as abnormal foreign exchange collection and payment, affecting the enterprise's import and export management rights.

The core means of physical risk isolation is to verify the compliant operation qualification of the intended area for entrepot trade in advance, and give priority to conducting business in mature special supervised zones such as Shanghai Waigaoqiao Free Trade Zone and Yangshan Free Port. These areas have complete supporting services for entrepot trade and clear and mature supervision processes. The exclusive loss-prevention tip is to reserve abnormal port change space in advance, submit the planned business plan and area information for compliance pre-review before the goods arrive at the port,to avoid additional irreversible costs caused by adjustment after arrival.

The price review link of entrepot trade must clarify the title of goods, and complete documents such as tripartite trade contracts and title transfer certificates must be provided during declaration. If declaring in non-compliant areas, the customs system will directly identify the declarant's qualification as non-compliant and make a direct rejection. Multiple re-declarations after deletion will also trigger customs early warning inspections.

It is necessary to confirm the open qualification of the declaration port for entrepot trade in advance, clearly mark the transaction logic of entrepot trade during declaration, ensure that the title of goods, transaction and document logic are consistent, and avoid price review disputes. If a rejection and overdue problem has occurred, it is necessary to sort out a complete set of transaction documents as soon as possible, submit a situation description to customs, apply for re-declaration after deletion and transfer to a compliant port for customs clearance.

The transshipment operation of entrepot trade needs to confirm the reserved transshipment berths and bill of lading endorsement rights of the port in advance. Different ports in Shanghai have different regulations on the free storage period for entrepot trade goods. Ports that have open entrepot trade business can provide up to 14 days of free storage period, while non-compliant areas provide up to 7 days. High storage fees will be charged if exceeded.

If it is necessary to change to a compliant area, it is necessary to communicate with the shipping company about the bill of lading modification information in advance, confirm the title transfer endorsement process, and avoid failure to re-container and dispatch due to inconsistent bill of lading information. Entrepot trade should try to choose full-container transshipment operations to avoid additional supervision costs caused by splitting containers and distributing goods. At the same time, confirm the storage area of transshipped goods with the terminal in advance to avoid customs clearance delays caused by misplacement.

The tax treatment of entrepot trade is directly related to the area qualification. Only entrepot trade conducted in compliant open areas can enjoy preferential policies such as VAT deferral. Business in non-compliant areas cannot enjoy tax difference optimization, and full value-added tax needs to be paid in advance, occupying enterprise cash flow.

Entrepot trade in compliant special supervised zones can realize VAT exemption, and can also conduct cross-border tax structure optimization to isolate domestic and international tax risks and avoid tax adjustments related to tax base erosion. It is necessary to sort out the tax chain of transactions in advance, confirm the tax policies corresponding to the area qualification, avoid overpaying taxes due to non-compliant areas and triggering tax inspections.

The compliance of foreign exchange collection and payment of entrepot trade is directly linked to the business area. Only areas with open entrepot trade business can support normal cross-border foreign exchange collection and payment declarations, and support normal processing of CIPS RMB cross-border payments and SWIFT messages.

Conducting entrepot trade in non-compliant areas will be identified as abnormal transactions by banks, leading to failure to complete settlement and clearing, and account overdue problems. It is necessary to submit transaction contracts and area qualification documents to the opening bank for pre-review in advance, confirm the compliance of the foreign exchange collection and payment path, select an enterprise within the compliant area as the business subject, and ensure that the foreign exchange collection and payment logic meets regulatory requirements.

Entrepot trade involves multiple title transfers of goods, and the title transfer nodes and corresponding area supervision requirements must be clearly specified in the contract. If conducting business in non-compliant areas, the legal effect of title transfer will not be recognized by customs and banks, and it is easy to trigger contractual disputes for tripartite trade.

It is necessary to specify the compliance qualification requirements of the transshipment port in the letter of credit terms, exclude soft clauses, and issue corresponding title transfer guarantees to ensure that the title transfer process is clear and meets the supervision requirements of the corresponding area in Shanghai. If disputes arise, responsibilities can be quickly defined based on documents.

If entrepot trade goods enter Shanghai for transshipment in compliant special supervised zones, general only machine inspection is conducted. The probability of container inspection is much lower than that of non-compliant areas, and the overall inspection rate is over 30% lower than that of non-compliant areas.

It is necessary to ensure that the container seal is authentic and verifiable, and check that the seal number is consistent with the customs declaration information in advance. If an inspection notice is received, it is necessary to sort out a complete set of transaction documents to cooperate with the inspection as soon as possible, and clearly explain the transaction logic of entrepot trade to avoid detention and delay due to unclear information.

If entrepot trade involves subsequent export tax refund operations, only business conducted in compliant areas can meet the inspection requirements of four flows consistency. Business in non-compliant areas will easily trigger tax letter investigations and cannot pass the inspection, leading to failure of tax refunds.

It is necessary to sort out a complete set of documents for filing in advance, ensure that the transaction contract, title of goods documents, foreign exchange collection documents and customs clearance documents are consistent, and the qualification documents of the corresponding business area shall be archived to respond to inspections by tax authorities, avoid rejection of tax refunds due to non-compliant areas, and affect enterprise capital flow.

The area selection of entrepot trade directly affects the overall supply chain cost. Compliant mature areas can provide complete supporting services, reduce the time cost of transshipment operations, and lower the abnormal risk of the overall supply chain.

It is possible to select matching compliant areas according to the transshipment time of goods, title transfer requirements and final destination port, optimize the application of trade terms, adjust the inventory linkage strategy, reduce overall operation costs, avoid unnecessary hidden costs caused by wrong area selection, and ensure the stable operation of the entire supply chain.
