I am a business manager of a foreign trade company focusing on export of electronic products. Recently I received an entrepot trade order from a Singapore customer, who requested settlement via letter of credit.

However, we are not familiar with the L/C operation procedures for Singapore entrepot trade, and worry about dishonor caused by non-conforming documents. We also do not know if local Singapore banks have special requirements for transit goods, such as certificate of origin or re-export certificate.

In addition, we heard about relevant VAT deferral policy but have no idea about the application process. We now urgently need to understand the full operation details from L/C issuance to final foreign exchange collection, hoping to get specific step-by-step guidance and risk warnings.

Singapore entrepot trade L/C processing shall follow the principle of "full-link compliance + node closed-loop". The phased operation guidelines are as follows:

I. Pre-operation Document Verification Details: The core of entrepot trade is "transfer of goods ownership". Three categories of key documents shall be prepared in advance: ① Entrepot Trade Confirmation Letter provided by the Singapore importer, which shall clearly specify the final destination and transit place of the goods,② Certificate of Origin (FORM E or FORM 9),which shall be issued by China Council for the Promotion of International Trade and certified by Singapore Customs,③ Transit port logistics documents (such as the goods receipt issued by Maritime and Port Authority of Singapore). Special note: Local Singapore banks usually require the entrepot trader to provide Re-export Certificate, which shall be filed in advance with the local Ministry of Trade and Industry (SMRT).

II. Core Node Connection: 1. L/C Issuance: It is recommended to select the Singapore branch of a Chinese-funded bank as the advising bank (such as Standard Chartered / DBS),which is familiar with the operation practices of Chinese-funded enterprises,2. Clause Verification: Focus on checking the "transshipment clause" (which shall explicitly allow partial shipment),"third-party document acceptance" (for example, allowing issuance of local Singapore warehouse receipt),and "soft clauses" (fuzzy expressions such as "subject to buyer's confirmation" are prohibited),3. Document Presentation: Complete pre-verification 72 hours in advance, focus on checking the consistency of marks on bill of lading and the description specified in L/C,to avoid dishonor caused by discrepancy of marks between C/O and B/L. It is recommended to adopt "four-document matching" (commercial invoice, bill of lading, certificate of origin, packing list).

III. Abnormal Contingency Plan and Compliance Implementation: In case of document discrepancy, you can apply for "Teletransmission of Discrepancies",and submit the modification application via the advising bank within 24 hours after document presentation. For exchange rate fluctuation,it is recommended to specify in the L/C that "settlement is made at the exchange rate on the date of document presentation" to avoid loss caused by the exchange rate difference between Singapore Dollar and Renminbi. Finally,it is required to ensure the unification of four flows (goods flow, document flow, capital flow, information flow),and retain the full set of documents for at least 5 years for inspection,to cope with compliance checks by Singapore ACRA (Accounting and Corporate Regulatory Authority).

For Singapore entrepot trade L/C, the consistency between Certificate of Origin (FORM E) and Re-export Certificate shall be emphasized. It is recommended to clearly specify in L/C clauses that "third-party documents shall be certified by local Singapore chamber of commerce", to avoid dishonor caused by non-compliant document formats.。

Entrepot trade involves warehousing management of goods in Singapore. It is recommended to confirm the "direct transport free storage period" (usually 3 to 5 days) with local logistics service providers in advance, and specify "the order bill of lading shall be endorsed in blank" when endorsing the bill of lading, to prevent disputes over goods ownership.。

Singapore VAT deferral policy requires the entrepot trader to submit the "VAT Exemption Application" within 30 days after goods arrive at the port.

It shall be ensured that the goods are not processed or value-added within the territory of Singapore. It is recommended to apply for "Duty-Free Import Voucher" simultaneously.。

Stay alert for the soft clause of "customer inspection certificate" (third-party inspection report) in L/C. It is recommended to modify it to "inspection report issued by China Certification & Inspection Group (CCIC)", and specify that inspection standards shall comply with rules of the International Chamber of Commerce (ICC).。

For export tax refund of entrepot trade, the "offshore sales" nature shall be guaranteed. It is recommended to attach Entrepot Trade Filing Form when submitting export tax refund application, and obtain the Export Tax Refund Verification Reply Letter issued by competent tax authority, to avoid being identified as domestic sales and levied domestic taxes.。
