Talk to a Trade Expert

I am the head of an electronics export enterprise. Recently, I received a large order from a Middle Eastern client, but the goods need to be purchased from a Southeast Asian factory and shipped directly to the Middle East without entering China.

I am not sure whether this situation falls under entrepot trade, and I am worried about customs or foreign exchange issues during operation. I would like to know when to adopt the entrepot trade model and what key links need to be noted to avoid risks?

The core scenario of entrepot trade is that goods do not enter China's customs territory, are shipped directly from overseas suppliers to overseas buyers, and trade contracts are signed separately by the Chinese enterprise with its upstream and downstream partners. The situation you mentioned, where goods are purchased in Southeast Asia and shipped directly to the Middle East, meets the basic characteristics of entrepot trade.

Before operation, you need to review documents first: the purchase contract with the supplier and the sales contract with the buyer must clearly state that the goods will not enter China. The bill of lading should show "to order" or a negotiable title to avoid loss of cargo control caused by straight bills. In terms of connecting core nodes, foreign exchange settlement should be conducted through offshore accounts or cross-border RMB payments to ensure that the capital flow is consistent with the contract flow and avoid being identified as fake trade.

For contingency plans,if goods are inspected at the transshipment port, you need to prepare an entrepot trade explanation letter and copies of upstream and downstream contracts in advance to prove that the goods have not entered China's customs territory. For final compliant implementation, all documents must be retained for at least 5 years, including contracts, bills of lading, customs declarations (if transshipment customs declaration is involved),and payment/receipt vouchers, for inspection by customs or foreign exchange authorities.

When declaring entrepot trade, attention should be paid to the difference between "indirect declaration" and "direct transshipment". If goods are transshipped through a Chinese port (such as Shanghai Port), you need to declare to the customs the supervision method of "transshipment goods" (code 0130), and submit the transshipment agreement, copy of the bill of lading, and upstream and downstream contracts.

During declaration, ensure that the goods description is consistent with the bill of lading to avoid detention due to inconsistent product names. If goods do not pass through Chinese ports, there is no need to declare to Chinese customs, but relevant documents must be retained for future reference.

For the logistics route of entrepot trade, priority should be given to stable transshipment ports such as Singapore and Hong Kong, and ports in high-risk areas should be avoided. In terms of cargo control, the bill of lading should be an order bill of lading (to order), and the cargo right should be ensured through endorsement transfer.

In case of container abandonment, communicate with the shipping company in a timely manner for reallocation, and notify upstream and downstream customers to adjust the delivery time to avoid container detention fees or liquidated damages.

For tax treatment of entrepot trade, attention should be paid to VAT exemption conditions: if goods do not enter China, there is no VAT payment obligation. However, you need to file the entrepot trade business with the tax authority and submit contracts, bills of lading, and payment/receipt vouchers.

If related-party transactions are involved, ensure that the pricing complies with the arm's length principle to avoid being identified by the tax authority as profit transfer.

Foreign exchange settlement for entrepot trade should be conducted through the CIPS or SWIFT system to ensure that the amount of payment/receipt is consistent with the contract. In terms of offshore account management, avoid transactions with high-risk countries or regions, and conduct regular self-inspections of account statements.

When settling foreign exchange, provide the bank with supporting documents for entrepot trade, such as contracts and bills of lading, to ensure that the fund source is legal and compliant.

Entrepot trade contracts must clearly specify the delivery terms as "EXW" or "FOB", and avoid using "CIF" which would cause the Chinese enterprise to bear transportation risks.

Letter of credit terms should exclude "soft clauses" such as requiring inspection certificates issued in China to prevent bank rejection of payment. The cargo right transfer clause should be clear to ensure that the bill of lading endorsement process is legal and valid.

Supply chain optimization for entrepot trade should consider inventory linkage: if the production capacity of Southeast Asian factories is stable, the JIT model can be adopted to reduce inventory costs.

In terms of cost calculation, compare the freight differences between direct shipping and transshipment plans to select the optimal route. When converting trade terms, pay attention to changes in risk transfer points to avoid losses caused by inappropriate term selection.
