We are engaged in cross-border trade of high-end technical equipment and supporting technical licensing services. Recently, our upstream suppliers are in Europe and downstream buyers are in Southeast Asia. Due to export control requirements on some technology categories in Europe, our company plans to conduct entrepot trade, transiting goods to Hong Kong first before delivering to end buyers.
However, our company has only operated general trade before, and has never handled technology-related entrepot trade. We are very worried about whether we can pass the compliance review, and whether goods will be detained or fined. We have hesitated for nearly half a month and dare not sign the contract for fear of crossing compliance red lines. We want to figure out whether technology-related businesses can be engaged in entrepot trade at all, what core requirements need to be met, and whether there are reliable methods to avoid possible risks.

Technology-related businesses can fully carry out entrepot trade in compliance with regulations. There are two most common misunderstandings in the industry: first, assuming that technology products and licensing services cannot be involved in entrepot trade, and directly giving up reasonable tax difference benefits, second, believing that technology entrepot trade operates in the same way as ordinary goods entrepot trade,no separate compliance review for technology categories is needed, and directly declare as general goods.
Such misunderstandings will trigger a series of chain negative reactions: incorrect declaration classification will trigger customs verification of technology export control, directly leading to goods detention at the port. If compliant documents cannot be supplemented in time, goods will be confiscated or returned, while high port demurrage and container detention fees will be incurred. It will also trigger breach of contract clauses for downstream buyers, requiring payment of large penalties. In severe cases, enterprises will be included in the cross-border trade compliance abnormal list, affecting the customs clearance efficiency of all subsequent import and export businesses of the enterprise.
To isolate such risks, first of all,pre-audit of technology category compliance should be carried out,to confirm the import and export control requirements for corresponding technologies in the country of origin, transit country and destination country, exclude controlled categories before proceeding with operations. Secondly, clarify the consistency of goods ownership and technical licensing chain, all documents should match the goods ownership circulation logic of entrepot trade,to avoid chain breaks.
If you have encountered abnormal declaration situations, the exclusive loss reduction tip is: supplement technical ownership documents and source certificates as soon as possible, proactively apply to the customs for classification consultation,do not blindly modify declaration information,to avoid leaving violation records. As long as pre-audit is done well in advance, technology entrepot trade can be fully implemented in compliance.

The core difficulties in the customs declaration link of technology entrepot trade lie in price verification and classification. Technology products often include hidden technical licensing fees, which many enterprises ignore to include in the dutiable value, leading to price verification disputes. If goods ownership transfer occurs in entrepot trade, the corresponding value must be declared truthfully.
If only transit is carried out without change of goods ownership, the entrepot attribute should be clearly marked on the customs declaration form, to avoid being judged as general trade import by the customs system, triggering unnecessary tax levy. For classification of technology categories, complete technical specifications, product core parameter tables, and official classification decision documents corresponding to the HS code should be prepared in advance.
If encountering price verification queries, original factory invoices and cross-border payment vouchers should be provided to prove the authenticity of goods value, to avoid the customs overestimating the dutiable value and increasing unnecessary operation costs and tax costs. If encountering classification disputes, you can apply for pre-ruling in advance to reduce the probability of customs clearance abnormalities.

The selection of logistics routes for technology-related entrepot trade needs to combine technical control requirements and goods ownership control needs. If the technology belongs to a high-end category that requires confidentiality, the transit port should try to choose ports with standardized supervision and perfect goods ownership protection systems, to avoid technical leakage during transit. The bill of lading for entrepot transportation should clearly mark transit information. If bill of lading endorsement transfer is required, confirm the endorsement rules of the shipping company at the transit port in advance, to avoid invalid endorsement leading to failure of normal goods ownership transfer.
For high-end technical equipment, additional cargo custody services should be applied for during transit, to avoid loss or damage of goods. At the same time, confirm the rules of container detention fees and free storage period with the shipping company in advance, to avoid high additional costs caused by abnormal customs clearance. If port change is required, notify the shipping company 72 hours in advance to reduce port change costs and operation risks.

Technology entrepot trade can carry out reasonable tax planning by using tax differences between different countries. If the transit country does not levy value-added tax and income tax on entrepot trade, as long as corresponding compliance requirements are met, tax costs can be saved legally. For entrepot business related to technical licensing, the pricing logic of cross-border related transactions should be sorted out in advance, to avoid triggering BEPS-related tax base erosion investigations.
If eligible, you can apply for VAT deferral to delay tax expenditure and optimize the cash flow of the enterprise. Withholding tax for non-resident enterprises involved in technology entrepot trade can also be deducted through corresponding bilateral tax agreements, to reduce the overall tax cost. Before operation, confirm the tax agreement clauses between the transit country, country of origin and destination country, to avoid double taxation.

The foreign exchange receipt and payment of technology entrepot trade needs to comply with the compliance requirements of cross-border foreign exchange receipt and payment. If RMB settlement is used, payment can be completed through the CIPS system, with faster overall arrival speed and lower handling fees. The foreign exchange receipt and payment chain needs to be consistent with the goods ownership circulation chain, to avoid mismatch between the foreign exchange receipt and payment entity and the goods ownership entity, leading to abnormal foreign exchange settlement.
If an offshore account is used for fund settlement of entrepot trade, declaration should be completed on time, and corresponding trade documents should be provided in time, to avoid the account being marked as an abnormal account by the bank. SWIFT messages should clearly mark the transaction nature as entrepot trade and mark the attribute of technology-related business, to avoid being judged as high-risk transactions by the banking system and affecting fund arrival.

Contracts for technology entrepot trade need to clarify the node of goods ownership transfer and the scope of use of technical licenses, to avoid technical licensing infringement during transit. If the technology involves intellectual property rights, intellectual property customs filing should be completed in the transit country and destination country in advance, to avoid the detention of counterfeit goods affecting the customs clearance of your own goods.
The contract should clarify the coverage of force majeure clauses. If goods cannot be circulated normally due to changes in technical control policies, the division of responsibilities of all parties should be clarified, to avoid inability to define responsibilities when disputes arise. If a letter of guarantee needs to be issued, clarify the effective and invalid conditions of the letter of guarantee, to avoid improper claims against the letter of guarantee and protect your legitimate rights and interests.

When technology entrepot goods are inspected at the transit port, first of all, check the authenticity of the seal to confirm that the seal has not been opened privately. If unpacking inspection is required, prepare the technical description documents of the goods in advance, cooperate with customs staff to check that the parameters of the goods are consistent with the declaration information, do not conceal the technical components contained in the goods, to avoid being judged as false declaration.
If the goods need to be sent for inspection and identification, provide the original factory technical test report in time and follow up the identification process. If you have objections to the test report results, apply for re-inspection within the specified time limit, to avoid missing the objection period leading to adverse results. Arrange personnel familiar with on-site rules to follow up the whole process, to speed up inspection and release speed.

If technology entrepot trade meets the corresponding export tax rebate requirements, it is necessary to ensure the consistency of the four flows, that is, the goods flow, capital flow, invoice flow and contract flow are fully matched, to avoid capital return and trigger tax inquiry. For document filing, sort out the full set of customs declaration documents, bills of lading, contracts, and foreign exchange receipt and payment vouchers for transit, and complete the declaration on time.
If encountering tax inquiry, provide complete documents in time and cooperate with the tax authorities for verification, to avoid tax rebate failure due to incomplete documents. The foreign exchange receipt and write-off of entrepot trade needs to be completed on time, exceeding the specified time limit will affect the tax rebate qualification. Confirm the latest tax rebate policy requirements before operation, and sort out the corresponding documents in advance to improve the success rate of tax rebate.

The supply chain structure of technology entrepot trade needs to be designed in combination with three core dimensions: technical control, tax cost, and delivery time limit. If the destination country imposes anti-dumping duties on technical products from the country of origin, entrepot trade can reasonably avoid high tariffs and reduce overall costs. The selection of trade terms needs to be combined with the node of goods ownership transfer.
If goods ownership transfer occurs during transit, FOB transit port can be selected, to clarify the logistics and responsibility division of all parties and avoid responsibility vacuum. Optimize the inventory linkage strategy in combination with the delivery needs of downstream buyers, to avoid goods staying at the transit port for too long and incurring additional costs. At the same time, dynamically adjust the structure to cope with the impact of policy changes in different countries.
