I am the foreign trade manager of an export enterprise of electronic components based in Shenzhen. Recently, the European Union has imposed high additional anti-dumping duties on products of our category, which directly halved our order volume. To retain our market share, I plan to carry out transit trade through Southeast Asian countries. I heard that a "transit trade certificate of origin" is required to prove that the goods are not originated in China.

However, I am very vague about this concept, and do not know the difference between it and the ordinary certificate of origin. I am more worried that improper operation will be determined by customs as tariff evasion and lead to strict inspection. I would like to ask what exactly is a transit trade certificate of origin? In actual operation, how can I ensure the validity of the certificate so as to legally and compliantly reduce tariff costs?

A transit trade certificate of origin is not a simple disguise tool, whose core function is to prove that the goods have undergone substantial transformation in the third country. Many enterprises mistakenly believe that goods can automatically obtain local origin qualification as long as they are transshipped in Southeast Asia, which is an extremely dangerous misunderstanding. If the goods are only container-swapped in the bonded area without any processing and value-added,once discovered by the destination country customs through big data traceability or anti-dumping investigation,it will be directly identified as origin fraud.

The consequences of such non-compliant operations are catastrophic. The goods will not only be forcibly detained by the destination port customs, facing supplementary payment of high anti-dumping duties and tariffs, but also may be fined several times the value of the goods, leading to the enterprise being blacklisted in global trade. Under the regulatory environment in 2026,the penetrating review of supply chains by European and American customs has become normalized, and any attempt to evade tariffs through false trade documents will easily trigger an alert.

Physical risk isolation is the only compliance path. Enterprises must carry out substantial processing or assembly procedures in the transit location, such as changing product packaging,re-spraying codes or simple assembly of parts, and ensure that the value-added ratio meets the local origin criteria. At the same time, complete third-country purchase invoices, processing records and logistics documents must be retained to build a complete evidence chain.

To ensure absolute safety,it is recommended that a professional institution conduct a compliance pre-judgment on the "substantial transformation" criterion before applying for the certificate of origin. Never trust the "one-day tour" mode promised by some freight forwarders, and ensure that the three consistency requirements of transit trade (certificate of origin, bill of lading, invoice) form a closed loop both logically and physically, which is the long-term effective strategy to cope with harsh trade barriers.

During the declaration process, customs adopts a stricter price examination and verification logic for goods involving third-country certificates of origin. The country (region) of origin code on the customs declaration form must be completely consistent with the provided certificate of origin, and the declared price must conform to the normal price level of that country of origin.

If the system monitors that the declared price is significantly lower than the average export price of the country of origin, or the exporter is a high-risk entity, a price query mechanism will be triggered immediately. At this time, the enterprise needs to provide the value-added certificate, processing contract and cost details of the transit location to prove the rationality of the price composition, and avoid customs clearance delays caused by price verification disputes.

In terms of logistics route design, transit trade requires that the bill of lading must show the real transit route, and there should be no logical flaw that "the goods are shipped directly from China to the destination port" but hold a "third-country certificate of origin". In 2026, shipping companies have fully promoted electronic bills of lading, leading to extremely high transparency of logistics trajectories.

It is recommended to select a logistics solution with full-process visualization capability, to ensure that the transit operations of goods in the third country (such as devanning, re-packing, and cargo reinforcement) have corresponding terminal operation records. If the logistics trajectory shows that the goods do not stay in the third country or the staying time is not long enough to complete the processing, the certificate of origin will be directly invalidated.

At the tax structure level, transit trade involves multiple tax jurisdictions. According to the global minimum tax rule under the BEPS 2.0 framework, the shell company set up by the enterprise in the third country, if it is only used to issue certificates of origin without substantive business activities, will easily be identified as lacking economic substance, and face the risk that the local tax authority will deny its pre-tax deduction qualification.

It is necessary to ensure that there are sufficient assets, personnel and risk bearers in the transit location. At the same time, the withholding tax issue in the cross-border payment link needs to be handled prudently, and bilateral tax treaties should be used for optimization to avoid tax audits caused by abnormal capital return routes.

Compliance of receipt and payment of foreign exchange is the lifeline of transit trade. The information in Field 54 (remitter) and Field 59 (beneficiary) of the SWIFT message must strictly correspond to the signing entities of the transit trade contract and invoice.

If the funds are paid directly from China to the overseas final buyer, or paid by the domestic buyer to the overseas seller, while the intermediate transit location company is not involved in the capital flow, it will be identified as false trade. It is recommended to open an offshore account in the transit location or use an NRA account to ensure that the funds flow through the transit location, realizing the "three flows in one" of document flow, goods flow and capital flow.

At the legal level, focus on the anti-circumvention clauses in the trade remedy measures of the destination country. If the final buyer is claimed for supplementary tariffs due to problems with the certificate of origin after customs clearance, the seller shall bear the liability for breach of contract in accordance with international commercial practices.

Therefore, a "origin compliance guarantee clause" must be clearly stipulated in the sales contract, and a tariff compensation sharing mechanism caused by the invalidation of the certificate of origin shall be set up. At the same time, filing at the intellectual property office of the destination country in advance is recommended to prevent unexpected patent or trademark infringement litigation caused by OEM or packaging changes in transit operations.

During on-site inspection, customs inspectors will focus on checking whether the "Made in XXX" mark on the goods packaging is consistent with the country of origin stated on the certificate of origin. In 2026, AI image recognition technology has been widely applied to the machine inspection process, which can accurately identify tiny flaws on the outer packaging of goods inside the container.

If it is found that the inner packaging of the goods still retains the original labels, instructions of Chinese manufacturers or parts with Chinese information, even if the outer packaging has been replaced, it will be judged as untruthful origin declaration. It is necessary to carry out thorough de-identification treatment at the transit location, and retain the operation records of packaging replacement.

For the packaging of transit goods, strict neutral packaging standards or third-country origin marking standards must be implemented. For dangerous goods in the transit process, special attention should also be paid to the applicability of UN packaging codes.

If re-packaging is carried out in the third country, a dangerous goods packaging certificate that meets the requirements of the IMDG Code must be re-issued. In addition, considering the updates of countries' environmental protection packaging regulations in 2026, the packaging materials (such as pallets and fillers) at the transit location must meet the destination country's ISPM 15 fumigation standards or environmental degradation requirements, to avoid the return of the entire batch of goods caused by non-compliant packaging.

In terms of export tax rebate management, transit trade usually falls into the category of no tax rebate or tax exemption. If an enterprise misreports transit trade as general trade export and applies for tax rebate, it will constitute the risk of tax fraud. Tax verification letters will focus on checking whether the final destination of the goods is a third country instead of being directly shipped to the destination country.

Enterprises need to accurately fill in the transportation method on the customs declaration form (such as "transit" or "from bonded area to overseas"), and properly keep documents such as outbound manifests from the bonded area and entry certificates of the transit country, to cope with the four flows consistency verification by tax authorities, and eliminate tax rebate recovery or administrative penalties caused by logical errors in documents.
