I am the owner of a small foreign trade enterprise engaged in Southeast Asian cross-border bulk cargo transit. Recently, I received an order: goods are shipped from South Korea to Vietnam, need to stay and transship at Shanghai Port, do not enter the domestic market, only change ships for further shipment.

I have always done direct shipping business before and rarely handled transshipment. I heard from peers that this situation should be declared either as transit trade or entrepot trade. Now I am confused whether transit trade is the same as entrepot trade.

If I declare it wrong, will I be inspected by customs, will there be extra fees, or even cargo detention that delays the sailing schedule? I just want to figure out whether the two are the same, how to distinguish them, and what type of declaration is compliant for my case.

The most common misunderstanding in the industry is directly equating transit trade with entrepot trade. More than 60% of small and medium-sized foreign trade enterprises will step into this trap when operating transit business for the first time. Their core attributes are completely different: transit trade means goods only transship at the domestic port,do not enter the domestic consumer market, and cargo ownership does not transfer throughout the process, entrepot trade means cargo ownership is sold to a third-country middleman, goods can be transshipped or shipped directly, and the core is that cargo ownership transfers twice.

Incorrect classification will trigger a series of chain negative reactions: if transit trade is declared as entrepot trade,it will trigger foreign exchange supervision requirements for verification of foreign exchange receipt and payment, generate unnecessary additional tax declaration obligations, and lead to wrong customs statistical classification. In mild cases,it requires deletion and re-declaration,resulting in port detention fees and manifest amendment fees,in severe cases,it directly leads to cargo detention and inspection, delays the sailing schedule and causes customer claims, and even leaves abnormal compliance records that affect subsequent customs clearance.

The core means of risk isolation is to first clarify two judgment criteria: first, whether cargo ownership transfers in the transit country, second, whether goods enter the circulation market of the transit country. Only when both conditions are met is it entrepot trade,if only ships are changed without ownership transfer,it is transit trade.

For your business of transshipment from South Korea through Shanghai to Vietnam, the correct declaration method is to declare to customs as transit trade. Prepare a full set of bills of lading, trade contracts, and destination country customs clearance documents in advance, declare the transit plan to the shipping company in advance, and reserve sufficient time for amendment review. If you have already declared it wrong, apply for deletion and re-declaration as soon as possible before the goods arrive at the port to avoid additional late fees and abnormal compliance records.

According to the updated "Import and Export Goods Declaration Management Regulations" by the General Administration of Customs in 2025, the declaration requirements for transit trade goods are completely different from those for entrepot trade. The entry and exit declarations of transit goods need to be bound to the same transit manifest.

When declaring, there is no need to provide a trade transaction contract, only the original bill of lading and transit notice are required. Incorrectly declaring transit as entrepot will trigger price verification in the valuation link, because entrepot trade needs to declare the total transaction price, while transit goods have no domestic transactions and cannot provide corresponding transaction materials, which will lead to valuation hold.

It takes at least 10-15 working days to unlock after submitting a large number of explanatory materials, seriously affecting transit efficiency. If a declaration error has occurred, carry the original transport documents and cargo ownership certificates to the customs site for deletion and re-declaration as soon as possible. The earlier you handle it, the lower the additional costs incurred.

From the logistics operation perspective, the transit operation requirements for transit trade and the ownership operation requirements for entrepot trade are completely different. Transit goods only need to complete container and ship change operations, and there is no need to modify the B/L consignee. However, entrepot trade generally requires B/L endorsement transfer and changing consignee information.

If transit is operated as entrepot by mistake, it will lead to wrong B/L information, making normal clearance at the destination port impossible, and also generating additional container detention fees and amendment fees. The current free storage period for transit goods at Shanghai Port is 7 days, which is 3 days less than that for entrepot goods.

If the type is declared wrong, you cannot enjoy the corresponding free storage period. After the expiration, the daily port detention fee is about 150-300 yuan per TEU, which adds up to a considerable extra expense. In terms of operation, transit goods need to lock the transit space with the shipping company in advance, clearly mark the words "transit transshipment" to avoid wrong storage.

The tax treatment of the two trade modes is completely different. Transit trade does not require paying VAT and customs duties in China, because the goods do not enter the domestic circulation market and do not involve income tax declaration. However, entrepot trade needs to declare corporate income tax based on the goods transaction income, and pre-withholding tax is required for overseas remittance.

If transit trade is declared as entrepot trade by mistake, it will lead to over-reported sales revenue, generate unnecessary additional tax costs, and trigger abnormal input-output comparison by the tax authority, leading to tax inspection. If an incorrect declaration is made, it is necessary to correct the declaration within the quarterly tax declaration period, adjust the taxable income, and submit the proof materials of goods transit to the tax authority to apply for a refund of overpaid taxes, so as to avoid leaving abnormal tax records.

The foreign exchange compliance requirements for the two types of trade are completely different. Entrepot trade requires ownership certificates corresponding to foreign exchange receipt and payment, and requires the fund flow to match the ownership flow.

However, transit trade does not involve ownership transfer, does not require domestic foreign exchange receipt and payment, and only needs to provide the remittance certificate for transit fees. Incorrectly declaring transit as entrepot will lead to a mismatch in the fund-goods ratio in the foreign exchange monitoring system, triggering compliance inspection by the State Administration of Foreign Exchange (SAFE), which requires providing corresponding transaction proof materials.

If they cannot be provided, it will affect the enterprise's foreign exchange classification level, and in severe cases, restrict the enterprise's cross-border foreign exchange receipt and payment authority. Currently, the Cross-border Interbank Payment System (CIPS) uses different declaration codes for the two types of trade. Choosing the wrong code will lead to message rejection and prolong the fund arrival time, affecting turnover efficiency.

The clause agreements in trade contracts will change according to different trade types. If the two types of trade are confused, it will lead to unclear contract clause agreements and trigger ownership disputes. The contract for transit trade is generally signed directly by the original buyer and seller, and the middleman only charges transit fees and does not bear ownership risks.

However, in entrepot trade, the middleman needs to hold the ownership and bear the risk of cargo damage or shortage. If transit is mistakenly written as entrepot in the contract, the middleman may be required to bear ownership responsibilities that do not originally belong to him. Once the goods are lost during transit, both the original buyer and seller will claim compensation from the middleman. It is necessary to clearly mark the trade type in the contract, clarify the node and location of ownership transfer, and avoid unnecessary legal disputes.

The inspection requirements for transit goods and entrepot trade goods are different. Transit goods generally only undergo machine inspection and are rarely subject to physical inspection. However, entrepot trade goods have a 30% higher inspection probability than transit goods because they involve ownership transfer.

If the type is incorrectly classified, goods that do not need physical inspection will be arranged for physical inspection, generating inspection fees and delaying the transit sailing schedule. During on-site inspection, if the type is incorrectly classified, take the initiative to provide a full set of transit transport proof materials to the customs officer, explain that the goods only transship and do not enter the domestic market, apply for simplified inspection procedures for transit goods, cooperate with the officer to check the seal information and manifest information, shorten the inspection time, and try to catch the previous transit ship to avoid port detention.

Enterprises that layout cross-border transit networks for the long term need to choose the correct trade type according to their own business model to optimize the overall supply chain cost. If the enterprise only provides ship change services at the transit port, choosing the transit trade mode can shorten the clearance time, reduce compliance costs, and improve transit efficiency; if the enterprise is engaged in third-party ownership trading and earns the price difference, then choose the entrepot trade mode.

Misusing the trade type will lead to reduced efficiency at supply chain nodes, increased costs, and affect the compliance of the entire transit network. It is necessary to classify the trade type in advance according to the ownership agreement and transit requirements of each batch of goods, optimize the operation process of supply chain nodes, and match the corresponding supervision requirements.
