I am the person in charge of a foreign trade company exporting small home appliances to Southeast Asia. We have been engaged in direct export all along, and recently some European customers mentioned that they want to avoid tariffs through third-country entrepot trade.

I have never been exposed to entrepot trade before and am completely confused now. I want to know what specific operation modes entrepot trade has? What are the corresponding compliance requirements, costs and risks of different modes?

Also, are there any new restrictions on entrepot trade under the current customs policies in 2026? Our company is not large in scale and we are afraid of falling into pitfalls, so we want to clarify all possible types first before deciding whether to try it.

The mainstream modes of entrepot trade are divided into three categories: indirect entrepot, transit entrepot and offshore entrepot, with obvious differences in operation logic and compliance requirements between different modes. Indirect entrepot refers to that goods are cleared by the customs of a third country before being shipped to the destination country, which requires the provision of third-country storage certificates and secondary customs declaration documents, and is the most commonly used mode at present.

Transit entrepot means that goods do not go through customs clearance in the third country, only the bill of lading and container are replaced at the port, and no local customs declaration in the third country is involved throughout the process. It is suitable for orders with high timeliness requirements, but the ownership of goods at the transit port must be strictly controlled.

Offshore entrepot refers to completing the transaction closed loop through an offshore company, where goods are directly transported from the exporting country to the destination country, and trade contracts are only signed through the offshore company without actually passing through a third country. It is suitable for avoiding trade barriers but needs to meet the compliance requirements of foreign exchange settlement.

The core customs review points for entrepot trade in 2026 focus on goods ownership proof, authenticity of transit documents and commercial rationality of transactions. It is necessary to prepare materials such as third-country storage agreements and bill of lading endorsement records in advance to avoid customs detention caused by inconsistent documents.

The cost differences between different modes are mainly reflected in transit port miscellaneous fees,third-country customs declaration fees and tax costs. Indirect entrepot has the highest cost but the strongest compliance, while offshore entrepot has the lowest cost but stricter compliance requirements. Enterprises need to select the suitable mode according to their own order demands.

The core of customs review for entrepot trade lies in the logical closed loop of documents. After the integration of national customs clearance in 2026, the customs data of the transit port will be directly synchronized to the customs of the exporting country and the destination country, and any document inconsistency will trigger two-way verification. Indirect entrepot requires the provision of the third country's import declaration form and secondary export declaration form, and the goods name, quantity and gross weight on the two documents must be completely matched, otherwise the price review process will be triggered, and even be identified as false entrepot trade.

If there is document pending processing at the transit port, supplementary materials such as goods ownership certificate and storage agreement shall be submitted within 7 working days, otherwise the customs clearance efficiency of subsequent goods will be affected. In addition, some EU countries have new requirements for the certificate of origin for entrepot trade in 2026, so it is necessary to confirm in advance whether the third country recognizes the certificate of origin issued by a third party to avoid goods being detained due to non-compliant documents.

The logistics route selection of entrepot trade directly affects cost and timeliness. In 2026, the free storage period of major global transit ports is generally adjusted to 7-10 days, and enterprises need to select appropriate transit ports according to the distance between the goods and the destination country. For example, for entrepot trade from Southeast Asia to Europe, the timeliness of transiting through Singapore Port is 2-3 days faster than that of Dubai Port, but the miscellaneous fees are higher.

Goods ownership control is the core of entrepot trade. Under the transit entrepot mode, the freight forwarder shall be required to change the shipper of the original bill of lading to the third-country intermediary when replacing the bill of lading, and then the intermediary endorses and transfers it to the destination country customer.

The transfer of goods ownership shall be confirmed through SWIFT messages throughout the process to avoid the risk of loss of goods ownership. In addition, some transit ports have launched dedicated yards for entrepot goods in 2026, which can extend the free storage period to 14 days, suitable for entrepot operation of bulk goods. Enterprises can connect with freight forwarders in advance to lock in dedicated yard resources and reduce the cost of container detention fees.

The tax planning of entrepot trade should focus on the latest requirements of BEPS rules. In 2026, OECD launched new cross-border transaction pricing guidelines, requiring that intermediaries engaged in entrepot trade must have substantive business activities, otherwise they will be identified as related party transactions and trigger withholding tax risks. Under the indirect entrepot mode, the third-country intermediary shall provide supporting documents for services such as storage and customs declaration to prove the authenticity of its business, so as to enjoy the local preferential tax policies.

In addition, China has new regulations on foreign exchange settlement for entrepot trade in 2026, which requires cross-border receipt and payment of foreign exchange to be completed through the CIPS system, and each transaction needs to provide a full set of documents such as trade contracts, bills of lading, and storage certificates to avoid exchange difference losses. Enterprises can reasonably allocate profits to low-tax countries by building a three-tier trade structure, while avoiding being identified as base erosion by tax authorities.

The compliance of foreign exchange receipt and payment for entrepot trade is a link that enterprises easily ignore. In 2026, the State Administration of Foreign Exchange of China has strengthened the verification of the matching between capital flow and goods flow of entrepot trade, requiring that the amount of each foreign exchange receipt and payment must be completely consistent with the corresponding trade documents. If the offshore entrepot mode is adopted, attention should be paid to the capital repatriation problem of offshore accounts to avoid abnormal capital chain being supervised.

In addition, after the upgrade of the SWIFT system in 2026, all messages of entrepot trade will be automatically marked, so enterprises need to ensure that the content of the messages is consistent with the actual transaction, including information such as the port of shipment, port of destination, and transit port of the goods. If there is a discrepancy in foreign exchange receipt and payment, a situation explanation shall be submitted within 3 working days, otherwise the foreign exchange settlement authority will be suspended.

The contract terms of entrepot trade shall clearly define the division of responsibilities in the transit link to avoid goods ownership disputes. For example, under the indirect entrepot mode, the goods ownership storage responsibility of the third-country intermediary and the bearing party of the port detention fee at the transit port shall be agreed in the contract.

In addition, some countries require bank guarantees (LOI) as goods ownership guarantee for entrepot trade in 2026, so enterprises need to connect with banks in advance to issue guarantees in line with international practices to avoid transaction failure due to non-compliant guarantees. In view of the soft clauses of letters of credit, the document requirements of the transit link shall be clearly specified in the contract to avoid the situation that the letter of credit cannot be honored. At the same time, the whole process of communication records and document backups shall be kept for use in case of subsequent legal disputes.

The on-site inspection of entrepot trade is mainly concentrated in the transit port and the customs of the destination country. In 2026, the accuracy of customs machine inspection has increased to more than 95%, so enterprises need to pre-inspect the goods in advance to ensure that the packaging and identification of the goods are consistent with the documents. If there is a problem with the authenticity identification of the seal, the freight forwarder shall be required to provide the seal identification report of the transit port to prove that the seal has not been replaced.

In addition, the inspection notice of some transit ports will clearly require devanning inspection, so enterprises need to prepare the manpower and material resources for devanning in advance to avoid container detention fees. If there is a problem with the test report, a re-inspection application shall be submitted within 5 working days, and the certificate of origin of the goods and the quality inspection report of the manufacturer shall be provided at the same time to assist the customs in completing the verification.
