I am engaged in cross-border small home appliance wholesale in Southeast Asia. Recently, I have a batch of goods shipped from a Vietnamese factory to Kazakhstan, which will be transshipped via China's Yunnan Port. I am new to this transit transshipment business, and have been engaged in regular entrepot trade before. I heard from peers that someone was investigated by customs for declaring transit trade as entrepot trade, not only had the goods detained but also was fined. Now I am not sure whether transit trade belongs to entrepot trade.

If I declare incorrectly, my batch of goods will miss the shipping schedule specified by the customer, and I will have to pay a large amount of liquidated damages. There are only three days left before the declaration deadline, and I am in a hurry to book space and confirm the declaration information. I want to figure out the core differences between the two, how to distinguish them during declaration to avoid compliance errors, and whether it will affect subsequent foreign exchange settlement operations.

The most common misconception in the industry is to classify transit trade as a subcategory of entrepot trade, but in fact the two have essential differences: in transit trade, the title of goods never transfers, and the goods only pass through the territory of a third country to complete transportation, while in entrepot trade, the third-country trader needs to obtain the title of goods and then resell it to the end buyer, and the goods will enter the distribution chain of the third country.

If transit trade is misdeclared as entrepot trade,it will trigger a series of chain negative reactions: First,it will trigger customs compliance verification, which directly leads to port detention of goods, resulting in additional detention fees and storage fees, with the maximum daily cost reaching thousands of yuan,in severe cases, the goods will be directly detained, missing the scheduled transportation plan, requiring payment of liquidated damages to customers, and leaving a violation record in the enterprise's customs clearance credit file, affecting the customs clearance efficiency of all subsequent ports, and even triggering secondary verification by foreign exchange regulators, affecting normal foreign exchange settlement.

The most effective risk isolation measure is to complete the judgment before declaration. There are only two core judgment criteria: first, whether the title of goods is transferred in the third country, and second, whether the goods enter the distribution field of the third country. Only when both conditions are met at the same time does it belong to entrepot trade, and goods only passing through for transportation are classified as transit trade.

If misdeclaration has been completed, the exclusive loss reduction tip is: take the initiative to contact the port as soon as possible to apply for deleting the original declaration and resubmitting, prepare a full set of documents such as transportation contract, proof of goods title, bill of lading in advance, and take the initiative to cooperate with the verification, which can reduce the penalty risk by more than 90% and will not affect the enterprise's subsequent customs clearance qualification.

The supervision codes of the two trade modes issued by customs are completely different. Transit trade uses the supervision code corresponding to transit goods, and the required documents include transit goods declaration form, through bill of lading, goods invoice, and export declaration documents of the original exporting country, and no associated declaration for import and export foreign exchange settlement is required; the supervision code of entrepot trade corresponds to entrepot goods, and requires sales contract, proof of title transfer, and foreign exchange payment and receipt vouchers. If the code is declared incorrectly, the system will directly trigger an early warning, and the customs valuation link will directly detain the documents and require correction.

If the correction is not made in time, it will be converted to manual verification, extending the customs clearance time by at least 3 to 7 working days. In recent years, border ports such as Yunnan and Guangxi have increased the verification intensity of misdeclaration, mainly to prevent smuggling of valuable goods under the name of transit. Therefore, it is necessary to fill in the corresponding supervision code strictly in accordance with the judgment results, and do not arbitrarily apply the entrepot trade code to save procedures.

The logistics operation paths and cost structures of the two trade modes are completely different. Goods in transit trade generally do not enter the bonded warehouse or public yard of the third country, but only transship directly, so you can apply to the port for free storage and free detention policy for transit goods, which can save nearly 70% of detention and storage costs; if misdeclared as entrepot trade, you cannot enjoy this policy, and need to pay storage and detention fees according to ordinary entrepot goods, resulting in a significant increase in costs.

In addition, the customs transit process for transit goods is simpler, no bill of lading endorsement for title transfer is required, and transshipment can be completed only by providing original transportation documents; entrepot trade requires bill of lading endorsement to transfer the title of goods, with more complicated operation procedures. If the goods are transited via multimodal transport, misdeclaration as entrepot trade will also disrupt the original transshipment plan, leading to container rolling and port rerouting, resulting in additional port rerouting fees and space price differences.

The tax treatments of the two trade modes are completely different. Transit trade is not within the scope of VAT taxable in China, no import VAT and customs duty are required, and it does not involve export tax rebate; if misdeclared as entrepot trade, you will be required to complete tax filing according to entrepot trade, and even required to pay VAT deposit, increasing capital occupation costs.

For entrepot trade stored in bonded warehouses, you can apply for VAT deferment and reasonably use tax differences to reduce costs; if transit goods are misdeclared as entrepot goods, you not only cannot enjoy the corresponding tax incentives, but also will trigger follow-up verification by tax authorities, requiring adjustment of tax declaration and correction of relevant materials, affecting the enterprise's tax credit rating. For enterprises with frequent transit business, accurate distinction between the two modes can avoid unnecessary tax cost occupation and optimize cross-border tax structure.

The foreign exchange payment and receipt requirements of the two trade modes are completely different. Transit trade does not require domestic foreign exchange payment and receipt behavior, only the third-party transportation company charges freight, and no compliance declaration for foreign exchange payment and receipt is required; entrepot trade requires domestic traders to complete foreign exchange payment and receipt, which needs to correspond to the title transfer voucher, and is included in the cross-border foreign exchange payment and receipt verification scope of the State Administration of Foreign Exchange.

If transit trade is misdeclared as entrepot trade, it will lead to mismatch between foreign exchange payment and receipt data and trade data, resulting in outstanding accounts that cannot be verified and cancelled, affecting the enterprise's foreign exchange classification rating. After the classification rating drops, it will affect the handling efficiency of all subsequent cross-border foreign exchange payment and receipt businesses, and even be judged as abnormal transactions, freezing part of the permissions of offshore accounts. Accurate declaration can ensure smooth foreign exchange payment and receipt processes and avoid compliance warnings.

The title ownership and risk allocation of the two trade modes are completely different. In transit trade, the title of goods always belongs to the seller, the risks during transportation are divided according to the transportation contract, and the third-country transshipment party is only responsible for transportation and does not bear title risks; in entrepot trade, after the entrepot trader obtains the title of goods, it needs to bear the risks of goods transportation and delivery, and the risk allocation clauses in the trade contract are also completely different.

If the definition of the two trade modes is blurred in the contract, it is easy to trigger title disputes. In case of cargo damage, the insurance company will refuse to pay compensation due to wrong identification of trade nature, and the cargo owner will eventually have to bear the loss on its own. When signing a trade contract, it is necessary to clearly indicate whether the trade nature is transit or entrepot, clarify the node of title transfer and risk allocation rules, to avoid subsequent legal disputes.

The impacts of the two trade modes on supply chain cost and efficiency are completely different. Transit trade has shorter procedures and fewer regulatory requirements, with the overall transshipment time 3 to 5 days less than that of entrepot trade, and the cost 15% to 20% lower, which is suitable for cross-continental multimodal transport goods; entrepot trade can use the tax difference and exchange rate difference of third countries to reasonably optimize profits, which is suitable for goods that need to split title and avoid trade barriers.

When making supply chain planning, it is necessary to select the corresponding mode according to the final destination of the goods, title arrangement and trade purpose. If the mode is selected incorrectly, it will lead to increased supply chain cost and reduced efficiency, and even fail to achieve the original trade target. For Eurasian transshipment goods passing through China, priority should be given to the transit trade mode, which can maximize transshipment efficiency and reduce comprehensive operating costs.
