I am a small and medium-sized foreign trader specializing in transshipment of Southeast Asian agricultural products. Recently, I have been handling a batch of palm oil imported from Malaysia, which is planned to be transshipped to the EU market via Hong Kong. However, the finance department raised a question: does this "overseas transshipment + delivery to a third country" model fall under direct trade?
If it is identified as direct trade, it will affect our export tax refund and foreign exchange settlement procedures, resulting in capital stagnation. I would like experts to explain in detail the essential differences between transshipment trade and direct trade, as well as how to ensure compliance under the 2026 policy framework and avoid the risk of misjudgment.

The core difference between transshipment trade and direct trade lies in the dual determination of the "chain of transfer of goods ownership" and "substance of the transaction" by customs. Many enterprises have a misunderstanding: they believe that as long as goods are not directly shipped from Country A to Country C,it is transshipment trade. This is a cognitive bias explicitly prohibited in the "Special Inspection on Transshipment Trade" newly launched by the General Administration of Customs in 2026.
Common Misunderstandings and Chain Risks: If goods undergo substantial processing or value-added storage in the transshipment country (such as Hong Kong),or the bill of lading shows the "transshipper" as an intermediate party, customs may still determine it as direct trade on the grounds that "the ownership of goods has not been fully transferred to the buyer in the third country". For example,a furniture company once failed to retain the original import declaration form at the transshipment port, resulting in the goods being identified as "directly shipped from Vietnam to the EU". It not only had to pay a 15% tariff retroactively but also was included in the key inspection list by customs for "false declaration of trade nature",causing the goods to be stranded at the port for 3 months and generating over 2 million yuan in detention fees.
Physical Risk Isolation Measures: It is recommended to adopt the "three-document binding" strategy: ① The offshore company in the transshipment country issues a Confirmation Letter of Transfer of Goods Ownership, clearly stating that the ownership of the goods has been transferred from our company to the Hong Kong company during the transshipment process,② The Hong Kong warehouse must retain the original import declaration form (Malaysia → Hong Kong),export invoice (Hong Kong → EU) and logistics track (the ocean bill of lading must show the "transshipment port" instead of the "port of loading"),③ Sign an Offshore Company Agency Agreement with EU buyers, specifying that "the goods are only transshipped via Hong Kong and do not involve processing in a third country".
Loss Mitigation Tips: If transshipment has been completed but misjudgment occurs, you can submit the Tax Exemption Certificate for Transshipment Trade issued by Hong Kong Customs (which requires the special document of "transshipment cargo value accounting for over 30%" newly added after January 2026),together with cross-border payment records from the CIPS system,to apply to the tax authority for "correction of trade nature".

Chief Customs Declaration Expert: Announcement No. 3 of the Customs in 2026 clearly states that transshipment trade must meet the requirement that "transshipped goods do not generate substantial value-added in the third country". If palm oil is repackaged or refined in Hong Kong, it will be determined as direct trade even if it is not transported directly. It is recommended to mark "Transshipment Trade" in the "Trade Mode" column of the customs declaration form and attach the Non-bonded Storage Certificate from the Hong Kong warehouse.。

Senior Logistics Expert: When choosing a transshipment port, avoid ports on the EU's "anti-tax avoidance blacklist" (such as Rotterdam and Hamburg), and prioritize transshipment locations with "low tax rates + high transparency" like Hong Kong and Singapore. Use "order bills of lading" endorsed by the Hong Kong company to ensure that the ownership of goods is transferred to the final buyer via endorsement, avoiding direct trade identification caused by "straight bills of lading".。

Senior Tax Consultant: Direct trade requires full payment of value-added tax (VAT) at the tax rate of the importing country (the EU average is 19%), while transshipment trade is subject to the "VAT Deferral" policy (new regulation in 2026). It is recommended to set up an offshore company in Hong Kong and adopt the "import first, then transship" model to delay the VAT payment deadline until the goods finally leave the territory.。

Trade Compliance Expert: Foreign exchange settlement must match the "consistency of four flows", namely logistics (transshipment bill of lading), capital flow (income and expenditure of offshore accounts), document flow (transshipment agreement), and information flow (customs data of the transshipment country). If using SWIFT for settlement, indicate "Payment on behalf of transshipment trade" in the remittance message to avoid being marked as "foreign exchange collection from direct trade".。

Foreign Trade Legal Expert: The contract must clearly specify the "goods ownership transfer clause", such as "When the goods are delivered in Hong Kong, the ownership is automatically transferred to the EU company designated by the buyer", and add a fallback clause of "failure to perform the contract due to customs' determination of trade nature" in the force majeure clause to reduce legal risks.。

On-site Inspection Expert: If inspected, prepare in advance the "Proof of Unopened Transshipped Goods" (seal number and photos of lead seals from the Hong Kong warehouse), and cooperate with inspectors to retrieve the ocean shipping track from Malaysia to Hong Kong to prove that the goods have not stayed in the transshipment country for more than 180 days (the physical isolation duration standard newly added by customs in 2026).。
