I am engaged in cross-border building materials distribution in Southeast Asia. Recently I have three batches of goods to be shipped from Vietnam to Malaysia. Previously I have been following the ordinary indirect trade process with an intermediary signing the order documents, and now I want to switch to the offshore entrepot trade mode in Shanghai.

But I am totally unclear whether entrepot trade includes indirect trade in its scope. Last week when submitting the filing application, I almost received a warning from the State Administration of Foreign Exchange due to incorrect classification, and now I am stuck at the foreign exchange payment procedure and dare not proceed, fearing problems in subsequent price assessment and tax refund.

The goods have been piled up at Ho Chi Minh Port for almost a week, and further delay will incur high container detention charges. I want to clarify the clear boundary between the two businesses, find a compliant conversion path, and confirm whether several previous old indirect trade orders can be directly adjusted to entrepot trade filing to completely avoid subsequent compliance risks.

Many practitioners mistakenly believe that entrepot trade is completely equivalent to indirect trade, which is a high-frequency cognitive misunderstanding under the 2026 customs and foreign exchange regulatory system. The two types of businesses have a cross relationship rather than a fully inclusive subordinate relationship. Directly applying ordinary indirect trade rules to entrepot trade filing will trigger warnings in the receipt and payment of foreign exchange system at the slightest,or lead to goods right freezing, even inclusion into the cross-border trade dishonesty list, resulting in automatic inspection and control of all customs declaration businesses at ports across the country afterwards.

The first step you need to take is to make a clear boundary judgment: only indirect trade scenarios where the whole process of goods does not enter China's customs territory fall within the coverage scope of entrepot trade. As long as the goods involve entry into or exit from China's customs territory, even if the transaction contracts are signed through a third-party overseas intermediary throughout the process, they do not belong to the sequence of compliant entrepot trade.

For the batches to be operated currently, check the preset flow direction of the goods one by one first. For the parts confirmed to be completely outside China's customs territory, supplement the full set of offshore entrepot trade document filing as soon as possible, complete the corresponding directory registration within 3 working days. For completed historical indirect trade orders,do not forcibly adjust the filing type, and supplement supporting documents of four flows consistency to close the compliance loop. In subsequent operations, the document ledgers of the two types of businesses shall be stored completely and separately to avoid mixing that triggers regulatory warnings.

If your goods have already been arranged for transshipment at domestic ports, just follow the ordinary transit indirect trade declaration process. There is no need to forcibly apply the rules for entrepot trade, which will avoid lots of unnecessary compliance verification costs.

Goods under entrepot trade do not need to enter China's customs territory, so no inbound or outbound customs declaration form will be generated. For ordinary indirect trade, if the goods involve transit through China, it is required to submit a transit goods customs declaration form. The customs declaration logic of the two types of businesses is completely different.

If you falsely declare indirect trade goods involving China's customs territory as entrepot trade goods, it will trigger an abnormal customs declaration form logic check, and the system will automatically lock the declaration afterwards. You need to submit complete goods right transfer vouchers, full-process logistics documents, and contracts and invoices of both trading parties for verification, otherwise subsequent list cancellation operations cannot be completed.

The 2026 national customs integrated clearance system has launched an automatic comparison module, which will synchronously compare the cargo flow data of all associated ports. Once it is found that the goods have actually entered China's customs territory without declaration, the subsequent audit process will be directly initiated.

The full set of bills of lading under entrepot trade need to be fully blank endorsed, and the goods right is transferred between offshore entities throughout the process, so no domestic port construction fee or storage fee records in China will be generated. For ordinary indirect trade, if the goods involve transshipment at Chinese ports, corresponding port construction fee and transit warehouse receipt records will be generated.

The difference between the two types of logistics vouchers is the core basis for subsequent regulatory verification. For transit port options on Southeast Asia routes, transit operations in Singapore and Port Klang fully meet the logistics requirements of entrepot trade, and goods right transfer can be completed without adjusting the route. Try not to choose domestic ports as transit nodes, to avoid port detention risks caused by mismatch between subsequent logistics data and declaration type.

Income from entrepot trade is not subject to import VAT and customs duties within China's customs territory, and only needs to complete non-trade income declaration according to the requirements for offshore businesses. For ordinary indirect trade, if the goods involve entry into or exit from China's customs territory, corresponding VAT and customs duties for relevant links shall be paid according to regulations. The tax base accounting rules of the two types of businesses are completely different.

If you mistakenly declare taxable income from indirect trade as offshore income of entrepot trade, it will trigger a cross-border transaction comparison warning in the Golden Tax System, requiring supplementary declaration of corresponding taxes and late payment surcharges. Under the BEPS 2.0 framework, the cross-border profit comparison module has covered all associated transaction entities in Southeast Asia, and all transaction data will be automatically synchronized to the domestic tax system, and the verification limitation for underreporting or omission of declaration is extended up to 10 years.

The receipt and payment of foreign exchange for entrepot trade shall be completed under the offshore current account, and does not need to go through the domestic goods trade verification account throughout the process. The receipt and payment of foreign exchange for ordinary indirect trade needs to enter the domestic verification account, and match the verification data of corresponding import and export customs declaration forms. If you post the receipt and payment of foreign exchange for indirect trade through the entrepot trade path, it will trigger a transaction background verification warning in SWIFT messages, and the bank will directly freeze the receipt and payment of foreign exchange permissions of the corresponding account afterwards.

You need to submit complete goods right transfer certificates, full-process logistics vouchers, and correspondence between both trading parties as supporting evidence, and resume the account function after completing background verification. In 2026, the Cross-border Interbank Payment System (CIPS) has launched an automatic cross-border transaction background verification module, and transactions with mismatched data and declaration type will be intercepted directly.

The transfer of goods right under entrepot trade needs to be signed with a complete tripartite goods right transfer agreement, and the corresponding bill of lading endorsement and LOI documents shall fully match the transaction nodes. For ordinary indirect trade, if domestic entities participate in goods right transit, an additional rights and responsibilities division agreement for transit goods shall be signed, to clarify the ownership of goods right at the nodes of entering and exiting China's customs territory.

The applicable laws for disputes of the two types of businesses are also different. Disputes of entrepot trade usually apply the commercial law at the location of the transit port. For disputes of ordinary indirect trade that involve operations in China's customs territory, the Customs Law of the People's Republic of China and the Contract Part of the Civil Code of the People's Republic of China shall apply. Clarifying the applicable legal rules for transactions in advance can greatly reduce the soft clause risk of subsequent letter of credit payment.

If indirect trade goods make a temporary stop at Chinese ports for transit, on-site customs officers will verify the seals, and grant approval for the goods to continue transiting out of the territory only after confirming that the seals are intact and unopened throughout the process. The inspection records of such goods will be automatically synchronized to the national trade regulatory system, and subsequent filing cannot be carried out according to the rules for entrepot trade.

If you falsely declare indirect trade goods transiting through China as goods under entrepot trade, the probability of on-site inspection and container unpacking will increase by more than 70% afterwards. Once it is found that the goods have entered the customs territory without declaration, they will be directly detained. All incurred container detention charges and disposal fees shall be borne by the declarant, and it takes at least 30 working days to complete the subsequent disposal process.

Businesses under entrepot trade do not need to participate in export tax refund declaration, and no corresponding import and export customs declaration form information will be generated throughout the process. For ordinary indirect trade, if there is a link where domestic entities purchase goods for export, it is required to complete export tax refund declaration according to regulations, and match corresponding foreign exchange receipt data and input invoice data.

If you mistakenly classify the export tax refund documents of indirect trade into the offshore business ledger of entrepot trade, it will trigger a four flows inconsistency warning in tax document verification, and you need to submit complete document filing materials, goods flow transfer vouchers and bank foreign exchange receipt slips as supporting evidence. The whole document verification process takes up to 6 months, during which the export tax refund declaration permission of the corresponding entity will be temporarily suspended.

The overall supply chain architecture of entrepot trade does not require setting up physical warehousing nodes in China, and goods right circulation can be completed through offshore entities throughout the process. The overall comprehensive cost is 12% to 18% lower than that of ordinary indirect trade involving domestic transit, and the corresponding operation cycle can be shortened by about 40%.

If your business scenario is mainly cross-national circulation of building materials in the Southeast Asia region, it is preferred to choose the entrepot trade architecture where goods do not enter China's customs territory at all, no additional domestic transit goods qualification is required. The overall operation process is more concise and compliant, and the complexity of subsequent accounts accounting and foreign exchange receipt and payment operations will also be greatly reduced, which is suitable for batches of small and medium-sized cross-border circulation businesses.
