I am from a household goods export factory in the Pearl River Delta. We have been exporting to the US in the past two years.

Due to anti-dumping duties, our costs have risen by nearly 30%, making our quotations completely uncompetitive against local peers, and old customers are urging us to find ways to reduce costs. I heard from peers that we can carry out US re-export trade, but I have never been exposed to it at all.

I do not know how it operates, whether there will be compliance risks, and what to do if the cargo is detained. I want to figure out what the logic of US re-export trade is, whether it is suitable for small and medium-sized factories like ours, what conditions need to be met for operation, and what pitfalls we need to avoid in advance.

Many enterprises exporting to the US have misunderstandings about US re-export trade. The most common one is that they believe re-export trade can be done simply by "changing containers and documents",ignoring the compliance of the third-country certificate of origin, and even buying fake certificates of origin at low prices. This is a pitfall that more than 80% of practitioners in the industry have stepped into.

If the certificate of origin is not compliant,US Customs will directly determine that the goods have falsified origin. It will not only detain the goods and impose high fines, but also list the export enterprise on the customs key verification blacklist. All subsequent goods exported to the US will be subject to 100% unpacking inspection. In serious cases, the goods will be directly confiscated, and port detention fees and container demurrage fees of tens of thousands or even hundreds of thousands of dollars will be incurred, eventually resulting in the loss of both money and goods.

The core of risk isolation is to choose legal re-export ports for operation. Prioritize third-party transit countries with mature corresponding industrial chains to complete container replacement, require the transit country agent to issue legal origin documents recognized by US Customs, and keep documents such as container replacement photos, packing lists, and local processing certificates for reference throughout the process.

Full cargo ownership must be firmly held in your own hands. Do not easily transfer cargo ownership to unknown transit agents to avoid the situation where agents abscond with goods and funds. Try to retain control over the bill of lading title, and do not directly list overseas customers or transit agents as the title holder.

Purchase special cargo insurance for re-export trade in advance. If cargo detention or failure to pass origin verification occurs, the insurance company can cover most of the direct losses. Before operation,be sure to verify the qualification of the transit agent in advance, require provision of non-violation operation records in the past three years, and do not choose low-price agents only based on quotations. Low prices often correspond to non-compliant operations, which will bring greater losses instead.

The core of US Customs' valuation of re-exported goods focuses on the value-added part of third-country transit. If the third-country value-added ratio fails to meet the requirements, the origin qualification will be directly rejected. During operation, it is necessary to sort out the full set of cargo circulation documents in advance, including transit country loading and unloading records, container replacement confirmation forms, and local value-added cost vouchers, to respond to customs valuation.

If there is an origin dispute, it is necessary to timely supplement the transit country's industrial and commercial registration documents and agent qualification documents, cooperate with customs to complete origin verification, and avoid being directly determined as origin fraud. If there is already a situation of pending accounts or order rejection, apply for declaration deletion and re-submission as soon as possible, re-sort out the logical closed loop, supplement corresponding supporting materials, and strive to minimize losses.

The logistics core of US re-export trade is to control cargo ownership, reasonably plan the free storage and free container period at the transit point, and reduce additional costs. Try to choose large and formal yards in the transit port for container replacement operations, confirm the container replacement time with the yard in advance, and avoid shipping schedule delays caused by overbooking and container rollover.

The bill of lading needs to be endorsed for transfer to ensure smooth circulation of cargo ownership. At the same time, require the yard to issue full-process photos of container replacement and seal replacement records for storage and reference. Confirm the port change plan with the shipping company in advance.

If there is an abnormality in US customs clearance, the discharge port can be adjusted in time to avoid high container demurrage and port detention fees. Try to choose a route with direct ship connection for the transit plan to reduce the risk of secondary loading and unloading during transit.

US re-export trade can optimize the overall cost by using tax differences between different countries. During operation, VAT deferment can be applied to reduce capital occupation costs in the transit country. If cross-border related transactions are involved, transfer pricing documents need to be prepared in advance to meet relevant BEPS requirements, and avoid being identified as base erosion by tax authorities.

It is necessary to isolate tax risks, separate the re-export trade business entity from the original export entity, and avoid implicating the tax compliance of the original business. In terms of non-resident enterprise withholding tax, bilateral tax agreements between the transit country, the US and China can be used to reduce the withholding tax rate and optimize overall income.

The payment collection and disbursement link must meet the compliance requirements of cross-border receipts and payments. If offshore accounts are used for settlement, the full set of cargo circulation documents must be retained to respond to bank due diligence. CIPS RMB cross-border payment and settlement can be used to avoid the risk of SWIFT message review, while optimizing the exchange rate of foreign exchange purchase and settlement to reduce exchange loss.

In the settlement and account reconciliation link, it is necessary to ensure the consistent logic of cargo ownership, documents, funds and invoices, to avoid being verified by the foreign exchange administration due to non-compliant payment collection and disbursement. Before operation, sort out the payment collection and disbursement path in advance, confirm that each receipt and payment has corresponding document support, and avoid the problem of pending accounts that cannot be reconciled.

For cargo ownership transfer in re-export trade, a clear cargo ownership transfer agreement must be signed to avoid cargo ownership disputes. Letter of credit terms need to be carefully checked to exclude soft clauses.

For example, clauses requiring the provision of third-country certificates of origin need to specify the recognized issuing authority, to avoid customers refusing to pay on the grounds that the certificate of origin does not meet requirements. The force majeure clause needs to clearly cover situations such as US Customs cargo detention and failure to pass origin verification, to provide risk coverage.

If a guarantee needs to be issued, the cashing conditions of the guarantee need to be clarified to avoid the risk of unreasonable cashing. At the same time, complete intellectual property customs protection filing to avoid amplifying losses due to intellectual property disputes when goods are detained.

After container replacement in the transit country, the seal needs to be replaced again. After seal replacement, check the seal number and brand to identify the authenticity of the seal, so as to avoid goods being detained by US Customs due to inconsistent seals.

If US Customs arranges on-site unpacking inspection, prepare the full set of documents in advance, including certificate of origin, packing list, and processing certificate, and cooperate with customs to check the shipping marks and labels of the goods to ensure they are consistent with the document information. If inspection and appraisal are required, confirm the inspection process in advance, supplement corresponding product description documents in a timely manner, speed up the issuance of test reports, reduce port detention time, and reduce additional costs.

The export tax rebate link of US re-export trade needs to ensure the consistency of four streams, and complete document filing, including procurement contracts, export contracts, bills of lading, transit container replacement records, and foreign exchange receipt vouchers, to respond to tax inquiry verification. It is necessary to ensure that there is no abnormal return of capital flow.

If third-party agency fees are involved, retain the corresponding invoices and payment vouchers to avoid being identified as illegal tax rebate. Complete verification in advance during the pre-declaration link, check the consistency of all document information.

For cross-month declarations, pay attention to the declaration time limit requirements, so as to avoid being unable to obtain tax rebates due to overdue. Foreign exchange receipt verification and write-off must be completed within the specified time to ensure the smooth implementation of the tax rebate process.

US re-export trade requires overall architecture optimization combined with the enterprise's shipment volume and inventory situation. Enterprises that export to the US for a long time can set up fixed turnover warehouses in the transit country for inventory linkage, reduce container replacement operation costs, and reduce the probability of shipping schedule delays.

Cost accounting can be carried out according to tariff differences and logistics costs, and the income ratio between re-export trade and direct export can be compared to determine whether re-export is suitable. In terms of trade term selection, FOB and CIF terms can be adjusted according to cargo ownership control needs, optimize the risk and cost structure of the overall supply chain, and adapt to the actual needs of the enterprise.
