I am the person in charge of a small and medium-sized foreign trade enterprise in the Yangtze River Delta. We have been engaged in general trade export. This year, due to requirements from overseas end customers, we need to conduct entrepot trade, transporting a batch of mechanical and electrical products to Singapore for transshipment before selling them to customers in the Middle East.
We have never been involved in entrepot trade before and are completely confused now: we do not know what special procedures need to be completed, whether we will cross the regulatory red line, and are also worried about losing both the goods and money due to poor control of title of goods. We have heard that foreign exchange supervision on entrepot trade is very strict now, and we are also afraid of being punished for non-compliance in foreign exchange receipts and payments.
We also want to know if we can use tax differences to reduce some costs. Can you clarify for us how to conduct entrepot trade business in compliance and help us avoid common pitfalls?

Common pitfalls in entrepot trade mostly focus on three aspects: title of goods control, document inconsistency, and non-compliance in foreign exchange receipts and payments. Many new players, seeking convenience, directly copy the operation logic of general trade or trust the requirements of intermediaries and omit necessary risk control and review links, which is the root cause of most problems.
The chain reaction of such non-compliant operations is very direct: at the minimum, the goods will be detained by customs due to inspection or the SAFE will issue an early warning and suspend accounts,at the worst, the entire business will be judged non-compliant,facing fines, and affecting the enterprise's subsequent import and export qualifications, and even the intermediary may abscond with the goods, ultimately leading to the loss of both goods and money. In 2026,customs and foreign exchange supervision will further strengthen the authenticity review of entrepot trade, and small and scattered entrepot trade orders will also be included in random inspections, making the cost of non-compliance much higher than in previous years.
The core means of physical risk isolation is controlling the title of goods through a third-party compliance institution. For transit warehouses, choose overseas supervised warehouses with formal qualifications, require complete retention of all endorsed bills of lading, and do not release goods to intermediaries in advance. Secondly, all transaction documents must achieve consistency of three streams, with contracts, bills of lading, and foreign exchange receipt and payment paths fully matched. Complete document pre-review in advance to eliminate information contradictions.
Exclusive Stop-loss Tips: Once document anomalies or regulatory warnings occur, suspend the goods release process immediately, proactively explain the situation to regulatory authorities, and supplement matching transaction materials. Do not modify documents without permission, instead, apply for coordination and rectification by a third-party professional institution to control risks at the initial stage and avoid greater losses caused by risk diffusion.

Customs declaration for entrepot trade needs to distinguish between direct entrepot trade and indirect entrepot trade. For direct entrepot trade goods transiting in China, they shall be declared as imported goods, stored in transit supervision places, and then declare for export when leaving the country.
The price review link focuses on verifying transaction authenticity, and transaction contracts between intermediaries and both buyers and sellers, foreign exchange payment vouchers, and title transfer certificates are required. If it is a third-country entrepot trade where goods do not enter China, and domestic enterprises handle foreign exchange receipts and payments, they need to retain a full set of warehouse receipts, bills of lading, and transit contracts of the transit port for future reference, and declare complete transit information.
If there is a price review dispute, complete cost accounting vouchers are needed to prove the rationality of transaction pricing, to avoid being judged as underreporting or overreporting prices and affecting the customs clearance process. If there are account suspension or order pushing situations, supplement transaction authenticity materials immediately, cooperate with customs inspections, do not delete and re-declare without permission, and avoid leaving non-compliant records.

The core of logistics for entrepot trade is title of goods control. The selection of transit plans needs to be comprehensively judged based on cargo volume, timeliness, and cost. For full container cargo, priority should be given to transiting through designated overseas supervised warehouses, not intermediaries' private warehouses, to avoid unauthorized release of goods.
The bill of lading should be made as an order bill of lading, requiring the carrier to release goods according to instructions. The endorsement of the bill of lading must be complete and continuous, and the original scanned copy of each title transfer endorsement shall be retained.
If there is a need to change the port due to overbooking and cargo rejection, notify all transaction parties immediately, update bill of lading and warehouse receipt information, and inform foreign exchange receipt and payment banks to update transaction materials simultaneously to avoid document inconsistency. Container detention fees and free storage periods need to be confirmed with the carrier in advance, and preferential free storage periods for entrepot goods shall be negotiated to reduce unnecessary logistics cost expenditure.

The core of tax planning for entrepot trade is to use tax differences and VAT deferral policies of different countries to reduce costs. If goods transit through the EU, VAT deferral can be applied to avoid advance payment of value-added tax in the transit country and reduce capital occupation costs.
For cross-border related party transactions of entrepot trade, pricing shall comply with the arm's length principle to avoid being identified as base erosion, and transfer pricing documents shall be prepared in advance and retained for future reference. Non-resident enterprise intermediaries shall pay non-resident enterprise withholding tax on the profits from entrepot trade as required.
If meeting the preferential terms of bilateral tax agreements, preferential tax rates can be applied for to reduce tax costs. It should be noted that any planning cannot deviate from transaction authenticity. Fictitious entrepot trade transactions for tax avoidance will be identified as non-compliant and face tax penalties.

Foreign exchange receipts and payments for entrepot trade need to meet the authenticity review requirements. Whether full amount or difference foreign exchange receipts and payments, the nature of entrepot trade shall be clearly marked at the time of declaration, and corresponding transaction documents shall be provided.
In 2026, CIPS (Cross-Border Interbank Payment System) supports RMB settlement for entrepot trade. Compared with SWIFT (Society for Worldwide Interbank Financial Telecommunication), it has faster arrival and more convenient regulatory review, and enterprises meeting the requirements can prioritize RMB settlement.
For receiving and paying entrepot trade funds through offshore accounts, a full set of transaction materials shall be retained, cooperate with banks in due diligence, and do not split transactions to avoid limit review, so as to avoid account freezing. Settlement and account reconciliation shall correspond one-to-one with transaction information, ensuring that each receipt and payment has corresponding transaction support, to avoid situations where accounts are suspended and cannot be written off.

Entrepot trade requires the signing of a tripartite title transfer agreement to clarify the time of title transfer and division of responsibilities of each transaction party, to avoid title disputes. For letter of credit payments, focus on reviewing soft clauses, such as clauses requiring intermediaries' goods release certificates for negotiation, which shall be modified to require negotiation against full set of original bills of lading.
If a guarantee letter is required for taking delivery of goods, the guarantee letter terms shall clarify the scope of liability and limit the validity period of the guarantee letter, to avoid assuming unlimited joint and several liability. In terms of intellectual property rights, if goods involve brands, obtain the brand owner's entrepot authorization in advance, and go through intellectual property customs filing, to avoid goods being detained by customs. Force majeure clauses shall clarify the division of responsibilities for emergencies in transit ports, and agree on the scope of exemption for port changes or delayed delivery, to reduce losses caused by unexpected risks.

Entrepot trade generally does not involve export tax rebates. However, if goods leave China for transit to a third country and then export, and meet the export tax rebate conditions, they need to meet the requirements of consistency of four streams, namely full matching of goods flow, capital flow, invoice flow, and contract flow.
When tax authorities conduct correspondence investigations, cooperate in providing a full set of entrepot trade materials, including transit warehouse warehousing certificates, title transfer certificates, and foreign exchange receipt vouchers, to prove the authenticity of the transaction. It should be noted that entrepot trade cannot illegally apply export tax rebate policies.
Fictitious goods flow to defraud tax rebates will be held administratively or even criminally liable. Documents shall be retained for more than ten years to meet the requirements of tax authorities for subsequent inspections, and avoid compliance problems caused by document loss.

The architecture design of entrepot trade needs to be comprehensively planned in combination with trade purposes, regulatory requirements, and costs. If it is to avoid trade barriers, the selection of transit countries shall comply with the requirements of origin rules, to avoid being identified by the destination country's customs as avoiding barriers and being detained and fined.
The selection of trade terms shall be combined with the needs of title of goods control. Priority shall be given to FCA (Free Carrier) transit warehouse terms, where the seller transfers title of goods upon delivery at the transit warehouse, clarifying the division of responsibilities. Compared with FOB or CIF, it is more suitable for title of goods control in entrepot trade.
Cost calculation shall include transit warehouse fees, customs declaration fees, logistics fees, and capital costs in the accounting, not just the price difference of goods, to avoid situations where it seems profitable but actually loses money. Inventory linkage can arrange the transit warehouse to stock goods, release goods in batches according to downstream orders, reduce capital occupation, and improve supply chain turnover efficiency.
