I am engaged in small and medium-sized cross-border consumer goods trade, and recently received an entrepot trade order. The goods are shipped from Southeast Asia to Europe and will not enter China's domestic ports at all, only the goods ownership settlement is completed through our company's offshore account.

Now I have no idea what taxes need to be paid in this case. Previously, a peer engaged in entrepot trade was inspected for underpayment of income tax, paid a large fine and had their business qualifications affected.

I am now very afraid of making mistakes: I fear overpaying unnecessary funds to increase costs for no reason, and also fear underpayment affecting the subsequent import and export business qualifications of my company. I would like to ask professionals to sort out for me what taxes need to be paid for this kind of non-entry entrepot trade, and whether there is room for compliance optimization to reduce costs.

In the operation of traditional entrepot trade, many operators either default full tax exemption leaving underpayment risks,or blindly declare the full amount to bear unnecessary tax burden. Both modes will increase hidden costs: the former will trigger tax inspection, tax repayment and fines, while the latter directly erodes 10%-25% of the price difference profit, cutting down business income directly.

For non-entry entrepot trade, under China's current 2026 rules,no customs duty or value-added tax is required for goods that do not enter the domestic customs territory, only corporate income tax is required for the obtained price difference income,if operated by an individual, individual income tax shall be paid, with no other fixed tax burdens.

If optimized through a compliant structure, eligible operators can enjoy tax incentives for offshore entrepot trade. The access thresholds require that goods are completely not entering the territory, goods ownership transactions are authentic, and the foreign exchange receipt and payment path is clear. A maximum preferential income tax rate of 15% can be enjoyed under the compliant structure.

Dynamic income calculation should be carried out in advance according to business scale and annual price difference income. On the premise of authentic and compliant transactions, the optimized income tax cost can be reduced by about 40%,while tax inspection risks are completely isolated. There is no need to worry about underpayment or wrong payment,so as to ensure stable business development.

The tax-related treatment of entrepot trade first needs to clarify whether the goods actually enter China's customs territory. If the goods only stop at Chinese ports in transit without actual entry declaration, the customs will not levy customs duties and import value-added tax.

If the goods are stored in bonded supervision places after entering the territory and then transferred out, it belongs to bonded entrepot trade, no import tariff is required, and the customs only conducts price review and filing. In the price review process, complete goods ownership transaction contracts and purchase and sales invoices should be provided to prove the authenticity of the transaction, so as to avoid classification and tax-related adjustment caused by price review doubts.

If the declaration is false and entrepot goods are declared as general trade imports, high unnecessary taxes will be incurred, and customs clearance warnings will be triggered. The subsequent process of deleting and re-declaring documents is complicated, which will generate extra costs such as port detention fees, so the trade mode must be accurately marked as entrepot trade in the declaration link.

If entrepot trade involves transit and stay of goods at domestic ports, attention should be paid to the relevant costs and tax-related boundaries generated by transit stay. If the goods are only in transit without entry customs clearance, and only transit at anchorage or enter bonded zones or bonded logistics centers for storage, no customs duty or value-added tax will be incurred, but you need to apply for corresponding free storage period and demurrage reduction from the shipping company in advance to avoid high extra costs caused by overstay.

If you need to endorse the bill of lading to transfer goods ownership, the tax-related link in the goods ownership transfer process only corresponds to income tax, and does not involve turnover tax. The bill of lading endorsement should clearly mark the attribute of entrepot trade, so as to avoid the terminal and customs system misjudging it as imported goods entering the country and triggering tax payment requirements. If port change for transit occurs, you need to update the trade attribute to the customs in time to avoid wrong tax-related notifications caused by information lag, which will increase unnecessary communication and adjustment costs.

For non-resident enterprises participating in entrepot trade in China, if the obtained price difference income does not originate from within China, there is no need to pay withholding income tax in China. If the goods ownership transaction is completed within China and the income source is recognized as domestic income in China, the corresponding withholding income tax shall be paid.

Entrepot trade structures that meet BEPS compliance requirements can enjoy the tax exemption policy of source identification as long as the transaction is authentic and reasonable, and there is no profit transfer pricing arrangement, so as to avoid double taxation. For domestic resident enterprises, the price difference of entrepot trade belongs to the enterprise's operating income, which shall be included in the enterprise's taxable income to calculate and pay corporate income tax. Eligible enterprises can enjoy income tax preferences for small and low-profit enterprises, and do not need to pay value-added tax.

The foreign exchange receipt and payment path of entrepot trade does not affect tax category identification. No matter whether settlement is made through offshore accounts or onshore accounts, you only need to declare and pay taxes in accordance with income tax rules, and no other additional taxes will be incurred. In 2026, the CIPS RMB cross-border payment system supports direct RMB settlement for entrepot trade, no tax is required during the settlement process, you only need to include the corresponding income into the taxable income when declaring corporate income tax.

In the foreign exchange receipt and payment link, complete transaction contracts, invoices and goods ownership certificates should be retained for compliance verification. As long as the transaction is authentic and there is no book mismatch, there will be no foreign exchange receipt and payment compliance risks, and no additional tax repayment requirements will be incurred.

The goods ownership transfer contract for entrepot trade should clarify the subject of tax payment obligation, so as to avoid bearing the seller's tax obligation additionally due to vague contract terms. If entrepot trade involves letter of credit settlement, the subject of tax bearing should be clearly specified in the terms, so as to avoid soft clauses requiring the buyer to bear additional taxes.

If third-party goods ownership transfer is involved, the division of tax-related responsibilities should be clearly specified in the contract, and the ownership of the corresponding income tax declaration obligation should be clarified, so as to avoid joint liability when tax disputes occur in the future. All transaction vouchers should be retained for more than ten years to cope with subsequent verification by tax and customs authorities, so as to avoid being required to pay unnecessary taxes due to lack of vouchers and inability to prove the nature of the transaction.

When entrepot trade goods are subject to on-site inspection during domestic transit, as long as complete entrepot trade certification documents can be provided to prove that the final destination country of the goods is not China, no tax collection requirements will be triggered. In the inspection link, goods ownership transaction contracts, bills of lading, and purchase contracts of the final buyer should be provided to prove that the goods are only in transit and do not enter domestic consumption circulation.

The customs will release the goods after inspection and confirmation, and will not levy customs duties and value-added tax. If the seal is intact and there is no need to unpack the goods, you can apply for priority machine inspection to shorten the inspection stay time, avoid extra costs caused by overstay, and will not affect the subsequent trade process and tax-related identification results.

The packaging of entrepot trade goods does not directly affect tax payment, but if the packaging does not meet the compliance requirements for transit in China, it may lead to goods detention, resulting in additional late fees and penalties, which indirectly increases operating costs. For transit of dangerous goods in entrepot trade, it is necessary to meet UN dangerous goods packaging requirements, and provide corresponding MSDS reports and classification identification certificates.

If the packaging is unqualified, the goods will be detained for rectification. Port detention fees and other costs incurred during the rectification period will increase the overall operating expenditure.

If the rectification fails, the goods may also be returned, resulting in breach of the entire transaction. Compliant packaging will not incur additional taxes, only need to meet the safety requirements of the transit country, and no import tax related to packaging is required.

Entrepot trade is not within the applicable scope of export tax rebate, so there is no need to carry out export tax rebate declaration, and no taxes related to export tax rebate will be incurred. Since the goods have not actually completed the exit or entry import process, entrepot trade does not meet the export tax rebate requirement of consistent four flows, so it does not involve taxes related to export tax rebate.

If you mistakenly declare entrepot trade for export tax rebate, it will trigger tax correspondence investigation, which will not only be rejected, but also trigger tax inspection, affect the enterprise's tax credit rating, and even be required to repay the already rebated tax and incur fines. For entrepot trade, you only need to declare corporate income tax normally, and do not need to carry out any operations related to export tax rebate.

The tax payment of entrepot trade can be adjusted in combination with supply chain structure optimization. Through reasonable layout of goods ownership transaction locations, it can match the preferential tax policies of different regions and reduce the overall income tax cost. For entrepot trade business with large annual transaction volume, you can adjust the transaction structure, arrange goods ownership transactions in regions with preferential tax policies, and enjoy the preferential low tax rate in compliance to reduce the overall tax cost.

The structure adjustment needs to meet the requirements of real transactions, and the goods flow, capital flow and contract flow should be matched, so as to avoid being identified as unreasonable tax avoidance arrangements and triggering tax risks. Reasonable structure optimization will not change the tax-related attribute of entrepot trade, but only legally enjoy the corresponding preferences, and will not generate additional compliance risks.
