I am a small and medium-sized operator in building materials foreign trade. Recently, I received a third-party order where the supplier is located in Southeast Asia and the end buyer is in Europe. To avoid EU anti-dumping duties on Chinese goods, they requested me to handle entrepot trade.

I have only done general trade for direct import and export before and have never engaged in entrepot business. Now I have no idea about the entire process, what preparations are needed in the first step, which documents need to be reviewed in advance, and what are the requirements for core links such as title transfer and settlement.

I am afraid of making mistakes leading to goods detained by customs, customs audits, as well as additional costs of port demurrage and container detention. I will sign the contract next week and am in a hurry to clarify the complete compliant operation process and figure out the correct operation requirements for each node.

The entire process of entrepot trade can be divided into four core stages in sequence, with clear operation requirements for each stage as follows:

The first stage is pre-preparation and document review, with the core operation being complete the record qualification review of the consignee in the transit country in advance, and check the full set of trade documents including tripartite trade contract, transit country certificate of origin, packing list, and original bill of lading. It is necessary to ensure that the description of goods, quantity and amount information of the three parties are completely consistent, confirm that the certificate of origin meets the requirements of the transit country and end destination country customs, and check document defects in advance to avoid subsequent customs clearance failure due to document discrepancies.

The second stage is connection of core nodes. After contract confirmation, arrange the shipment of goods from the port of origin to the designated transit port. After the goods arrive at the transit port, complete the endorsement transfer of bill of lading and title change procedures. The goods will only stay in transit without entering end sales, and then arrange the second leg of transport from the transit port to the end destination port. The title status must be locked throughout the process to avoid the risk of title being unavailable.

The third stage is abnormal response plans. If congestion at the transit port is expected, apply to extend the free storage and free container detention periods in advance. If there is a customs valuation query, prepare the payment vouchers and communication emails for the tripartite transaction in advance to prove the authenticity of the transaction.

The last stage is compliant implementation. After the goods are shipped, complete the settlement in accordance with the compliance requirements of payment and collection, and retain the full set of transaction documents for 3 years for filing and inspection. Two core points need to be controlled throughout the process: one is to ensure the transaction is authentic and traceable, and the other is to ensure all document information is logically consistent,so as to complete the entire entrepot trade operation in compliance.

When dealing with the customs declaration link of entrepot trade, there are two types of customs declaration operations at the transit port: if it is full transit without entry, only import transit declaration is required, and no import tariff is needed; if container reloading and repackaging are required, temporary entry declaration and then re-export declaration are needed.

For the valuation link, it is necessary to prepare complete transaction chain materials in advance, including original purchase invoice, entrepot sales contract, and payment receipt, to prove that the price difference of the entrepot trade is in line with the market level, avoiding being identified as underreporting or false reporting of price, leading to valuation adjustment, supplementary tax payment or even transfer to inspection. If there is a valuation dispute, it is necessary to submit defense materials within the stipulated 15 working days, supplement proof of transaction authenticity, and cooperate with customs to complete price consultation to ensure smooth customs declaration process.

The core of the logistics link of entrepot trade is title control and route selection. First, select the transit port according to the shipment schedule requirements and cost budget, preferring core transit ports with high customs clearance efficiency and long free storage periods to avoid high port demurrage and container detention fees due to port congestion. During the transit of goods, the container reloading operation needs to confirm the reloading time of the transit port agent in advance, follow up the seal replacement throughout the process, and retain photos of container reloading for records.

In terms of bill of lading operation, if title transfer is needed, ensure the bill of lading is a blank endorsed bill of lading to facilitate subsequent endorsement operations; a bearer bill of lading cannot complete title transfer, which will cause the subsequent process to be stuck. If temporary port change is needed, notify the shipping company to update the bill of lading information in advance and inform the tripartite consignee at the same time to avoid wrong shipment.

When dealing with the tax link of entrepot trade, if using the tariff preference policies of the transit country, it is necessary to ensure that the goods meet the rules of origin requirements of the transit country, usually requiring the goods to complete a certain proportion of value-added processing in the transit country or stay for the specified time to issue a qualified certificate of origin; otherwise, the end destination country customs will not recognize the validity of the certificate of origin and still levy anti-dumping duties.

VAT deferral policy can be used, which does not need to prepay import VAT when transiting in the transit country, and can be written off directly at re-export, reducing capital occupation cost. If it is a related-party tripartite entrepot trade, it is necessary to comply with the arm's length principle, and the pricing cannot deviate from the fair market level, avoiding being identified as profit shifting by the tax authorities and triggering anti-avoidance investigations.

When dealing with the payment and collection link of entrepot trade, ensure that the payment and collection information is consistent with the transaction contract and goods information. The current regulatory rules (as of 2026) require that the payment and collection of entrepot trade must be completed within 90 days after the transaction is completed; special circumstances can be filed with the foreign exchange bureau for extension in advance.

Cross-Border Interbank Payment System (CIPS) RMB cross-border payment can be used to reduce exchange rate fluctuation losses, compared with SWIFT, it has faster arrival time and higher compliance transparency. Whether to collect payment first or pay first needs to be selected according to the credit situation of both parties to the transaction; try to collect the payment from the end buyer first before paying the supplier to reduce capital risk. All payment and collection receipts need to be retained for reference, ensuring that the capital flow is consistent with the goods flow and document flow.

The contract terms of entrepot trade need to clarify the title transfer time and responsibility division of the three parties, especially clarify the bearer of additional costs such as port demurrage and container reloading fees generated at the transit port, avoiding subsequent disputes. If letter of credit settlement is used, check whether there are soft clauses in the letter of credit, such as requiring certificate of origin issued by the official of the transit country, confirm whether it can be obtained normally, to avoid refusal of payment due to failure to meet the clause requirements.

In the title transfer link, specify the time node of bill of lading endorsement in the contract, as well as the responsibility division after title transfer; once the endorsement transfer is completed, the title responsibility of the transit party shall be transferred to the next party, avoiding unclear rights and responsibilities. If necessary, ask the other party to issue a bank guarantee to ensure payment security.

If the transit goods encounter customs inspection at the transit port, first confirm the specific requirements of the inspection notice, and arrange the agent to cooperate on site in advance. If it is X-ray inspection, sort out the full set of documents and give them to the on-site agent in advance, ensure that the goods are placed in line with the X-ray inspection requirements, avoiding secondary container opening due to improper placement.

If it is manual container opening inspection, confirm the authenticity of the seal in advance, ensure that the seal is intact and not replaced, and ask the agent to take photos of the container opening inspection during the process, and confirm that the quantity and packaging of the goods are consistent with the declaration information. If sample inspection is required, prepare materials such as Material Safety Data Sheet (MSDS) and product description in advance, cooperate with customs to complete the inspection, avoiding inspection delay and additional costs due to incomplete materials.
