I am the handler of a foreign trade enterprise engaged in Southeast Asian entrepot trade. We recently received an order for goods shipped from Shenzhen, China to Singapore and then re-exported to Germany.

The goods will not enter China throughout the whole process, and we are only responsible for coordinating title transfer and logistics arrangements. I heard from peers before that entrepot trade is not taxable, but I am still worried, as it involves foreign exchange settlement and document retention.

What if the tax authority identifies it as domestic trade and requires tax repayment? Besides, what documents do we need to retain to enjoy non-taxation treatment? Are there any common pitfalls?

First, clarify the 2026 domestic tax rules for entrepot trade: If the goods never enter the Chinese customs territory throughout the whole process, and only Chinese enterprises act as intermediaries to coordinate title transfer and logistics, neither value-added tax (VAT) nor corporate income tax (CIT) needs to be paid within China, provided that strict compliance conditions are met.

For VAT: According to the cross-border VAT collection and administration rules updated in 2025,entrepot trade goods that are not declared for customs entry do not belong to domestic VAT taxable activities,so no VAT is required. However,full-set bills of lading, overseas purchase and sales contracts, and title transfer vouchers shall be retained to prove that the goods have not entered the Chinese customs territory. If the goods are shipped from a domestic port in China, you shall go through transit and transshipment filing procedures in advance, and clearly mark "Entrepot" on the manifest to avoid being identified as general export declaration by the system.

For CIT: If a Chinese resident enterprise acts as an intermediary, and the place where the income-generating activities of entrepot trade take place is overseas, that is,both the shipment and delivery of goods are outside the territory of China, such income does not belong to income sourced from within China,so no CIT is required. However, please note that if the intermediary has related-party transactions with upstream and downstream parties, pricing shall follow the arm's length principle to avoid adjustment of taxable income by the tax authority.

Common pitfalls include failure to retain a complete title transfer chain,re-export after goods actually enter the Chinese customs territory, and failure to complete cross-border transaction filing as required, which may lead to the tax authority launching inspection procedures. Some enterprises mistakenly declare entrepot trade as general export, resulting in overpayment of VAT or failure to enjoy non-taxation treatment.

The core of compliance implementation is to ensure the consistency of "title, logistics, contract" and no domestic customs import link throughout the process. It is recommended to complete cross-border transaction filing with the competent tax authority in advance, and retain all document materials of cross-border transactions for at least 10 years for subsequent verification.

The core of customs compliance for entrepot trade lies in the proof that the goods never enter the country throughout the process. If the goods are shipped from a domestic port in China, you shall go through transit and transshipment filing procedures in advance, and clearly mark "Entrepot" on the manifest to avoid being identified as general export declaration by the system. When reviewing documents, you shall focus on checking the title transfer nodes of upstream and downstream contracts to ensure that the consignor and consignee on the bill of lading are consistent with the contract subjects.

If the manifest information is inconsistent with the contract, you shall submit a situation explanation to the customs in time to apply for document deletion and re-declaration. In response to the new cross-border transshipment supervision requirements added in 2026, you shall retain port operation certificates and screenshots of overseas logistics tracks. In case of customs control and inspection, you shall provide transshipment filing documents at the first time to prove that the goods have not entered the Chinese customs territory, and avoid being required to pay customs duties and VAT retrospectively.

The logistics path of entrepot trade shall balance efficiency and compliance. Direct routes shall be preferred to reduce transit links and lower the risk of title loss. At transit ports such as Singapore, you shall confirm the free storage period and free detention period with the freight forwarder in advance to avoid extra port detention and container detention fees.

Order bills of lading with blank endorsement shall be selected to ensure free transfer of title, and copies of full-set sea waybills shall be retained for subsequent tax verification. In case of multi-segment transit, you shall ensure that the logistics track of each segment is traceable to avoid missing logistics records of goods.

Tax planning for entrepot trade shall focus on related-party transaction pricing and cross-border income identification. If the intermediary is a Chinese resident enterprise, you shall ensure that the place where the income-generating activities of entrepot trade take place is completely overseas, to avoid being identified as domestic income.

If there are related-party transactions, you shall prepare verification documents under the comparable uncontrolled price method to meet the requirements of the BEPS action plan. For entrepot trade involving the EU region, you can apply for the VAT deferral policy to delay the payment of import VAT and optimize the cash flow structure.

Payment and collection compliance for entrepot trade shall match the trade background. You shall clearly mark "Entrepot Trade" in SWIFT messages or CIPS payment instructions, and note the place of shipment and destination of the goods. Vouchers such as exchange settlement memos and payment notices shall be retained to prove that foreign exchange receipts and expenditures are consistent with the trade amount.

If an offshore account is used for settlement, you shall update the account information regularly to avoid being listed as an abnormal account. At the same time, you shall ensure that the collection time matches the title transfer time to avoid abnormal capital backflow.

The contract terms of entrepot trade shall clearly define the title transfer node and responsibility division. It is recommended to set the clause that "title transfer shall be subject to bill of lading delivery" to avoid title disputes. If the buyer requires advance payment, a bank guarantee can be used to replace the advance payment to ensure capital security.

The scope of force majeure shall be clearly defined in the contract, including port detention at transit ports, customs inspection and other situations. At the same time, you shall confirm the ownership of intellectual property rights of the goods, and complete the customs intellectual property record filing in advance to avoid detention of goods due to infringement.

If entrepot trade goods are inspected by customs on site, you shall cooperate with the inspectors to provide relevant documents at the first time, including transshipment filing certificates, manifest information, purchase and sales contracts, etc. You shall carefully check the integrity and authenticity of the seals. If the seals are damaged, you shall contact the freight forwarder in time to issue a situation explanation.

If container unpacking inspection is required, you shall arrange special personnel to supervise on site to ensure that the goods are not replaced. If you have any objection to the inspection results, you can apply for re-inspection or submit a written explanation to avoid being identified as non-compliant goods.

If entrepot trade involves dangerous goods, you shall complete UN packaging certification and MSDS preparation in advance to ensure that the packaging meets the requirements of the International Maritime Dangerous Goods Code. Appropriate cushioning packaging materials shall be selected according to the hazard category of the goods, and moisture-proof and reinforcement treatment shall be done to avoid damage to the goods during transportation.

Dangerous goods declaration materials shall be submitted to the port and customs in advance to ensure smooth customs clearance of the goods. In case of dangerous goods inspection, you shall arrange qualified personnel to cooperate on site to avoid safety accidents.

Entrepot trade does not require export tax rebate application, but document filing management shall be done well. Documents such as purchase and sales contracts, bills of lading, manifests, title transfer vouchers shall be retained for at least 10 years. If you mistakenly declare entrepot trade as general export and apply for tax rebate, you shall complete corrected declaration in time to avoid the tax authority recovering the tax rebate.

If you receive a tax correspondence audit notice, you shall submit complete document materials within the specified time limit to prove the authenticity and compliance of the transaction. At the same time, you shall regularly self-inspect the declaration status of entrepot trade to ensure that all transactions meet the compliance conditions for non-taxation.
