I am a foreign trade operator mainly engaged in building material export. The stone produced by Southeast Asian factories is to be exported to the EU, which now imposes high anti-dumping duties on stone originating in Southeast Asia. I heard that transiting via China can reasonably avoid this part of extra cost.
I have never operated re-export trade before, and do not know how to carry it out in a compliant way. I am afraid that inconsistent documents will lead to customs detention, and also worry that non-compliant foreign exchange settlement will trigger regulatory inspection. Now the goods are on the way to Shanghai Port, China, and are scheduled to be transshipped next week.
I am so anxious that I cannot sleep well all night. I want to know what procedures are required for re-export trade from China, what documents need to be prepared in advance, what common risks should be avoided ahead of time, and how to complete the whole transaction smoothly and compliantly.

The first step is to conduct pre-document review, which requires confirming three types of core documents in advance: first, the original commercial invoice, packing list and ocean bill of lading issued by the country of origin, second, the transit trade agreement, third, the China re-export certificate of origin for destination port customs clearance. You need to check one by one that the goods description, shipping mark, gross weight and volume information of all documents are completely consistent,to avoid information contradictions that lead to direct document return or detention and inspection by the destination port customs.
The second step is core node connection. After the goods arrive at the port, they directly go through the international transit process of the transit port area,no entry customs clearance is required, and they will be directly arranged for container replacement before shipment. The whole container replacement process needs to be recorded with photos and videos for archiving,to facilitate the subsequent verification of goods ownership and status by the destination port customs, for the foreign exchange receipt and payment link, path planning should be completed in advance to ensure the correspondence of three flows: goods ownership, capital and documents, which meets domestic regulatory requirements.
The third step is to prepare abnormal contingency plans in advance. If the destination port customs launches origin verification on re-export documents, you need to provide container replacement operation records, transit port storage fee payment records and shipping company bill of lading endorsement documents as soon as possible,to prove that the goods are indeed transshipped in China without changing the original goods attributes.
The final step is compliance implementation. You need to reserve 3-5 days for document pre-review,to avoid delaying the scheduled shipping schedule due to document modification. All transit-related documents need to be kept for at least 5 years,to cooperate with subsequent domestic and foreign regulatory verification. In the whole process,do not change the original shipping mark or packaging attributes of the goods without authorization, which is the most common compliance red line for re-export trade. Once violated,it will be identified as false re-export trade, leading to anti-dumping and countervailing penalties and large fines. After completing all operations in accordance with the process, you can smoothly help enterprises reduce the destination port tariff cost, and complete the entire re-export transaction safely and compliantly.

For the customs declaration link of re-export trade, if international transit goods are not sold in the domestic market, there is no need to file general trade import declaration, and you can directly go through the international transit customs declaration process. You need to declare the transit goods information to the transit port customs in advance, provide the original bill of lading and goods ownership certification documents, and ensure that the declared goods information is completely consistent with the information in the original manifest.
If there is an error in the declared information, you need to delete the declaration and resubmit it in time, to avoid wrong information being entered into the system and affecting subsequent goods ownership transfer and shipment. For the price review of re-export goods, since the goods do not enter the domestic market, the customs will not conduct domestic price review on the goods, you only need to provide the original factory invoice, no additional price adjustment is required. If there is a price review dispute, you need to provide the original factory procurement contract and foreign exchange payment voucher, to prove that the original value of the goods meets the declaration requirements.

For the logistics link of re-export trade, priority should be given to ports with international transit qualifications, such as hub ports like Shanghai, Ningbo and Shenzhen. These ports have mature transit processes, open and transparent storage fees and transit fees, which can effectively shorten the transit time.
If the original scheduled shipping schedule has overbooking and container rejection, you need to communicate with the shipping company in advance for port change arrangements, and give priority to other hub ports in the same region for transit, to avoid high container detention fees caused by goods being stranded at the port. The bill of lading for re-export goods needs to be transferred via straight endorsement, to ensure that the goods ownership can be smoothly transferred from the original seller to the re-export operator and then to the final buyer, avoiding goods ownership disputes.
You can apply for free storage period from the port in advance. Generally, international transit goods can apply for a 7-14 day free storage period, which can save additional logistics costs.

For tax planning of China's re-export trade, eligible re-export trade can enjoy the VAT deferral policy, no need to pay import value-added tax at the transit port, which can effectively save capital occupation costs. If re-export trade involves profit retention, cross-border related transaction pricing should be completed in advance, which meets the relevant requirements of BEPS, to avoid being identified as base erosion and leading to additional tax adjustments.
If non-resident enterprises carry out re-export trade through China, and the goods do not enter the domestic market, there is no need to pay non-resident enterprise withholding income tax, only relevant data filing is required. It should be noted that all tax arrangements for re-export trade need to be based on real transit processes, and you cannot obtain tax difference benefits through false re-export trade, otherwise you will face tax penalties.

For the foreign exchange receipt and payment link of re-export trade, you can currently choose two methods: SWIFT or CIPS cross-border RMB payment. RMB payment can avoid exchange rate fluctuation risks, which is suitable for operators engaged in re-export trade for a long time.
Foreign exchange receipt and payment need to meet domestic foreign exchange regulatory requirements, ensure that the foreign exchange receipt and payment path corresponds to goods ownership and documents, and the capital flow of offshore accounts needs to be archived, to cooperate with subsequent foreign exchange verification. Foreign exchange settlement and account reconciliation should be handled according to the actual transaction amount, no additional reconciliation operation is required.
As long as the transaction is real and compliant, foreign exchange settlement can be completed smoothly. If there is an error in SWIFT message information, you need to correct the message information in time, to avoid funds being suspended and unable to arrive, which affects the progress of the entire transaction.

For goods ownership transfer of re-export trade, the transfer time of goods ownership at each node should be clearly agreed in the contract, to avoid disputes over unclear goods ownership. L/C clauses need to be carefully reviewed to avoid soft clauses, such as requiring the re-export operator to provide a certificate of origin that cannot be issued, leading to failure to negotiate payment.
If you encounter force majeure factors, such as port strikes and shipping schedule delays, you need to set fallback clauses in the contract in advance, clarify the division of responsibilities between both parties, and avoid unnecessary claims. For the use of guarantees, you need to clarify the effective scope and compensation conditions of the guarantee, to avoid unprovoked compensation. All contract documents need to be kept for at least ten years, which is convenient for evidence production when subsequent legal disputes occur.

If re-export goods transshipped in China encounter on-site customs inspection, first of all, you need to check the authenticity of the container seal, to confirm that the seal is consistent with the seal number on the original bill of lading. If the seal is damaged, you need to take photos and file records in time to explain the situation.
For X-ray inspection, sort out the goods declaration information in advance, ensure that the declaration information is consistent with the X-ray image, and avoid container unpacking inspection caused by inconsistent images. If container unpacking inspection is required, arrange staff to be present to cooperate with the customs to check the goods information.
As long as the goods are consistent with the declaration information and there is no violation, the inspection can be completed quickly. After the inspection, you need to re-seal the container, record the new seal number, and synchronize it to the shipping company and the consignee at the destination port, to avoid problems in subsequent container pickup.
