I am a foreign trade operator engaged in furniture export business, serving the European and American markets for nearly 6 years. Since 2024, I have started to deploy Malaysia transit business to avoid anti-dumping and anti-subsidy duties. In the past 3 months, I have encountered two consecutive bill of lading related accidents: for the first shipment, the shipper column of the bill of lading was directly filled with domestic factory information, the cargo was detained for customs inspection when transiting at Port Klang, Malaysia, and it cost nearly 80,000 in container unpacking and port detention fees to resolve; for the second shipment, the consignee marking on the bill of lading did not meet the document exchange requirements of the transit port, which led to the failure of normal customs clearance for the US customer at the destination port, and also triggered an abnormal foreign exchange receipt and payment warning from the local foreign exchange administration, requiring me to submit full-link document explanations.
Now I am in urgent need of figuring out the full-process rules for entrepot trade bill of lading issuance, from the filling specifications for consignor, consignee and notify party, to the requirements for transit port document exchange, endorsement and transfer, as well as what supporting documents are required to meet the compliance requirements of customs and foreign exchange administrations.

In the pre-document review stage,it is necessary to first confirm whether the entrepot mode is "both ends outside the country" or "domestic exit transit". For the former, the shipper on the bill of lading shall be marked as the trade entity registered in the transit place, while for the latter, the "transit cargo" mark shall be indicated at the time of manifest declaration. It is strictly prohibited to directly mark domestic supplier information as the shipper, otherwise it will be judged as false trade and the cargo will be detained by the transit customs, and it will also trigger an early warning of abnormal domestic foreign exchange receipt and payment.
In the core node connection stage,a full set of endorsed original bills of lading, transit place trade contracts and certificates of origin shall be presented when exchanging documents at the transit port. The consignee on the second-leg bill of lading after document exchange shall be directly marked as the buyer at the final destination port, the notify party can be the destination port customs clearance agent. The cargo name,HS code, gross weight, net weight and number of packages on all bills of lading throughout the process must be completely consistent, with an error not exceeding 0.5%.
At the abnormal response plan level,if the transit port customs inspects the bill of lading information, the warehousing certificate of the transit place, cargo weighing slip and non-processing declaration shall be submitted as soon as possible. It is prohibited to submit any documents with domestic shipper information. If there is an error in the bill of lading information filling,a document modification application shall be submitted 48 hours before the ship berths at the transit port to avoid port detention fees.
At the final compliance implementation level, all bills of lading, manifests, trade contracts and foreign exchange receipt and payment vouchers shall be retained for at least 5 years for future reference. Entrepot trade bills of lading must be matched with the certificate of origin and non-reprocessing certificate issued by the official authority of the transit place,so as to meet the tariff reduction and exemption requirements of the destination country, and also meet the inspection requirements of domestic customs and foreign exchange administrations.

Before the issuance of entrepot trade bills of lading, pre-verification of manifest information shall be carried out in advance. The "transit mark" field of the domestic exit manifest must be checked, the cargo name shall be completely consistent with the manifests of the transit port and the destination port, and the first 6 digits of the HS code shall be consistent globally. If the transit customs initiates price review, a full set of transaction vouchers for the entrepot trade chain shall be submitted, including domestic procurement contracts, transit place sales contracts and logistics track certificates.
The transaction price difference before and after shall not exceed 30%, otherwise it will be judged as transfer pricing and trigger anti-tax avoidance inspection. If the bill of lading information is inconsistent with the manifest, the original declaration shall be deleted and re-submitted before the cargo arrives at the port to avoid being included in the customs clearance abnormal list.

The entrepot trade bill of lading shall clearly indicate the free storage period and free container period at the transit port. Generally, the free storage period at the transit port shall be at least 7 days, and the free container period shall be at least 14 days, so as to avoid additional port detention and container detention fees caused by delayed document exchange. The full set of bills of lading shall be negotiable order bills of lading, and shall not be marked as non-negotiable straight bills of lading.
Full blank endorsement shall be completed when exchanging documents at the transit port to ensure that the cargo ownership of the second-leg bill of lading clearly belongs to the final buyer. If the transit port encounters overbooking and container rolling, application for reallocation to the latest direct sailing vessel shall be made as soon as possible, and the sailing date of the second-leg bill of lading shall be adjusted to avoid affecting the destination port customs clearance efficiency.

The shipper of the entrepot trade bill of lading shall be completely consistent with the registration information of the trade entity in the transit place. The transaction price difference shall comply with the arm's length principle, and the profit margin of the transit link shall be controlled within the range of 5%-10%, so as to avoid being identified as malicious tax avoidance by the tax authority of the transit place and triggering BEPS inspection.
If the VAT deferral mode is adopted for declaration, the remark "transit trade not for local sale" shall be marked on the bill of lading, matched with the non-reprocessing certificate, which can exempt the import link VAT at the transit place and reduce capital occupation cost. All bills of lading shall be completely consistent with the cargo value information on invoices and contracts, and the document cargo difference shall not exceed 1%.

The consignor and consignee information on the entrepot trade bill of lading shall be completely consistent with the transaction entities for foreign exchange receipt and payment. When receiving foreign exchange domestically, the full set of bills of lading, transit trade contracts and logistics track certificates shall be submitted to the bank. The cargo value on the bill of lading shall be completely consistent with the transaction amount in the SWIFT message, with an error not exceeding 0.3%.
If CIPS RMB settlement is adopted, the mark "cross-border RMB entrepot trade" shall be marked in the remark column of the bill of lading, which can enjoy preferential exchange rate policies and shorten the foreign exchange settlement time limit. It is prohibited to have inconsistency between the bill of lading entity and the foreign exchange receiving entity, otherwise it will trigger foreign exchange receipt and payment warning, and even be included in the foreign exchange administration watch list.

The entrepot trade bill of lading shall clearly specify the cargo ownership transfer node, which is generally agreed that the cargo ownership is transferred from the entrepot trader to the final buyer after the second-leg bill of lading is issued. The endorsement and transfer of the bill of lading shall adopt the straight endorsement method, with the restriction clause "for customs clearance at XX port only" indicated, so as to avoid the risk of cargo ownership loss caused by blank endorsement.
If documents are presented under a letter of credit, the requirements of the letter of credit terms on the bill of lading shall be checked in advance, including the number of bill of lading copies, title marking and remark content, so as to avoid discrepancies leading to payment refusal. At least 3 original copies of all bills of lading shall be retained for customs declaration, document presentation and future reference, so as to avoid cargo ownership disputes caused by document loss.

If the entrepot trade involves domestic procurement and export links, the bill of lading shall be completely consistent with the information on the export customs declaration form, including cargo name, quantity, FOB price and destination country information. The four-flow consistency requirement stipulates that the cargo ownership entity of the bill of lading shall be consistent with the foreign exchange receiving entity and the export declaration entity.
If the entrepot trade does not involve domestic tax refund, the "entrepot trade" supervision method shall be selected during export declaration, and the "tax refund declaration" option shall not be checked, so as to avoid triggering tax inquiry. All bills of lading, customs declaration forms, foreign exchange receipt vouchers and contracts shall be bound and retained for at least 10 years for inspection by the tax authority, and there shall be no missing documents or inconsistent information.
