I'm a new foreign trade practitioner just starting cross-border business. Recently, my upstream supplier suggested I consider using the offshore re-export trade model for a shipment to the EU. I've only done general trade before and have no idea about this model. I've heard it can save tariffs, but I'm afraid non-compliant operations will lead to customs inspections.

If the goods are detained and fined, the gain won't be worth the loss. I want to figure out what offshore re-export trade exactly is, how it differs from the general trade I did before and ordinary re-export trade, what core compliance requirements there are during operation, and whether this model is suitable for my shipment.

Offshore re-export trade refers to a trade model where transactions are completed via a third-country registered offshore company between the country of production and the country of consumption. Its core feature is that goods do not actually enter the customs territory of the third country, they are directly shipped from the country of production to the country of consumption. Only the transfer of goods ownership and capital settlement are completed at the offshore level to achieve tax optimization and cost control.

The most common misconception in the industry is that most newcomers confuse offshore re-export with ordinary transit re-export,thinking that any transit route counts as offshore re-export,and even forge goods ownership transfer documents to save costs. The chain reaction of such non-compliant operations is clear: first,it will trigger anti-dumping duty adjustments by the destination country's customs, second,it will be identified as false declaration, leading to direct detention and port detention, resulting in high port detention fees and fines,it will also affect the compliance of payment and receipt of foreign exchange, leading to the freezing of offshore accounts, and all subsequent import and export businesses will be included in the key monitoring list.

An effective physical risk isolation measure is to confirm in advance that the goods ownership transfer path does not touch the customs jurisdiction of the transit country, and retain complete goods ownership transfer endorsement documents, real transaction contracts, and payment flow certificates throughout the process.

Exclusive loss prevention tips for newcomers: If you have already performed ambiguous operations, complete all transaction link documents immediately, proactively disclose compliance to the local customs, and do not wait until inspection triggers anomalies before passive remediation,at the same time, check the payment and receipt path synchronously to confirm compliance with current foreign exchange regulatory requirements, avoiding the problem of funds being held and unable to be verified and written off. Before operation, you must check the origin rules of the destination country in advance, confirm that offshore re-export will not trigger retrospective collection of anti-dumping duties, and conduct compliance checks in advance to truly leverage the cost advantages of the model.

During the declaration of offshore re-export trade, the core focus of the price assessment link is whether the price increase from the offshore company's resale complies with the arm's length principle. If the price increase deviates from the reasonable market range, the customs will initiate a price assessment process and require the provision of a full set of transaction documents for verification. When declaring, you need to attach the offshore company's registration documents, goods ownership transfer contract, original purchase invoice, and final sales contract to prove the authenticity of the transaction.

If there is a price assessment dispute, you need to provide a third-party price verification report to prove the reasonableness of the price increase and avoid adjusted dutiable value. For goods that stop at a transit port but do not enter the country, you need to provide a transit certificate from the bill of lading to prove that the goods have not entered the circulation within the transit country, which meets the declaration requirements of offshore re-export and avoids being mistakenly identified as general trade import and required to pay supplementary taxes.

The core of the logistics link in offshore re-export trade is to control goods ownership and handle bills of lading properly. Whether the goods are shipped directly or via transit, you need to ensure that the endorsement transfer path of the bill of lading is completely consistent with the goods ownership transaction path.

If the goods are temporarily rerouted at the transit port, you need to update the bill of lading endorsement in time to avoid goods ownership disputes. When stopping at the transit port, confirm the free storage period with the shipping company in advance to avoid high container detention fees and port detention fees due to delayed document processing.

When choosing a transit plan, prioritize transit plans that do not enter the inland yard of the transit port, and only switch documents at the anchorage to avoid the goods entering the customs jurisdiction of the transit country and meet the logistics requirements of offshore re-export. If you need to replace the bill of lading, confirm the shipping company's document replacement rules in advance to avoid invalid endorsement affecting subsequent customs clearance at the destination port.

The core tax value of offshore re-export trade lies in using tax differences between different countries and regions to optimize costs. If the operation meets the requirements, you can apply for VAT deferment to avoid prepaying VAT in the transit country and reduce capital occupation. At the same time, you need to pay attention to the pricing requirements for cross-border related transactions.

If the offshore company is owned by the actual controller, the pricing must comply with the arm's length principle to avoid being identified as base erosion under BEPS and triggering anti-tax avoidance investigations by tax authorities. Profits obtained by non-resident offshore companies need to be declared in accordance with the tax regulations of the actual place of business.

If profits are repatriated to China, you need to declare non-resident enterprise withholding tax in advance to avoid tax violations. Global tax information exchange will be fully covered by 2026, and any profit concealment operations will be automatically exchanged to domestic tax authorities. Compliant operation is the only feasible path.

The compliance requirements for payment and receipt of foreign exchange in offshore re-export trade require that the transaction link and capital link are completely matched. If using RMB settlement, you can complete the payment through the CIPS system without third-party transit, which has lower fees, faster arrival, and easier to leave compliant certificates. When using an offshore account for settlement, you need to disclose the transaction background to the domestic bank in advance and provide a full set of transaction documents to avoid the bank identifying it as a suspicious transaction and freezing the account.

In the settlement and account reconciliation link, you need to correspond to each goods ownership transaction, one transaction one settlement, and do not mix multiple transactions for settlement to avoid unclear accounts triggering compliance checks. The SWIFT message needs to accurately mark the transaction code, which meets the declaration requirements of foreign exchange supervision to avoid being returned or held.

The transfer of goods ownership in offshore re-export trade needs to clearly define the delivery node in the contract and agree on the time point of goods risk transfer to avoid disputes over responsibility division after goods damage. If using L/C settlement, you need to carefully review the L/C terms to avoid soft clauses, such as requiring an entry certificate issued by the transit country's customs.

Such clauses are completely inconsistent with the operation logic of offshore re-export, and you must require the other party to modify them. When a letter of guarantee needs to be issued, you need to clarify the effective conditions and compensation conditions of the guarantee to avoid unreasonable claims.

All endorsement documents for goods ownership transfer need to retain the original copies for at least five years to deal with possible subsequent inspections and dispute resolution. For goods related to intellectual property rights, you need to confirm in advance that offshore re-export will not trigger customs infringement identification of intellectual property rights and complete the record in advance.

When the goods of offshore re-export trade are inspected on-site by customs, first you need to check the authenticity of the seal to confirm that the seal has not been replaced. If the seal is damaged, you need to apply for resealing in time and retain evidence. Before machine inspection, sort out the full set of documents and hand them to the inspection officer, explain the transaction model of offshore re-export, and provide goods ownership transfer proof and logistics transit proof to prove that the goods have not entered the transit country for circulation.

If unpacking inspection is required, cooperate with the officer to check that the marks, quantity, and declared information of the goods are consistent to avoid triggering anomalies due to information inconsistency. If the goods are sent for inspection and identification, provide the origin certificate and transaction documents in time to prove the real attributes of the goods, shorten the identification process, and reduce additional costs caused by port detention.

Goods in offshore re-export trade mostly need long-distance transportation, and some will stop at transit ports for transfer, so higher physical protection requirements are placed on packaging. You need to choose a suitable packaging scheme according to the nature of the goods. Ordinary goods need to be moisture-proof and reinforced to avoid damage due to moisture during navigation.

For dangerous goods, they need to comply with UN dangerous goods packaging standards and provide correct MSDS documents. The MSDS needs to include complete attribute information of the goods and meet the compliance requirements of the destination country and transit port to avoid being detained due to unqualified packaging or incorrect MSDS information.

If using wooden packaging, it needs to comply with IPPC fumigation requirements to avoid being returned by the destination country's customs due to non-fumigation. The selection of buffer packaging materials needs to be adjusted according to the transportation time and number of transfers to ensure the physical safety of the goods throughout the transportation process.

In the export tax refund link of offshore re-export trade, you need to ensure the consistency of the four flows: goods flow, contract flow, capital flow, and invoice flow. If there is an offshore company resale, you need to retain transaction documents at each level to deal with tax inquiries. Capital reflux is the most common violation point in offshore re-export tax refund.

If the capital finally returns to the domestic supplier's account, it will be identified as a false transaction, directly canceling the tax refund qualification and recovering the already refunded tax. Tax refund declaration needs to be completed within the specified time. For cross-month declarations, you need to explain the reason to the tax authority in advance and do pre-declaration verification to avoid declaration failure.

Document filing needs to retain all original transaction documents, including bills of lading, contracts, invoices, and goods ownership transfer certificates, for subsequent inspection. Foreign exchange collection verification needs to correspond to each transaction to achieve full collection of foreign exchange and meet the requirements of tax refund.

Offshore re-export trade is suitable for scenarios where there are high tariffs or anti-dumping duties between the country of production and the country of consumption, which can help enterprises optimize the overall supply chain cost. When designing the supply chain structure, you need to calculate the profit ratio between the traditional general trade model and the offshore re-export model in advance to confirm the rationality of the model selection.

If the enterprise exports similar goods to the same high-tariff country for a long time, it can build a stable offshore re-export supply chain structure and match the inventory linkage strategy to reduce the cost of a single operation. In terms of trade terms selection, prioritize the FOB term, where the seller controls the goods ownership until offshore delivery to avoid the risk of losing goods ownership. If the buyer requires the CIF term, adjust the goods ownership delivery node to ensure that the delivery meets the compliance requirements of offshore re-export and does not affect the compliance of the entire structure.
