I am a business specialist of a foreign trade company, which has just expanded its entrepot trade business line this year. I have recently closed an order from a US customer, and plan to transport portable energy storage equipment produced by a Shenzhen-based factory to Port Klang, Malaysia for OEM labeling and repackaging before re-exporting to the US.
However, last week I heard from a port freight forwarder that the US updated the UFLPA anti-circumvention clauses in 2026, and Malaysian customs has also intensified inspection on entrepot goods. Many of my peers have had their goods detained, incurred high port detention fees and lost orders.
I am very anxious now, worrying that I will not only make no profit but also have to pay liquidated damages. I want to know what the reasons are that prevent entrepot trade from being carried out, and whether there are ways to avoid these risks?

Many people believe that entrepot trade is only port transfer and transit, which is a typical industry misconception. The 2026 UFLPA amendment requires the processing value-added rate in third countries to reach more than 75%,and complete production process records must be provided, otherwise goods will be directly detained at customs, which is the most common pitfall.
Once goods are detained at customs,a chain reaction will follow: first, port storage fees of 0.3%-0.5% of the goods value are charged per day,and the port has the right to auction the goods if detention exceeds 14 days, second, missing the sales season leads to customer breach of contract, losing all order profits, finally, abnormal capital flows will be frozen for 3-6 months after the upgrade of the CRS system, and foreign exchange settlement will be completely out of control.
The core of physical risk isolation is to select compliant transit ports, such as Port Klang in Malaysia and Laem Chabang Port in Thailand, which have low inspection rates and formal processing parks that can provide real value-added services. At the same time,it is necessary to prepare the certificate of origin and processing certificate issued by the third country's official authority in advance to ensure that documents fully match the goods flow.
Exclusive loss prevention tips include: confirming compliance requirements with the destination country's customs in advance, selecting qualified third-party logistics service providers, signing goods ownership control clauses, and using SWIFT message settlement to ensure that capital flow corresponds to goods flow one by one. If goods have already been detained, contact the local customs broker immediately to apply for extended storage, and supplement compliant documents to avoid goods being auctioned.

One of the core compliance risks of entrepot trade lies in the authenticity review of the certificate of origin. With the upgrade of the global joint customs law enforcement mechanism in 2026, EU EUDR regulations require that third-country certificates of origin must be issued by local official authorities and supported by complete production traceability records.
If a false certificate issued by an offshore company is used, once inspected, goods will not only be detained, but also be included in the destination country customs' early warning list, and all subsequent transit goods will be subject to key inspection, which will completely lose market access qualification in the long run. In addition, the customs valuation link will focus on checking the value-added rate of entrepot goods. If it fails to meet local requirements, additional tariffs will be levied based on the price of the country of origin, increasing costs by an extra 15%-20%.

The logistics risk of entrepot trade is often ignored. The shortage of shipping space at global transit ports will be prominent in 2026, especially in core Southeast Asian ports, where the peak season shipping space gap can reach 30%. If you choose an unqualified freight forwarder, problems such as container rollover and port change are very likely to occur, leading to delayed and overdue goods.
At the same time, the free storage period at transit ports has been generally shortened to 7-10 days. Once there is a problem with documents, daily container detention fees and storage fees can reach 0.4% of the goods value. If detention exceeds 20 days, goods will face the risk of being auctioned by the port.
In addition, goods ownership control is difficult during transit. If a straight bill of lading is used, the consignee can pick up goods directly without endorsement transfer. Once the intermediary encounters capital problems, goods ownership will be completely out of control.

After the upgrade of the CRS system in 2026, foreign exchange compliance requirements for entrepot trade are stricter. First, capital flow must fully match goods flow. Funds transacted between the shipper, intermediary and consignee must have real trade background, and third-party accounts shall not be used for collection and payment, otherwise it will be marked as money laundering risk and foreign exchange will be frozen for up to 6 months. Second, the foreign exchange receipt and payment cycle of entrepot trade must be consistent with the logistics cycle.
If the time difference between fund arrival and goods arrival exceeds 30 days, it will be identified as an abnormal transaction by the tax authority, which requires provision of complete trade supporting materials, otherwise foreign exchange settlement authority will be suspended. In addition, foreign exchange control policies in some third countries have been tightened, and fund exchange during transit will generate additional exchange difference losses, further compressing profit margins.

There are multiple common misconceptions in tax planning for entrepot trade. First, many enterprises believe that entrepot trade can enjoy export tax rebate policies, but in fact, the State Administration of Taxation clearly stipulated in 2026 that tax rebates are only granted to goods produced domestically and directly exported. Entrepot trade only involves goods transit, which does not meet tax rebate conditions.
If tax rebate is declared incorrectly, it will be identified as tax fraud, and a fine of 1 to 5 times the tax amount will be imposed. Second, some enterprises reduce tax burden through related party transactions, but with the upgrade of the BEPS multilateral convention in 2026, tax authorities will focus on checking the pricing rationality of related party transactions.
If the intermediary pricing is lower than 80% of the market fair price, it will be required to adjust pricing, pay overdue taxes and late fees. In addition, there are also risks in third-country VAT deferral policies. If actual processing is not completed locally, the local tax authority will require payment of overdue VAT.

Contract clause risks of entrepot trade cannot be ignored. First, core clauses such as goods origin, processing procedures and goods ownership transfer time must be clarified to avoid ambiguous areas. Second, force majeure clauses should be added to clarify the division of responsibilities for situations such as customs detention of goods and port detention.
For example, freight forwarders shall bear all losses for customs detention caused by third-party compliance problems. In addition, it is recommended to require the intermediary to provide a bank guarantee to ensure that payment for goods can be recovered on time.
If situations such as customer refusal to pay or goods detention occur, losses can be recovered through the guarantee. Finally, intellectual property clauses must be clarified to prevent entrepot goods from infringing on third-party intellectual property rights, otherwise you will face intellectual property enforcement penalties from the destination country's customs.

On-site inspection standards at third-country ports have been greatly improved in 2026, and customs will focus on checking the actual processing traces of goods. For example, the inspection rate at Malaysia's Port Klang has reached 35%. Inspectors will check whether the packaging labels, production batch numbers and OEM traces of goods are consistent with the certificate of origin.
If it is found that goods have not undergone actual processing and only go through simple container replacement and transit, it will be identified as false entrepot trade, goods will be directly returned to the country of origin, and high return freight will be incurred at the same time. In addition, inspectors will also check the authenticity of seals.
If seals are damaged or altered, goods will be directly detained, and complete seal replacement records will be required. Some ports will also require processing certificates issued by third-party testing institutions, otherwise goods will not be released.

Tax rebate compliance risks of entrepot trade need to be focused on. The export tax rebate audit system was upgraded in 2026, which will automatically compare the consistency of goods flow, capital flow, document flow and contract flow. If entrepot trade does not involve domestic processing and only involves goods transit, enterprises' tax rebate declarations will be automatically intercepted by the system.
In addition, some enterprises forge entrepot trade documents to defraud tax rebates. Once discovered by tax authorities during inspection, they will be included in the dishonest list, all tax rebate permissions will be suspended, and even criminal responsibility will be investigated.
At the same time, there are also risks in foreign exchange receipt verification for entrepot trade. If complete trade supporting materials cannot be provided, it will be identified as failure to receive foreign exchange in accordance with regulations, which will affect the enterprise's credit rating.

Supply chain planning for entrepot trade needs to comprehensively consider cost and risk. Global geopolitical risks have intensified in 2026, and the political situation in some Southeast Asian countries is unstable. Port shutdowns and goods delays occur from time to time, which will directly affect the timeliness of entrepot trade.
In addition, the comprehensive cost of entrepot trade is 10%-15% higher than that of direct shipment, including transit fees, processing fees, document fees, insurance premiums, etc. If the order profit margin is lower than 20%, carrying out entrepot trade will lead to losses. At the same time, the supply chain flexibility of entrepot trade is poor.
Once there is a problem at the transit port, it is difficult to quickly adjust the transportation route, which will lead to reduced customer satisfaction and loss of long-term cooperative customers. Therefore, before deciding to carry out entrepot trade, detailed cost actuarial calculation and risk assessment must be carried out to ensure that the profit margin covers potential risk losses.
