I am a trader exporting electronic accessories from the Chinese mainland to Southeast Asia, having worked in this industry for nearly six years. Previously, when transshipping goods through Hong Kong, I always declared them as entrepot trade and had never encountered any issues. Last week, I suddenly received a notice from Hong Kong Customs stating that my 12 shipments in the past six months did not meet the definition of entrepot trade.
Not only do I need to repay hundreds of thousands of taxes, but all my declaration records from the past three years will also be reviewed. I am completely confused now; profit margins have been thin these two years, and a real penalty would basically wipe out all my assets. I now want to figure out: how exactly does Hong Kong’s official define entrepot trade in 2026?
What are the core differences between it and transit trade and offshore trade? What hard conditions need to be met to avoid making mistakes in this area? Also, are there any remedial measures for my current situation?

Hong Kong Customs’ 2026 definition of entrepot trade focuses on three dimensions: first, whether the ownership of goods has transferred to a Hong Kong local operating entity, second, whether the goods have completed import customs clearance in Hong Kong before being declared for re-export,third,whether there are substantive traces of Hong Kong entities’ participation in the entire transaction chain’s fund flow and document flow.
In the pre-approval stage, two types of documents need key verification: first,Hong Kong local import and export customs declarations, which must correspond to the same batch of goods, and the declaring entity must be a Hong Kong-registered operating entity, second, proof of ownership transfer, including purchase and sales contracts, invoices, and bill of lading endorsement records, which must clearly show the complete chain of goods ownership transfer from the overseas seller to the Hong Kong entity, then from the Hong Kong entity to the overseas buyer.
When connecting core nodes, two details that are easy to step on pitfalls should be noted: first,if goods stay in Hong Kong, the stay time shall not exceed 180 days, and no processing that changes the physical properties of the goods shall be carried out, only simple operations such as sorting and labeling are allowed. Second, fund flows must be received and paid through the corporate account of the Hong Kong entity, and direct cross-border transfers between upstream and downstream entities are not allowed, otherwise it will be judged as "empty transfer" without substantive transactions.
If a notice of non-compliant definition has been received, the first step is to submit all original documents of the entire transaction chain and apply for administrative review. Do not blindly pay back taxes. If the review confirms it is a misjudgment due to missing documents, supplementary materials for ownership transfer and fund receipt and payment can be submitted within 15 working days to apply for revocation of the penalty. In daily operations, all transaction documents shall be retained for at least 7 years, and a compliance self-inspection of entrepot trade shall be conducted every year to avoid batch violations.

In the 2026 price verification process of Hong Kong Customs, the definition of entrepot trade will focus on verifying the rationality of declared unit prices. If the price difference between the Hong Kong entity’s purchase and sale is less than 3%, it will directly trigger key verification, suspected of being a false entrepot transaction constructed for tax avoidance.
If a non-compliance notice is received, do not directly delete the declaration and re-declare; first submit proof of the Hong Kong entity’s operating costs, including office space rental certificates, employee salary statements, and actual operation records, to prove that the Hong Kong entity has substantive operating capabilities and is not a shell company. If there is indeed a declaration omission, an active disclosure can be applied for, with a maximum of 70% penalty reduction, avoiding being included in the list of untrustworthy entities and affecting all subsequent import and export declarations.

In terms of logistics, the core of defining entrepot trade is the circulation record of the bill of lading. If the goods do not change the bill of lading throughout the whole process and are directly shipped from the port of departure to the port of destination, only berthing at the Hong Kong port without bill of lading surrender, it will be judged as transit trade rather than entrepot trade.
For goods transshipped via Hong Kong, a second carrier’s bill of lading issued by a Hong Kong shipping agent shall be surrendered after berthing at Hong Kong, with the shipper of the bill of lading showing the Hong Kong operating entity and the consignee showing the final buyer. If goods are stored in Hong Kong, storage certificates, loading and unloading records, and handling fee vouchers shall be retained as substantive logistics evidence of entrepot trade, avoiding being identified as false transit.

In terms of Hong Kong tax, the definition of entrepot trade focuses on whether the profit-generating link is in Hong Kong. If the entire transaction’s consultation, signing, and performance are completed overseas, and only the Hong Kong entity is used for fund transfer, the relevant profit will not be identified as Hong Kong-sourced profit and can apply for an offshore waiver. However, if it meets the definition of entrepot trade, the relevant profit shall pay profit tax in Hong Kong.
The profit margin threshold for Hong Kong Inland Revenue Department’s 2026 monitoring of entrepot trade is 5%-15%; if the declared profit margin is lower than the threshold, all proof materials of the transaction chain will be required to verify whether there is profit shifting. If the proof cannot be provided, the taxable amount will be directly determined according to the industry average profit margin.

In terms of foreign exchange receipt and payment, the core of defining entrepot trade is the matching degree of fund flows. The receipt time of the Hong Kong entity shall be earlier than the payment time, and the receipt amount shall be higher than the payment amount, with the difference ratio consistent with the declared profit margin. The Hong Kong Monetary Authority’s 2026 monitoring focus on foreign exchange receipt and payment for entrepot trade is whether there are large abnormal cross-currency receipt and payment.
If the same batch of goods has different currencies for receipt and payment, transaction background proof shall be submitted to the bank in advance to avoid triggering anti-money laundering alerts and leading to account freezing. If the account is frozen, submit proof materials such as trade contracts, customs declarations, and bills of lading as soon as possible to apply for account unfreezing; do not try to use personal accounts for fund transfer, otherwise the violation circumstances will be aggravated.

In terms of law, the core of defining entrepot trade is the performance subject of the transaction contract. If the contract’s performance responsibility is undertaken by the Hong Kong entity, including goods quality guarantee, delivery time responsibility, and after-sales responsibility, it will be recognized as a substantive entrepot transaction. If only the Hong Kong entity is used as a collection channel, and all performance responsibilities are undertaken by upstream and downstream entities, it will be recognized as false entrepot.
When signing an entrepot trade contract, clarify the scope of rights and responsibilities of the Hong Kong entity; do not directly apply the upstream and downstream contract templates, and separately sign a purchase contract between the Hong Kong entity and the upstream, and a sales contract between the Hong Kong entity and the downstream. The goods specifications and quantities of the two contracts shall be consistent, and the delivery time shall leave enough time difference for Hong Kong transit to avoid logical contradictions.

If the mainland enterprise exports goods via Hong Kong entrepot and applies for export tax refund, it must meet the definition criteria of Hong Kong entrepot trade. If Hong Kong Customs judges it as not meeting the definition of entrepot trade, the mainland tax department will directly trigger a tax refund inquiry, requiring submission of all transaction documents to verify whether there is false export.
When applying for tax refund, retain Hong Kong Customs’ import and export customs declarations, ownership transfer certificates, and fund receipt and payment records of the Hong Kong entity as evidence of the four streams consistency; do not only submit mainland export declarations and bills of lading, otherwise it will be recognized as incomplete documents, unable to apply for tax refund, and even the previously refunded tax may be recovered with late payment surcharge added.

In terms of supply chain structure, to meet the definition requirements of Hong Kong entrepot trade, at least 30% of the supply chain links shall be placed in Hong Kong, including order processing, logistics scheduling, customer service, etc.; do not only use a Hong Kong shell company for fund transfer. For goods transshipped via Hong Kong to RCEP member countries in 2026, if they meet the definition of entrepot trade, RCEP tariff preferences can be applied for, saving up to 15% of tariff costs compared with ordinary transit trade.
According to calculations, if the annual entrepot cargo value exceeds 50 million yuan, establishing a substantially operating entity in Hong Kong and meeting the definition requirements of entrepot trade can reduce comprehensive costs by 8%-12%, far higher than the benefits of using a shell company for fund transfer.
