I am the owner of a small and medium-sized foreign trade enterprise exporting light industrial daily necessities. In the past two years, to avoid high tariffs in the destination country, I have been conducting entrepot trade through a Hong Kong offshore company, with goods shipped directly from China to the final destination country without transiting through Hong Kong.
My recent two foreign exchange receipts were requested by my domestic issuing bank to supplement a large number of transaction documents, and after more than half a month of review, there is still no release. Yesterday, I also received a warning that my offshore account transactions are non-compliant and withdrawal will be restricted.
I still have the balance of the next batch of goods to collect, and the customer has already urged me to provide payment information. I am particularly worried about the account being frozen and delaying the entire order, and I want to ask how to operate the payment and settlement of offshore entrepot trade compliantly without violating regulatory red lines?

First,do a good job in pre-document review. For offshore entrepot trade without transit and direct export as you mentioned, you need to prepare a full set of transaction background materials in advance: including the front and back trade contracts, cargo ownership transfer certificates, entire sea waybills, and the receipt confirmation letter from the third-country buyer. The goods description, quantity and amount of all documents must be logically consistent,to avoid triggering anti-money laundering alerts due to contradictory discrepancy points.
Secondly, sort out the connection operations at core nodes. If it is a traditional offshore account transit mode, the time that funds are received first and then paid should not exceed 15 natural days,to avoid being judged as abnormal stock funds due to long-term stay. If it is direct payment and settlement by domestic enterprises, you need to complete the registration in the entrepot trade transaction directory with the issuing bank in advance, and initiate payment and settlement instructions after the registration is completed,to avoid the bank directly intercepting the transaction message.
If you choose RMB settlement,SAFE supports offshore entrepot trade to complete cross-border settlement directly through CIPS in 2026,without the need for transit through a third-party offshore account. Domestic enterprises can directly complete payment and settlement with both buyers and sellers, reducing compliance risks in intermediate links.
Regarding the abnormal handling plan,if a bank review alert has been triggered, you need to supplement the full set of transaction materials to cooperate with the bank's investigation as soon as possible,if the offshore account is restricted from withdrawal, you can transfer the unsettled funds to a domestic settlement account that has completed compliance filing,to avoid long-term fund suspension affecting turnover. The core of the entire operation is to ensure the authenticity of transaction background is verifiable, and all capital flows match the cargo ownership flow, which can complete payment and settlement operations compliantly and avoid touching regulatory red lines.

Regardless of the payment and settlement path chosen, it is necessary to truthfully disclose the transaction nature to the issuing bank in advance. Declaring entrepot trade as general trade will be marked as incorrect declaration by SAFE, which will affect the classification of the enterprise's directory at the minimum, and will be downgraded to Class B enterprises at the maximum, affecting the payment and settlement of all subsequent import and export businesses. If you use an offshore account to receive payments, you need to complete tax declarations to domestic affiliated enterprises every year, to avoid being judged as undeclared overseas stock funds.
The core of bank review for offshore entrepot trade in 2026 is the authenticity of transactions. As long as a full set of matching documents can be provided, most compliant transactions can be settled smoothly, and there is no need to settle foreign exchange through informal channels. Informal foreign exchange settlement will touch the anti-money laundering red line, with serious consequences.

The payment and settlement of offshore entrepot trade needs to match the corresponding tax structure. If you are a domestic enterprise that earns price differentials through an offshore company, the price differential part needs to complete corporate income tax declaration in China. Undeclared price differential income will be judged as tax evasion.
If you choose to retain profits in the offshore account, you should note that the 2026 CRS information exchange has covered most offshore financial centers, and the fund information of offshore accounts will be automatically exchanged to the domestic tax authority, and undeclared income will eventually be investigated. If you choose RMB payment and settlement, you can reasonably arrange price differentials through related transactions. Pricing that complies with the arm's length principle will not trigger tax adjustments.

The payment and settlement path needs to be consistent with the cargo ownership clauses in the trade contract. If the contract stipulates that cargo ownership is transferred through endorsement by the offshore company, funds need to be transferred through the offshore account accordingly, keeping the cargo ownership flow and capital flow consistent to avoid logical contradictions.
If the contract stipulates direct cargo ownership transfer to the final buyer, domestic enterprises can directly complete payment and settlement without going through the offshore account, reducing the legal risks in intermediate links. It is necessary to clearly stipulate the time node and currency of payment and settlement in the contract, to avoid disputes due to exchange rate fluctuations, and reserve processing clauses for document discrepancies, to avoid breach of contract due to delayed bank review.

Payment and settlement need to correspond to the cargo ownership endorsement records of the bill of lading. If the goods do not transit through the offshore, the endorsement transfer records of the bill of lading need to be consistent with the transaction path.
For example, the shipper is a domestic factory, endorsed to the offshore company, and then endorsed to the final buyer. Complete endorsement records can serve as proof of transaction authenticity, helping the bank complete the review faster.
If it is a direct bill of lading without transit port stop records, you need to provide the entry declaration form of the final destination port as auxiliary proof, to prove that the goods have indeed been delivered to the buyer, avoiding the bank questioning the transaction authenticity due to no transit records. Complete logistics documents can greatly shorten the bank review time and speed up fund arrival.

You can adjust the currency of payment and settlement according to exchange rate differentials and trade costs. When the destination country's currency fluctuates greatly, choosing RMB or US dollar for payment and settlement can reduce losses caused by exchange rate fluctuations.
For long-term stable entrepot trade orders, you can set up a "domestic enterprise + offshore operation center" structure, split payment and settlement into two entities, reasonably plan capital turnover efficiency, and reduce overall compliance costs. For small and medium-batch entrepot trade, direct domestic payment and settlement has lower costs than transit through offshore accounts, and is more in line with current regulatory requirements, without additional management costs of offshore accounts.

The payment and settlement records of offshore entrepot trade need to be retained and archived accordingly. If the domestic factory needs to handle export tax rebates after shipment, it is necessary to ensure that the four flows (fund flow, cargo flow, document flow, and invoice flow) are consistent with the payment and settlement path and tax rebate documents. The payment record of entrepot trade needs to clearly mark the transaction nature, to avoid confusion with the payment of general trade and affecting tax investigation and correspondence.
If funds are transferred through an offshore account, a complete offshore account statement needs to be retained as proof of transaction authenticity, which can be provided to the tax bureau during tax investigation and correspondence, avoiding failure of tax rebates due to inability to provide documents. For entrepot trade that has completed receipt, the corresponding foreign exchange verification needs to be completed within the next year's declaration period, to avoid affecting the enterprise's tax rebate qualifications.
